TERMS OF USE OF NFTEMPO PLATFORM
These Terms of Use affect your legal rights, so please read them carefully.
THIS IS A LEGAL AGREEMENT BETWEEN you(r) (namely any individual that views,
uses, accesses, browses or submits any content or material) and NFTempo LTD of
Crown House, 27 Old Gloucester Street, London, United Kingdom, WC1N 3AX, UK
(hereinafter referred to as ("NFTempo" "us" "our" "we") relating to your to the
access to the NFTempo marketplace websitewww.nftempo.io("Platform") and all
mobile applications, and services owned, controlled, or offered by NFTempo
(including in the future) (the "Service"). By accessing or using all or part of
the Services, you are accepting these Terms of Use and you represent and warrant
that you have the right, authority, and capacity to enter into these Terms of
Use. We may update these Terms of Use from time to time. We will let you know if
we make changes of these Terms of Use by any reasonable means, including by
posting the updated version of the Terms of Use to the Platform. Any such
changes will not apply to any dispute between you and us arising prior to the
date on which we posted the revised Terms of Use incorporating such changes, or
otherwise notified you of such changes. If you continue to use the Platform
after the stated effective date of the updated Terms of Use, you will be deemed
to have accepted the change.
* 1. REGISTRATION AND YOUR ACCOUNT
You may need to have an account with us (the "Account") to access and use
certain areas or features of the Services. By creating an Account, you agree
to (a) provide complete, current and accurate, details as required, (b)
maintain and update from time to time as necessary your Account information
without delay, (c) maintain the security of your password and accept all
risks of unauthorised access to your Account and the information you provide
to NFTempo, and (d) immediately notify us if you discover or otherwise
suspect any security breaches pertaining to use of the Account. In creating
an Account, you represent that you are 18 years of age. We reserve the right
to suspend or terminate your Account if any information provided during the
registration process or subsequently proves to be false, inaccurate, or
misleading
* 2. PRIVACY POLICY
Your use of the Services is subject to the NFTempo Privacy Policy. Please
review our Privacy Policy, which also governs the Services and informs Users
of our data collection policy
* 3. USE OF AND ACCESS TO THE SERVICES
We will provide you with access to the Services subject to your compliance
with the obligations under these Terms. Access to the Services is permitted
at our discretion and we reserve the right to amend or withdraw the Services
without notice. We will not be liable to you if for any reason our Services
are unavailable at any time or for any period. We shall use reasonable
endeavours to ensure the availability of the Services, except that we shall
not be liable for: (i) any unavailability caused directly or indirectly by
circumstances beyond our reasonable control, including without limitation,
(a) a force majeure event; (b) webhosting, cloud computing platform, or
public telecommunications network failures or delays, or denial of service
attacks; (c) a fault or failure of your own computer systems or networks; or
(d) any breach by of these Terms by you or (ii) scheduled downtime Without
notice NFTempo reserves the right to suspend or refuse access to you for
whatever reason and we may suspend your use of the Services or any portion
thereof if we believe that you have breached these Terms, or for any other
reason, in our absolute discretion including a breach of the Rules of Conduct
in Para 4 of these Terms of Use. You agree that any termination of your
access to the Services may be without prior notice, and you agree that we
will not be liable to you or any third party for any such termination. Where
needed, we reserve the right to notify the regulatory and/or enforcement
authorities about suspected illegal, infringing, fraudulent or abusive, or
activity.
* 4. RULES OF CONDUCT
You agree to abide by these Rules of Conduct. Consequently you shall not use,
permit, post, chat, encourage or enable others to use, permit, post, chat, or
knowingly condone the use of the Services in any manner that is, attempts to,
or is likely to (a) use the Services in any manner that could interfere with,
disrupt, or inhibit others from fully enjoying them, or that could damage,
disable, overburden or impair the functioning of the Platform in any manner;
(b) be defamatory, threatening, abusive, harassing, deceptive, offensive,
obscene, invasive of another's privacy, bullying, or harmful in any way that
is deemed unlawful or restricted by law (c) upload programs or material that
contain malicious code, such as viruses, Trojan horses, time bombs,
cancel-bots, worms, spyware, or other potentially harmful programs or other
material or information. (d) send unsolicited messages, junk email chain
letters, duplicative or transmissions deemed spamming or phishing; (e) use
the Services for any illegal, fraudulent, tortious, unauthorised, or
otherwise unlawful purpose, or engage in, encourage or promote any activity
that breaches these Terms of Use or infringes any laws, or regulations or
infringes any intellectual property rights, rights of publicity or privacy,
or any other rights of any party including NFTempo (f) harvest or collect
information about users of the Platform (g) gain unauthorised access to the
Platform or parts of the site not authorised for your use or attempt to use
another's Account without proper authorisation, or to use the Platform in any
manner which breaches these Terms of Use (h) remove any copyright, trademark
or other proprietary rights notice from the Platform or mirror or frame any
portion of the Platform, or otherwise incorporate any portion of the Platform
into any product or service, without NFTempo's express prior written consent
(i) do anything that might discover source code or bypass or circumvent
measures employed to prevent or limit access to any content, area or code of
the Platform or systematically download and store materials or content from
the Platform; or modify, disrupt, impair, alter or interfere with the use,
features, functions, operation or maintenance of the Platform or reverse
engineer, disassemble or decompile any aspect of the Platform, or use the
Platform in any manner designed to circumvent account limitations or
restrictions, including but not limited to (j) create user Accounts by
automated means or under false or fraudulent pretences; (k) Use or attempt to
use another user's Account without permission from such user or pose as
another person or entity (l) use the Platform in any way that could interfere
with, disrupt, negatively affect or inhibit other users from fully enjoying
the Service (m) use, operate, or create a computer program to simulate the
human behaviour of another use (n) Use the Platform in a way that could
damage, disable, overburden, or impair the functioning of the Platform in any
manner (o) Use the Services to engage in deceptive, misleading, or
manipulative activity, price manipulation, fraud, or other (p) access the
Platform from a different email address if we've blocked any of your other
email addresses from accessing the Platform, unless you have NFTempo's prior
written permission Any reported offensive content is subject to be removed
from the Platform and if you created such content is subject to being banned
from the Platform
* 5. INTELLECTUAL PROPERTY
Strictly in accordance with these Terms of Use you are granted a
non-exclusive, non-transferable, revocable licence to access and use the
Services. As a condition of your use of the Services, you warrant to us that
you will not use the Services for any purpose that is unlawful or prohibited
by these Terms of Use. You may not obtain or attempt to obtain any materials
or information through any means not intentionally made available or provided
for through the Services. All content included as part of the Services, such
as logos, graphics, text, images, videos and any software used in the
Services, is the property of NFTempo and/or its suppliers and protected by
copyright and other laws that protect intellectual property and proprietary
rights. You agree to observe and abide by all copyright and other proprietary
notices, or other restrictions contained in any such content and will not
make any changes thereto. Your use of the Services does not entitle you to
make any unauthorised use of any protected content, and in particular you
will not delete or alter any proprietary rights or attribution notices in any
content. You will use protected content solely for your personal use and will
make no other use of the content without our express written permission. You
agree that you do not acquire any ownership rights in any protected content.
We do not grant you any licences, express or implied, to the intellectual
property of NFTempo or our licensors except as expressly authorised by these
Terms of Use
* 6. MUSIC DIGITAL COLLECTIBLES ("NFTS")
An NFT is a type of cryptographic token which represents something unique.
Unlike cryptocurrencies and other fungible digital assets, NFTs are not used
to make payments. NFTs are not mutually interchangeable and can't be divided
into smaller parts. These design features limit the usefulness of NFTs as a
form of payment or substitute for currency. Rather NFTs are enjoyed as
digital collectibles each has its own unique "immutable data" such as total
audio files, artwork, and other information which can never be changed.
NFTempo create, or coordinate with rights owners to create music NFTs on the
public blockchain, including the total NFTs number available. Once committed
to the public blockchain, the drop cannot be lawfully edited or changed by
any party including NFTempo or the rights owners. NFTempo uses a blockchain
protocol which offers an open ledger reporting and tracking capability
suitable to ensure rights of ownership and authenticity. When a user obtains
a collectible a specific collectible NFT is created by NFTempo with a
distinct sequence number. The sequence number of the collectible will never
exceed the total inventory requested by the rights owner for the drop. Rights
holders using the Platform to distribute NFTs understand that any future
value of a NFT is based solely on consumer interest and demand for that NFT
and not something that NFTempo can control or will attempt to control or
influence. You acknowledge and agree that you do not own any music, logos,
videos, illustrations, photos, or any other forms of artwork, nor any
copyrights, trademarks, names, images, likeness, or any other proprietary
rights therein (collectively, the "Content") embedded in NFT as part of the
immutable data. Such Content is owned by NFTempo, rights holders, artists,
songwriters or other partners, and is licensed, not sold. For clarity, each
digital collectible is comprised of an NFT and Content that is associated
with such digital collectible, such that if you own the digital collectible,
and only for so long as you own such digital collectible, you will receive a
licence to access, display, and/or perform such Content through the digital
collectible, subject to applicable terms and conditions. Subject to your
compliance with these Terms of Use and any the licensing terms from relating
to the purchase of NFTs ("Purchase Terms"), you are granted a limited
worldwide, non-exclusive, non-transferable, royalty-free license to use and
display the Content associated with the digital collectibles that you own,
solely for the period of time that you own such digital collectibles. To the
extent that, with respect to a particular digital collectible, there is a
conflict between the licence grant above and the licensing terms set out in
the Purchase Terms, the Purchase Terms shall prevail You acknowledge that you
may not modify or attempt to modify the original Content associated with your
digital collectibles in any way, and you agree you will not use the Content
embedded in digital collectibles for any commercial benefit or distribute to
any third party for commercial benefit. Furthermore, you may not use digital
collectibles for any purpose that is unlawful or prohibited by this Agreement
or sub-divide or "fractionalise" digital collectibles or any representations
thereof. Once you acquire an NFT, you are responsible for any loss or damage
to, or loss of access to, the NFT and neither us or rights holder shall have
any liability in such circumstances, regardless of cause. You expressly
understand and agree that your use of the Services and any NFTs is at your
sole risk and that the Services and NFTs are provided "as is" and "as
available." All sales of NFTs are final. Once you have made a purchase of an
NFT, you should promptly take the necessary steps to complete your
transaction. NFTempo recommend the use of secure, offline storage measures
for NFTs. You may purchase NFTs using real or virtual/cryptocurrency, where
multiple payment options are made available to you. You may resell or
otherwise transfer an NFT that you acquire where this is permitted by these
Terms of Use and applicable law. Any sale or transfer must provide for the
transfer of all of your rights then outstanding with respect to such NFT.
Anyone receiving such NFTs from you agrees to and is bound by these NFT
Terms. You are strictly forbidden to sell, swap, donate, give away, transfer,
or otherwise dispose of your purchased NFT to any person who is not eighteen
(18) years of age Bids placed on NFTs sold in auction format on the Platform
are binding offers to purchase. You are required to complete your payment
within the specified time of winning an auction. A User failing to make
payment after winning an auction is subject to being suspended or terminated
from the Platform at NFTempo's sole discretion. You understand that your
digital collectibles are unique, and the value of your digital collectible is
solely dependent on another person's interest in your unique digital
collectible and what they would be willing to spend to purchase it. You
understand that the value of your NFT is driven by many factors outside of
your control and outside of NFTempo and its partners' control, such as a
buyer's own connection and affinity with your unique NFT the general interest
in the talent associated with the NFT (which can increase or decrease over
time), general interest in collectibles both physical and digital overall,
and many other factors. Given the above factors, you understand there is no
guarantee that, should you ultimately want to sell your NFT, you will be able
to find a buyer for it, and if you are able to find a buyer, there is no
guarantee that the value of what you receive or the price you receive will be
higher or lower at any time as compared to what you perceive as your value or
what you spent to obtain your NFT. Ownership of a NFT does not give you any
rights to equity or other ownership in NFTempo or rights holders You are
solely responsible for determining what, if any, taxes apply to your NFT
related transactions. We are not responsible for determining the taxes that
apply to your transactions on the Services or other NFT related transactions.
You also acknowledge and agree that: (a) you are solely responsible for
determining the nature, potential value, suitability and appropriateness of
these risks; (b) you have obtained sufficient information to make an informed
decision regarding the NFTs; (c) We do not represent or warrant that any
NFTs, or its supporting systems or technology, are reliable, current or
error-free or otherwise meets your requirements, that defects in the NFTs, or
their supporting systems or technology, will be corrected, or that the
delivery mechanism for NFTs will be free of viruses or other harmful
components; and (d) we shall not be responsible for any communication
failures, disruptions, errors or delays you may experience related to the
NFTs
* 7. THIRD PARTY MATERIALS AND LINKS
Some Platform functionality may make available access to information,
products, services and other materials made available by third parties
("Third Party Materials") or allow for the routing or transmission of such
Third Party Materials, including via links. By using such functionality, you
are directing us to access, route and transmit to you the applicable Third
Party Materials. You acknowledge that we neither control nor endorse, nor are
we responsible for, any Third Party Materials, including the accuracy,
validity, timeliness, completeness, reliability, integrity, quality,
legality, usefulness or safety of Third Party Materials, or any intellectual
property rights therein. Some Third Party Materials may, among other things,
be inaccurate, misleading or deceptive. We have no obligation to monitor
Third Party Materials, and we may block or disable access to any Third Party
Materials (in whole or part) through the Platform at any time. The
availability of any Third Party Materials through the Platform does not imply
our endorsement of, or our affiliation with, any provider of such Third Party
Materials, nor does such availability create any legal relationship between
you and any such provider. Nothing in these Terms of Use shall be deemed to
be a representation or warranty by us with respect to any Third Party
Materials.
* 8. LIMITATION OF LIABILITY
You understand and agrees that NFTempo, its affiliates and licensors will not
be liable to you or to any Third Party for any indirect, incidental, special,
consequential, or punitive damages which you may incur, howsoever caused and
under any theory of liability, including, without limitation, any loss of
profits (whether incurred directly or indirectly), loss of goodwill or
business reputation, loss of data, cost of procurement of substitute goods or
services, diminution of value or any other intangible loss, even if NFTempo
has been advised of the possibility of such damages. Use of the Platform or
Third Parties links, products are at User's own discretion and risk, and User
will be solely responsible for any damage to its computer system or mobile
device or loss of data resulting therefrom. You agree that NFTempo's total,
aggregate liability to you for any and all claims arising out of or relating
to these Terms of Service, or use of (or inability to use) any portion of the
Platform, whether in contract, tort, strict liability, or any other legal
theory, is limited to the greater of the amounts you have actually and
lawfully paid us under these terms in the period of one month preceding the
date the claim arose. The foregoing limitations of liability shall not apply
to liability of NFTempo for: death or personal injury caused by any user's
negligence; any injury caused by any fraud or fraudulent misrepresentation.
If you are dissatisfied with any portion of the Platform or with these Terms
of Services, your sole and exclusive remedy is to discontinue use of the
Platform. You acknowledges and agrees that we have made the Platform
available to you and entered into these terms in reliance upon the
representations and warranties, disclaimers and limitations of liability set
forth herein, which reflect a reasonable and fair allocation of risk between
NFTempo and a fair bargain. We would not be able to provide the Platform to
you without these limitations. Some jurisdictions do not allow the disclaimer
or exclusion of certain warranties or the limitation or exclusion of
liability for incidental or consequential damages. Accordingly, some of the
above limitations set forth above may not apply to you or be enforceable with
respect to you. If for any reason but would be held to be valid and effective
if part of its wording were deleted that restriction shall apply with such
deletions as may be necessary to make it valid and effective and the
restrictions shall be construed as separate and individual and shall each be
capable of being severed without prejudice to the other restrictions or to
the remaining provisions
* 9. GENERAL
These Terms of Use with Privacy Policy, Cookies Police, Purchase Terms and
other legal documents constitute the entire legal agreement between you and
us These Terms of Service are constructed and governed by the laws of England
and Wales and the Court of England shall have exclusive jurisdiction.
