Participating properties only. Go Free awards at hotels require 7,500 - 30,000
points; at vacation club resorts and vacation rentals, 15,000 - 30,000 points
per bedroom are required. Go Fast awards at hotels require 1,500 - 6,000 points,
plus a cash payment; at vacation club resorts and vacation rentals, 3,000 -
6,000 points per bedroom, plus a cash payment, are required. Member must have
enough points for all bedrooms in desired accommodation to book award nights.
Award nights at hotels are for standard rooms. Per night resort fees may be
payable, even for award nights, points can't be used to pay them. Cancellation
policies vary by property. Subject to availability; Blackout dates/rates,

“Booking direct” refers to booking on any website or call center that is owned,
operated, and/or managed by Wyndham Hotels & Resorts or the Wyndham Hotels &
Resorts app; it does not include booking on site at individual properties or by
calling such properties directly. The Member Rate is often the lowest available
rate offered via direct booking, but on occasion the lowest available rate
offered via direct booking will be a different rate, and could be one that is
available to both Members and non-Members of the Wyndham Rewards Program.

3Wyndham Rewards Member Rate & Cardmember Rate Terms & Conditions:
Capitalized terms used without definition in these terms and conditions (“Member
Rate Terms”) will have the meanings ascribed to them in the Wyndham Rewards
program terms and conditions, available here (“Program Terms”). For purposes of
these Member Rate Terms, Members who are Wyndham Rewards Earner, Earner Access,
Earner Plus or Earner Business Card cardmembers will occasionally be referred to
herein as “Cardmembers”. The Wyndham Rewards Member Rate is a discount off the
published Best Available Rate, Standard Promotional Rate or Hotel Special Rate
(each as defined below) offered at participating “Hotels by Wyndham” and
Participating Destinations (collectively, the “Compared Rates”, and each
individually, a “Compared Rate”). For purposes of these Member Rate Terms:

“Best Available Rate” means the best, non-qualified, unrestricted, publicly
available rate on any website or call center that is owned, operated and/or
managed by Wyndham Hotels & Resorts and/or the Wyndham Hotels & Resorts app
(each, a “Direct Channel”) for the property, date and accommodations requested;

“Standard Promotional Rate” means any publicly available, discounted rate
offered on any Direct Channel for a limited period of time by a participating
property as part of a sale in which other Wyndham Hotels & Resorts properties
may also participate and for which Wyndham Rewards Program membership is not
required; and

“Hotel Special Rate” means any publicly available, discounted rate offered on
any Direct Channel by an individual property, which rate is not part of a sale
in which other Wyndham Hotels & Resorts properties may participate, and for
which Wyndham Rewards Program membership is not required; the terms and
conditions for a Hotel Special Rate can be found here.

Notwithstanding the foregoing, and without limitation, the following are not
Compared Rates (meaning that Member Rate is neither derived from, nor
necessarily lower than, any of them): (a) any of the rates found under the
“Special Rates” section of the booking widget on WyndhamHotels.com; or (b) the
“Pay Now & Save, Non-Cancelable” rate and any other nonrefundable rate; or (c)
certain packages and other discounts offered by individual hotels on Direct
Channels that are not considered Hotel Special Rates; or (d) any special rates
or discounts that may be bookable on site at individual properties or by calling
such properties directly; or (e) any rates for which Wyndham Rewards Program
membership is required, including, without limitation, app-based or other
Member-only flash sales.

Must be a Wyndham Rewards Member to be eligible for the Wyndham Rewards Member
Rate.

The Member Rate discount level received by a Member will vary based on the
property in question and whether or not the booking Member is also a Cardmember.
For Members who are not Cardmembers, the amount of the Member Rate discount is
2% or more off of the applicable Compared Rate (in each case, for purposes of
these Member Rate Terms, the “Standard Discount”); for Cardmembers, the amount
of the Member Rate discount is 4 % or more off of the applicable Compared Rate
(in each case, for purposes of these Member Rate Terms, the “Cardmember
Discount”), with the choice of discount level varying by property (subject to
the above-described minimums). In the case of Cardmembers, only the Cardmember
who is the primary cardholder will receive the Cardmember Discount. A Cardmember
should allow 24 to 48 hours after credit card account opening for the Cardmember
Discount to become available.

Caesars Entertainment properties and the below Trademark by Wyndham properties
do not participate in the Wyndham Rewards Member Rate at this time.

For clarity, in order to be eligible for the Cardmember Discount, a Member must:
(i) have an open Wyndham Rewards Earner, Earner Access, Earner Plus or Earner
Business Card account; and (ii) be logged into their Wyndham Rewards Member
account at the time of online booking, or have provided their valid Member
account number to the agent assisting with the reservation via the official toll
free reservation number of Wyndham Rewards or participating Hotel Chain.
(Wyndham Rewards Earner, Earner Access, Earner Plus and Earner Business Cards
are only available to Wyndham Rewards Members who are residents of the United
States and are subject to credit approval.)

Wyndham Rewards Members will see the Wyndham Rewards Member Rate (at the
Standard Discount or the Cardmember Discount, as applicable) offered by their
selected property on their chosen date(s) when they check the booking web site
to plan their stays. Wyndham Rewards Members may book the Member Rate (at the
Standard Discount or the Cardmember Discount, as applicable): (i) on
www.wyndhamhotels.com/wyndham-rewards, wyndhamhotels.com, or any of the official
brand websites of the participating Hotel Chains; (ii) via the official toll
free reservation number of Wyndham Rewards or any of the participating Hotel
Chains; or (iii) on the Wyndham Hotels & Resorts app. Additionally, Members can
book the Member Rate at the Standard Discount (but not, for clarity, at the
Cardmember Discount) via a non-online travel agent (i.e., a traditional travel
agent). Cancellation policies vary by participating property; please inquire at
time of reservation.

The Wyndham Rewards Member Rate is available for individual bookings only, not
valid for existing reservations, may be changed or discontinued at any time and
is subject to all Program Terms. The Wyndham Rewards Member Rate is subject to
applicable law and void or not applicable where prohibited by law.

The Wyndham Rewards Member Rate may not be combined with any other offer or
discount, coupon, sale promotion, prior purchase, or purchase of a gift
certificate except to the extent another offer specifically identifies itself as
combinable with the Wyndham Rewards Member Rate. The Wyndham Rewards Member Rate
does not include resort/service fees, taxes, incidentals or gratuities, or
additional per room, per night charges that may be imposed. Rate, taxes,
applicable dates, advance deposit, and credit guarantee may vary by property;

4Mid-Week Business Travel Offer: Earn 7,500 Wyndham Rewards points after 3
Nights – Terms & Conditions:
Capitalized terms used without definition in these offer terms and conditions
(“Offer Terms”) will have the meanings ascribed to them in the Wyndham Rewards
program terms and conditions, available at
www.WyndhamHotels.com/wyndham-rewards/terms (the “Program Terms”). To qualify
for this offer (“Offer”) to receive 7,500 Wyndham Rewards bonus points (a
“Bonus”), a Wyndham Rewards Member must: (i) receive an email invitation from
Wyndham Rewards specific to this Offer and/or receive this Offer in the “My
Promotions” section of their Wyndham Rewards Member account (each, an “Offer
Invitation”); (ii) register for the Offer via the click through process set
forth in the Offer Invitation or by calling Member Services at the applicable
number found here, in each case, between July 14, 2022 and October 12, 2022;
then (iii) on any Direct Booking Channel (as defined below), book one (1) or
more Qualified Stay(s) that, taken singly or together, include at least three
(3) weeknights (Sunday, Monday, Tuesday or Wednesday); and (iii) begin such
stay(s) no earlier than July 14, 2022 and complete it/them no later than October
13, 2022 (the “Promotion Period”).

For purposes of these Offer Terms, “Direct Booking Channel” means any of the
following booking channels: wyndhamhotels.com/wyndham-rewards,
wyndhamhotels.com, any of the official brand websites of any participating Hotel
Chain, the Wyndham Hotels & Resorts App, the official toll free reservation
number of Wyndham Rewards or any of the participating Hotel Chains, and/or
directly with a Participating Hotel.

For clarity, when a registered Member books and completes a Qualified Stay in
accordance with the booking and stay windows set forth above and all other terms
and conditions contained in these Offer Terms, the nights included in such
Qualified Stay will be counted toward this Offer (each such night, a “Counted
Night”), with the Bonus being awarded when (3) Counted Nights are completed
(regardless of whether such nights were consumed during one, two or three
separate Qualified Stays). Limit of one (1) Bonus per Member. For further
clarity, a Member may not earn more than one (1) Bonus (i.e., 7,500 bonus
points) pursuant to this Offer, even if they complete more than three (3) nights
during the Promotion Period. There is also a maximum of one (1) Counted Night
per Member, per date, during the Promotion Period, regardless of how many rooms
are booked under the same Member number for the same date; this means that,
notwithstanding anything to the contrary contained in these Offer Terms, any
Member who books more than one (1) room for the same date will receive credit
for only one (1) such room booked and consumed in accordance with this Offer
Terms.

For clarity, Members must register for the Offer before booking and completing
their Qualified Stay(s) in order for any such stays to count toward this Offer,
and all nights of a stay must occur within the Promotion Period for any nights
of such stay to be deemed Counted Nights. Stays at Participating Caesars Rewards
Properties, vacation club resorts and vacation rentals are not eligible for this
Offer. Go Free and Go Fast award stays are also not eligible for this Offer.

Qualified Stays are subject to certain restrictions, including, without
limitation, that such stays cannot be booked via any third party website; see
the Program Terms for more information about Qualified Stays at Participating
Hotels.

A Member who is eligible to receive a Bonus pursuant to these Offer Terms will
typically receive it within six to eight weeks after the completion of the stay
for which it was earned.

Members who have elected to earn airline miles in their Member profile will earn
base miles in accordance with the Program Terms and the Bonus in the form of
points.

A no-show does not count as a Counted Night(s).

The Offer is exclusive to Wyndham Rewards Members. Wyndham Rewards, Inc. may
cancel or modify the Offer without notice. The Offer is subject to full Program
Terms in addition to these Offer Terms, and is void where prohibited.

5Bakkt Terms & Conditions:
*Capitalized terms used without definition in these terms and conditions
(“Terms”) will have the meanings ascribed to them in the Wyndham Rewards program
terms and conditions, available at www.WyndhamHotels.com/wyndham-rewards/terms
(the “Program Terms”). To receive up to 2,500 Wyndham Rewards bonus points, a
Wyndham Rewards Member who resides in the United States (excluding Members who
(i) reside in Hawaii; and/or (ii) have previously converted Wyndham Rewards
points to cash or paid using Wyndham Rewards points with Bakkt) must, between
08/25/22 and 09/08/22:

(1) add the Wyndham Rewards Program to their Bakkt account for the first time
(after which they will receive 1,000 Wyndham Rewards bonus points (a “Linking
Bonus”)), then (2) either:

(a) make a purchase using Wyndham Rewards points with the Bakkt app for the
first time; OR (b) convert Wyndham Rewards points to cash with the Bakkt app for
the first time

(after which they will receive 1,500 Wyndham Rewards bonus points, hereinafter a
“Step 2 Bonus”).

Limit of one (1) Step 2 Bonus per Member, even in the case of a Member who
completes both step 2(a) and step (2b) between 08/25/22 and 09/08/22.

Each of the Linking Bonus and the Step 2 Bonus will occasionally be referred to
herein individually as a “Bonus”, and together as the “Bonuses”. Notwithstanding
anything to the contrary contained herein, any Member who has, prior to
08/25/22, linked their Wyndham Rewards and Bakkt accounts is not eligible to
receive a Linking Bonus hereunder, and any Member who has, prior to 08/25/22,
either made a purchase using Wyndham Rewards points with the Bakkt app OR
converted their Wyndham Rewards points to cash, is not eligible to receive a
Step 2 Bonus hereunder .For example (and without limiting the foregoing), a
Member who made a purchase using Wyndham Rewards points with Bakkt prior to
08/25/22 is not eligible for a Bonus hereunder even if he/she/they convert
Wyndham Rewards points to cash for the first time on or after 08/25/22.

Wyndham Rewards Members who don’t yet have a Bakkt account can open one for free
by downloading the Bakkt app from their app store, accepting the Terms of Use
and providing the information requested; the Wyndham Rewards program can be
added to a Member’s Bakkt account by clicking “Rewards” within the Bakkt app,
selecting the Wyndham Rewards Program and then providing the information
requested.

Payment with the Bakkt® Visa® Debit Card is the manner to effectuate payment
using Wyndham Rewards points with Bakkt. Wyndham Rewards Members who don’t yet
have the Bakkt® Visa® Debit Card can apply for one via the Bakkt app by entering
the requested information, and awaiting confirmation. The card is digital and
will be available for use immediately after receipt of the success confirmation.

For sending cash and to pay in-store or online, additional information may be
required. All information provided to Bakkt will be subject to Bakkt’s Privacy
Policy.

Notwithstanding anything to the contrary contained in these Terms, this offer,
taken together with all other Bakkt Wyndham Rewards promotions and offers
conducted prior to this offer, are limited to the first one million (1,000,000)
Wyndham Rewards Members to participate, and there is a maximum of one (1)
Linking Bonus, and one (1) Step 2 Bonus per Wyndham Rewards Member. Each Bonus
will usually be posted to an eligible Wyndham Rewards Member’s Wyndham Rewards
account twenty-four (24) hours after such Member has completed the applicable
qualifying activity. Members who have elected to earn airline miles in their
Member profile and qualify for one (1) or more of the Bonuses hereunder will
earn such Bonus(es) in Wyndham Rewards points.

This offer is not transferable and may not be substituted for any other offer.
Wyndham Rewards, Inc. may cancel or modify this offer without notice. This offer
is subject to full Program Terms in addition to these Terms, and is void where
prohibited.

Wyndham Rewards points are spendable or redeemable for cash through the Bakkt
App. In order for Members to withdraw cash to their bank account, the bank
account must be a valid U.S. bank that is linked to the Bakkt App. Members may
spend up to 45,000 Wyndham Rewards points per month. Members may convert up to
15,000 Wyndham Rewards points per month to cash and no less than 100 Wyndham
Rewards points at any one time. When you give instructions to redeem Digital
Assets (as defined in the Bakkt Terms of Use), you cannot change, cancel or
withdraw your authorization for Bakkt to complete that transaction. You cannot
cancel, reverse, or change any transaction following your submission of the
instructions to Bakkt.
