2ND CLOSING (CURRENT FUNDING ROUND)

As stipulated in the Information Memorandum, SPiCE is now open for a 2nd round
of funding (the 2nd closing) of the fund. Funds from the 2nd closing go into the
same pool as the funds from the 1st closing of SPiCE.

The purpose is to increase the amount of funds available for investment, so we
can continue making investments and increase the potential size of each
investment.

In order not to dilute existing investors, the price per SPiCE token allocated
in this round will be derived from the last published NAV per token before a new
investment in the second closing of SPiCE is made by an investor.

There is a minimum of $250,000 per investor in this round of funding, except for
existing investors, where the minimum is $50,000.

The Information Memorandum was modified to reflect the details of the second
closing, as well as some other updates, as it has been two years since the
original Information Memorandum was published.
