MEMBERSHIP

REQUIREMENTS FOR MEMBERSHIP


It is the express policy of the Foundation that the requirements for membership
should be reasonable and nondiscriminatory, and those requirements should be
applied in an impartial manner:

 * Qualifications for membership should be objective and easily verifiable. The
   Foundation has defined a set open-call criteria to ensure that the selection
   processes for expanding and renewing the membership are objective and
   transparent.
 * Decisions about allowing particular entities to join should not be based, in
   whole or in part, on the competitive or commercial interests of other actual
   or potential Members. The commercial interests of the Members should never be
   part of any discussion of actual or potential membership by other firms.
 * Fees for membership should be set at a level reasonably related to the costs
   they are meant to cover. Fees or other requirements for membership should not
   tend to exclude certain firms (for example, because of their size or their
   payment terms).
 * Membership should not be conditioned on past or future competitive commercial
   behavior by the prospective Member or participant.
 * Any denial of a right to join by any person or entity should be subject to a
   formal appeal process with the full Board of Directors of the Foundation.
 * Members shall be required to develop a Commercial Solution* within the later
   of: A) one (1) year of becoming a Member, and B) one (1) year of the approval
   of these Third Amended and Restated Bylaws. The Foundation may waive this
   requirement for Members that due to the nature of their business or
   operations (for example, standards bodies, advocacy groups, service
   providers, etc.) developing a Commercial Solution is inapplicable.

*A “Commercial Solution” is a technology product or software feature that is
offered by a Member to its customers and has an integration to or utilization of
Velocity Network™.

MEMBER BENEFITS


Connecting to the Network to issue and/or verify credentials does not require
organizations to become a Member of Velocity Network Foundation®. Organizations
who wish to actively participate in the governance and evolution of Velocity
Network™ are invited to join as Members of Velocity Network Foundation®.

As a Member, an organization gets to be at the forefront of the change we are
working to implement in how career credentials are addressed. Through this
access, our members are able to build new and innovative solutions tailored to
their business by taking advantage of the technical and research and development
time and input already contributed by the Foundation.

Member benefits include:

 1.  Your company logo displayed on www.velocitynetwork.foundation
 2.  Commercial use of Velocity Network™ trademarks in accordance with the
     Foundation’s guidelines
 3.  Foundation-issued social media announcing your membership
 4.  Sponsorship opportunities at Foundation events and conferences
 5.  Support for Member announcements through press release quotes and social
     media
 6.  Access to the Foundation’s leadership to impact the Network’s strategy and
     guidance
 7.  Impact on the Network’s strategy, goals, and rulebook through participation
     in workgroups and committees
 8.  Potential seat on the Board of Directors if elected through Member
     elections
 9.  Access to strategic product and technical guidance
 10. Access to premium technical support and documentation
 11. Access (at no charge) to our sandbox environments in order to develop
     solutions whilst enabling you to capitalize on the developments made.

MEMBERSHIP FEES


Membership fees will need to be paid within sixty days of receiving an invoice
from the Foundation. The sum of the payment fees is detailed in the table below,
and the Board of Directors of the Foundation retains the right to update the
annual fees. Fees are non-refundable, but some members may be entitled to
receive a waiver, in which case the fees will be considered paid when it has
been confirmed that the conditions for the waiver have been met satisfactorily.

APPLY FOR MEMBERSHIP


To apply, organizations must file their application providing details such as
the legal entity, corporate signatories, D&B number, or other internationally
recognized identifiers. The registrar office then runs a due diligence process
verifying the identity of the organization, before moving them through the
processes of executing a Membership Agreement and onboarding to the Foundation.

Members sign the Membership Agreement. Please review the agreement before you
apply.

Once you have completed the membership application form, the membership team
will process your application and revert within five business days.

If your application has been approved, we will send you the agreement to sign
electronically. Please note that we might have delays in response to your
application due to the volume of requests received.
