CONSULTING SERVICES

Our consulting service is tailored for Small and Medium Businesses (SMB) and
Mid-Market companies. We provide a proprietary framework for strategic planning
and coordination, compiling comprehensive marketing plans as part of our
Marketing Operations Handbook. This can be complemented by our Fractional
Marketing Management Service for ongoing strategy management and execution.
Additionally, we offer One-Time Project Management, which includes overseeing
the creation of one-time assets such as a website or the launch of an email or
paid media campaign.

website builds, SEO projects, project-specific management consulting. Returning
work for built & launched projects is billed @ 250/hr.

Our outbound service is specifically designed for B2B small-to-medium-sized
businesses and mid-market companies. We find the most effective strategy to be
one that focuses on establishing connections with referral partners on a large
scale.

Instead of aiming to reach maximum caps, we strategically craft our outreach to
identify the most successful message and audience combination. We then scale up
based on this foundation.

Our approach is consultative in nature, prioritizing quality outreach over sheer
volume. This ensures we stay ahead of the curve as the "spray and pray" method

GENERAL TERMS OF SERVICE

Welcome to our comprehensive Consulting Services Agreement. This document
establishes a clear understanding and sets forth the terms and conditions of our
collaborative relationship. It ensures transparency and mutual agreement on the
processes, responsibilities, and expectations between us and our valued clients.

Agile Sprints & Strategic Outcomes An agile sprint within this agreement is a
period during which targeted efforts are made towards achieving complex
strategic outcomes. These sprints are adaptable, allowing for flexibility in
approach and are structured to ensure consistent progress is monitored through
regular tracking of task completion and goal achievement.

Change Management Both the Client and ClarityWeb reserve the right to propose
changes to the project's scope. In instances where ClarityWeb identifies a need
for a change crucial for the project's success, such modification will take
precedence over the original scope as outlined in the Scope of Work. ClarityWeb,
as the domain expert, reserves this right to ensure project objectives are met
effectively.

Client Responsibilities The Client acknowledges and agrees to fulfill their role
in the successful execution of the consulting engagement by providing all
necessary information, resources, and timely feedback as requested by
ClarityWeb. The provision of such information and resources is critical to the
progress and completion of the services outlined in the Scope of Work. The
Client understands that any setbacks, delays, or non-completion of project
milestones resulting from the Client's lack of communication or failure to
deliver the requested resources will not be attributed to ClarityWeb. The
Client's cooperation and responsiveness are essential components of the
collaborative effort to achieve the desired strategic outcomes.

Performance Metrics Performance metrics for the consulting engagement will be
established at the beginning of the project/engagement and are intended to serve
as benchmarks for success. These metrics are designed to be flexible to
accommodate the dynamic nature of the project and any unknowns that may not be
apparent prior to formal engagement. While the Client is encouraged to view
these metrics as indicators of progress, it is understood that they are not
absolute guarantees of success. ClarityWeb commits to striving towards these
metrics with the understanding that they serve as guiding principles rather than
rigid targets, allowing for adjustments as the project evolves and new insights
are gained.

Payment Terms The payment terms, including the schedule and structure, are
detailed within the Scope of Work and may vary based on the nature of the client
relationship. These terms could be aligned with years, three-month periods, or
monthly intervals, as appropriate. The structure of payments is designed by
ClarityWeb to align with both the fulfillment of service deliverables and the
billing process, requiring the client's agreement for implementation.

Dispute Resolution ClarityWeb does not offer refunds under any circumstances.
Should a dispute arise, ClarityWeb is committed to seeking a peaceful resolution
through direct negotiation with the Client. If the dispute cannot be resolved
through negotiation, the matter may escalate to mediation, followed by
arbitration, and, if necessary, litigation. ClarityWeb explicitly states that it
does not guarantee specific outcomes from its services and is not liable for any
perceived or actual damages to the Client's business or operations. By engaging
with ClarityWeb, the Client agrees with this statement.

Intellectual Property and Confidentiality All intellectual property created
during the engagement is owned and licensed by ClarityWeb. Intellectual property
shared with the Client is considered confidential and must not be disclosed to
third parties, competitors, or acquaintances. Any breach of this confidentiality
agreement may lead to litigation for damages, including the loss of deal value.
All resources, materials, and communications with ClarityWeb are to be treated
as confidential for a 10-year term.

Liability ClarityWeb explicitly disclaims any liability for the outcomes of the
consulting services provided under this agreement. Conversely, the Client may be
held liable for any breach of the terms of this agreement, including, but not
limited to, violations related to confidentiality and intellectual property
provisions.

Force Majeure ClarityWeb shall not be held responsible for failing to fulfill
the Scope of Work or for any damages resulting from such failure in the event of
circumstances beyond its reasonable control. This includes, but is not limited
to, illness, death, natural disasters, and other significant external
disruptions that prevent the execution of service obligations.

Governing Law and Jurisdiction This agreement and any disputes arising out of or
in connection with this agreement or the services rendered under it shall be
governed by and construed in accordance with the laws of the State of Texas,
without regard to its conflict of law principles. Specifically, the jurisdiction
for any legal action or proceeding arising out of or related to this agreement
shall be exclusively the courts located in Dallas County, Texas. Both parties
hereby submit to the exclusive jurisdiction of these courts and waive any
objection to the propriety or convenience of such venues.

Amendments This Consulting Services Agreement, including its terms and
conditions, can only be amended or modified through a written notice issued by
ClarityWeb. We are committed to maintaining transparent communication with our
clients, and as such, we will ensure that you are promptly informed of any
changes or updates that may occur to this Agreement. It is our policy to engage
with our clients in good faith and to ensure that any modifications to the
Agreement are clearly communicated, understood, and mutually agreed upon.

Termination Either ClarityWeb LLC or the client may terminate this agreement at
any time. Termination requires a written notice sent to the other party,
provided at least 15 days before the intended end date. No specific reason is
needed for termination; it can be for any reason or no reason at all. Upon
termination, all remaining obligations or deliverables will be addressed, and
final payments for services up to that point must be settled. However, any
stipulation regarding IP (intellectual property) will survive the termination of
this agreement for the remainder of the agreed 10-year term.

Effective Date and Acceptance This Consulting Services Agreement becomes
effective and binding upon the Client either making the initial payment against
the invoice provided by ClarityWeb or by signing a customized Scope of Work
(SOW), which is included as a separate document. The act of payment or signing
signifies the Client's acceptance of the terms and conditions outlined in this
Agreement and the accompanying Scope of Work, establishing the formal
commencement of our consulting engagement.
