Background:

 1. CPNI is a UK government body that provides integrated protective security
    advice to organisations comprising the critical national infrastructure with
    the aim of ensuring that those assets of strategic national significance are
    equipped with information to help reduce their vulnerability to national
    security threats.
 2. In furtherance of this aim CPNI has a developed a See, Check and Notify
    training programme (“the SCaN Programme”) to assist businesses and
    organisations to maximise safety and security using their existing
    resources.
 3. CPNI has made SCaN available free of charge online, via Highfield eLearning,
    and the Recipient wishes to undertake ScaN training on the terms set out
    below.

 1. Disclaimer
    1. 1.1 This training has been prepared by CPNI and is intended to educate
       organisations and their staff on approaches to disrupt the reconnaissance
       work of those contemplating a hostile act and associated malicious
       activity, by denying, detecting and deterring such activity. This
       training is provided on an information basis only, and whilst CPNI has
       used all reasonable care in producing it using the data sources available
       to it, CPNI can provide no warranty as to its accuracy or completeness.
    2. 1.2 It is important to emphasise that no security measures are proof
       against all threats. You remain entirely responsible for the security of
       your own sites and/or business and compliance with any applicable law and
       regulations and must use your own judgement as to whether and how to
       implement our recommendations.
    3. 1.3 To the fullest extent permitted by law, CPNI accepts no liability
       whatsoever for any expense, liability, loss, damage, claim or proceedings
       incurred or arising as a result of any error or omission in the training
       video or facilitator notes or arising from any person acting, refraining
       from acting, relying upon or otherwise using the training video or
       facilitator notes. This exclusion applies to all loss and damage whether
       this liability arises in contract, tort, by statute or otherwise
       including where it is a result of negligence. CPNI separately and
       expressly exclude any liability for any special, indirect and/or
       consequential losses, including any loss of or damage to business, market
       share; reputation, profits or goodwill and/or costs of dealing with
       regulators and fines from regulators.
    4. 1.4 Following the recommendations in this training does not automatically
       mean that an organisation will be compliant with all applicable law and
       regulations.
 2. INTELLECTUAL PROPERTY RIGHTS
    1. 2.1 The SCaN Programme is subject to Crown copyright. As such the
       Recipient may use or reuse the SCaN Programme content without prior
       permission from CPNI but must adhere to and accept the terms of the Open
       Government Licence for public sector information. The Recipient must
       acknowledge the source of the content and include a link to the Open
       Government Licence wherever possible. Authorisation to reproduce a third
       party's copyright material must be obtained from the copyright holders
       concerned.
 3. RECIPIENT OBLIGATIONS
    1. 3.1 Where a SCORM file is requested, the Recipient shall use the SCaN
       Programme training video in conjunction with the facilitator notes which
       are included as part of the file download.
    2. 3.2 The Recipient (if an organisation) shall not provide access to the
       SCaN Programme to anybody that is not directly linked to the Recipient.
    3. 3.3 Where reasonably requested to do so, the Recipient agrees to provide
       CPNI, or Highfield Learning Limited on CPNI's behalf, with feedback on
       the SCaN Programme and attendance and usage data.
 4. DATA PROTECTION
    1. 4.1 CPNI shall, and shall procure that all Staff shall, comply with any
       requirements and observe all obligations applicable to it under the Data
       Protection Act 2018.
    2. 4.2 The Recipient acknowledges that:
       1. 4.2.1 both CPNI, and Highfield Learning Limited (company number
          07380246), will process personal data in order to manage and
          facilitate the delivery of the SCaN Programme. In CPNI's case this
          processing is necessary pursuant to its functions as a government
          department;
       2. 4.2.2 Highfield Learning may, at CPNI's request, share the names and
          email addresses of the Recipient and its staff (where applicable)
          undertaking the SCaN Programme with CPNI so that CPNI may contact
          attendees after they have completed the training to gain feedback and
          usage data for CPNI's internal statistical analysis.
