Thank you for participating in PerkSpot’s Mobile App Beta Program!

BY INDICATING YOUR ACCEPTANCE OF THESE TERMS AND SELECTING THE "JOIN THE
WAITLIST" BUTTON AS IT APPEARS IN THE PERKSPOT MOBILE APP BETA PROGRAM SIGNUP
PAGE, YOU ARE (a) REPRESENTING THAT YOU ARE OVER THE AGE OF 18, (b) REPRESENTING
THAT YOU HAVE THE RIGHT AND AUTHORITY TO LEGALLY BIND YOURSELF TO THESE TERMS,
AND (c) CONSENTING TO BE LEGALLY BOUND BY ALL OF THE TERMS OF THIS AGREEMENT.
THIS WILL CREATE A BINDING AGREEMENT. IF YOU DO NOT AGREE TO ALL THESE TERMS OR
CANNOT MAKE SUCH REPRESENTATIONS THEN YOU MAY NOT PARTICIPATE IN THE MOBILE APP
BETA PROGRAM. YOUR CONTINUED PARTICIPATION WILL BE RELIED UPON AS AN INDICATOR
OF YOUR CONSENT TO THE TERMS AND CONDITIONS THAT APPEAR HERE.

By participating in the PerkSpot Mobile App Beta Program, 12 Interactive, LLC,
d/b/a PerkSpot (the "PerkSpot" or "we") extends to you (the "Participant") the
terms contained in this Agreement for use by Participant of the PerkSpot mobile
app beta test program and the associated software (the "Services") pursuant to
the PerkSpot Mobile App Beta Program established by PerkSpot (the "Program").
This agreement (the "Agreement") governs the terms of participation in the
Program by you ("Participant" or "you").

The purpose of the Program is to allow certain existing PerkSpot community
members, as Participants in this Program, to obtain Services from PerkSpot for
use with other products and services the Participants already receive from
PerkSpot, before full release of the Services. The Services are provided by
PerkSpot without charge. Because the Services are still new and PerkSpot is
adding or improving features of the Services, we reserve the right to withdraw
or change the Services subject to required notices.

Eligibility. Open to legal residents of the United States who are 18 years of
age or older. PerkSpot, and its respective parents, subsidiaries, affiliates,
distributors, retailers, sales representatives, advertising, and promotion
agencies, and each of their respective officers, directors, and employees, are
ineligible to participate in the Program. Household Members and Immediate Family
Members of such individuals are also not eligible to enter or win. "Household
Members" shall mean those people who share the same residence at least three
months a year. "Immediate Family Members" shall mean parents, step-parents,
legal guardians, children, step-children, siblings, step-siblings, or spouses.

Pre-Release Software. You may encounter bugs and other errors in the Services
that were not discovered in our own testing environment. By participating in the
Program, you acknowledge that the Services entail use of pre-release software
and the Services may not operate properly, may not perform all functions for
which they are intended, and may not operate error-free. The Services are
provided to you "as is," without warranty of any kind. Your participation in
this Program is at your own risk (except with respect to data security and
confidentiality requirements which we agree to fulfill, as addressed below).

Term. The Program is expected to last between six months and one year. PerkSpot
reserves the right to terminate this Agreement, the Program, and/or your
participation in the Program at any time, for any reason. The Services may also
be interrupted or suspended. You may choose to withdraw from the Program at any
time by changing your subscription preferences in My Profile.

No Fees. There are no fees for the Services or participation in the Program for
the initial term of this Agreement.

Gift Card Drawing Rules. NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A
PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID
WHERE PROHIBITED OR RESTRICTED BY LAW. ODDS VARY DEPENDING ON THE NUMBER OF
ENTRIES RECEIVED. SOME RESTRICTIONS APPLY. VOID WHERE PROHIBITED. ANYONE MAY
ENTER TO WIN A GIFT CARD BY COMPLETING A SURVEY OR BY EMAILING THEIR REQUEST TO
CS@PERKSPOT.COM; THERE IS NO LIMIT TO HOW MANY TIMES ONE MAY ENTER. DRAWINGS
WILL BE MADE AT RANDOM FROM APRIL 2021 THROUGH SEPTEMBER 30, 2021.

Participants will automatically be entered for one or more drawings to win a
pre-paid Visa gift card. A winner will be chosen among all entrants. For each
survey, only one prize per Participant and per household will be awarded. Gift
cards and/or gift certificates are subject to the terms and conditions of the
issuer. Prizes cannot be transferred, redeemed for cash, or substituted by
winner. We reserve the right in our sole and absolute discretion to award a
substitute prize of equal or greater value if a prize described in these terms &
conditions is unavailable or cannot be awarded, in whole or in part, for any
reason. We make no representation or warranty concerning the appearance, safety
or performance of any prize awarded. Restrictions, conditions, and limitations
may apply. PerkSpot will not replace any lost or stolen prize items.

Participation. As a participant in the Program, you are expected to actively
participate in the development of the Services. This may include: (i)
participation in monthly surveys with the Company; (ii) review of potential
Services designs and features; (iii) sharing Participant Data (as defined
below); (iv) reviewing and providing feedback on live features in the Services;
and (vi) otherwise testing the Services functionality. By participating in the
Program, you agree that you will not submit any content, whether it be by way of
survey responses or otherwise, that is (a) unlawful, defamatory, or obscene; (b)
infringes or misappropriates the intellectual property, privacy, or publicity
rights of others; (c) offensive, harassing, or has the purpose or effect of
creating an intimidating or hostile environment; (d) uses ethnic slurs, personal
insults, obscenity, or other offensive language; (e) in any way promotes unsafe
activities that could lead to an unsafe situation involving the company's
consumers or other individuals; and (f) contains harmful content such as
malware, viruses, time bombs, and other computer programming routines that could
damage or interfere with a system, program, data, or personal information. The
Company reserves the right to remove you from the Program at any time if you
violate any of these rules.

Limited License. The Company grants you a limited, revocable, non-exclusive,
non-transferable license to use the Services solely for evaluative use and, as
applicable, for participating in the Program, during the term of your
participation in the Program. You may not provide access to the Services to any
other person. You agree to be liable for any breaches of this Agreement arising
out of or relating to a violation of this limited license.

Participant Data. To use the Services, you will be required to share certain
types data and related information with the Company, which are identified in
Section II of PerkSpot’s Privacy Policy, as well as your age, education, and
income range (such information, and any other confidential or information
provided by you to us from time to time pursuant to the Service being referred
to as the "Participant Data"). We will collect Participant Data through surveys
administered by a third party, by interacting directly with you, and through
your use of the Services. We will use the Participant Data solely for the
purpose of providing you with the Services, for making improvements to the
Services, and for related activities. You grant the Company and its
representatives, agents, contractors, service providers and affiliates a limited
non-exclusive right to collect your Participant Data during your participation
in the Program for the purposes of developing the Services, future iterations,
and version of the Services, and for operating the Program.

Intellectual Property. The Company alone owns, or licenses, all right, title and
interest, including all intellectual property rights, in and/or related to the
Services, the software and documentation, and all of the content (other than
your Participant Data) that is made available in connection with the Services,
including but not limited to visual interfaces, interactive features, graphics,
design, databases, the data contained therein, computer code, products, and all
other elements and components of the Services. The Company also owns the
copyrights, trademarks, service marks, trade names, and other intellectual and
proprietary rights throughout the world associated with the Services, which are
protected by copyright, trade dress, patent, trademark laws and all other
applicable intellectual and proprietary rights and laws. You acknowledge that
any survey responses, suggestions, or feedback provided in the course of your
participation can be used freely by the Company without any obligation to you.

Confidentiality. While the Services may eventually become available to the
public, for the time being we ask you to keep the Services and your
participation in this Program confidential. Unless otherwise authorized in
writing PerkSpot, you agree to keep confidential, and not disclose to any third
parties, the existence and nature of the Services, the Program, the Program
results, comments and feedback compiled by you, the Services documentation,
pricing, business plans, technical features, devices, software, data and other
related materials and information provided by PerkSpot to you (collectively, but
in all cases excluding the Participant Data, "Confidential Information");
provided that if you are required by applicable law to disclose any portion of
the Confidential Information (including pursuant to any freedom of information
act or similar legal requirement identified beneath your signature to this
Agreement), you will promptly notify PerkSpot and will share only that portion
of the Confidential Information expressly required by law to be disclosed. You
acknowledge and agree that the Confidential Information is the exclusive
property of PerkSpot. Nothing in this Agreement shall be construed as PerkSpot
giving any license or rights in or with respect to any of the Confidential
Information. You may use the Confidential Information solely for the purpose of
evaluating the Services and, as applicable, participating in the Program.

Representations and Warranties. Each party agrees that the execution, delivery
and performance of this Agreement by such party and the consummation of the
transactions contemplated hereby are within such party’s power and authority and
have been duly and validly authorized by all necessary action on the part of
such party, and the terms of this Agreement do not violate, conflict with or
result in the breach of the terms of any other agreement or understanding
(written or oral) by which such party is bound (including without limitation, in
the case of Participant, any obligations with respect to the sharing of
Participant Data as required hereunder). You acknowledge and agree that: (a) the
Services are not complete and we have not commercially released them; (b) the
Services may not be fully functional, and may contain errors, software bugs, or
other problems, including problems that may adversely impact the operation of
your personal devices, including but not limited to phones, smartphones,
tablets, and desktop computers; (c) the Services may not be reliable during the
time you are participating as a tester in the Program; (d) the Services and
their use may result in unexpected results, loss of data, electrical failures or
other unpredictable damage or loss to you; (e) PerkSpot is under no obligation
to release a commercial version of the Services; (f) you have received the
necessary consents and approvals from the owner(s) of any device with which the
Services will be used/tested in the manner requested by PerkSpot; and (g)
PerkSpot has the right to unilaterally abandon development of the Services at
any time and without any obligation or liability to you or any third party. You
further acknowledge that you have paid no consideration to PerkSpot for the
Services hereunder, that you are neither working for or on behalf of our
competitors nor the press, and that THE SERVICES ARE FURNISHED "AS IS." PERKSPOT
MAKES NO WARRANTIES REGARDING THE SERVICES, EXPRESS OR IMPLIED, AND EXPRESSLY
DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND
NON-INFRINGEMENT.

Reference Customer and Marketing. You agree to serve as a reference customer for
the Services. You also agree that we may use your name, likeness, logo, and any
statements of support that you provide for the Services in our public-facing
materials and websites.

Limited Liability. IN NO EVENT SHALL PERKSPOT BE LIABLE TO YOU OR ANY OTHER
PARTY FOR DAMAGES OF ANY KIND ARISING FROM INSTALLATION OR USE OF THE SERVICES,
WHETHER RESULTING FROM A TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT,
WARRANTY OR OTHER FORM OF ACTION, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT,
SPECIAL, INCIDENTAL AND CONSEQUENTIAL DAMAGES, OF ANY KIND ARISING IN ANY WAY
OUT OF THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE
PARTIES AGREE THAT THE FOREGOING LIMITATION OF LIABILITY IS MATERIAL TO THIS
AGREEMENT. YOU AGREE THAT UNDER NO CIRCUMSTANCES WILL OUR LIABILITY TO YOU, FOR
ANY CLAIM ARISING OUT OF OR IN ANY WAY RELATING TO THE PROGRAM OR THE SERVICES,
EXCEED $50.00.

Government Restricted Rights. The licensed Services is a commercial item as that
term is defined in 48 CFR 12.101, consisting of commercial computer software and
commercial computer software documentation as such terms are used in 48 CFR
12.212. Consistent with 48 CFR 12.212 and 48 CFR 227.7202-1 through 227.7202-4,
all U.S. Government end users acquire the Services with only those rights
explicitly set forth in this Agreement. To the extent any state or other law
purports to provide Participant with any rights, or impose any obligations on
the Company, with respect to the Services licensed under this Agreement that are
not set forth in this Agreement, Participant hereby waives such rights and
obligations.

Other Matters. This Agreement contains the entire agreement between you and the
Company with respect to the Services and Program, and supersedes all prior and
contemporaneous representations, promises, agreements and understandings,
whether oral or written, between you and the Company. If you continue to use the
Services following the end of the Program, or if the Program is expanded to
incorporate new or alternative functionality, you may be required to enter into
a new agreement with the Company. You may not assign this Agreement without the
prior written consent of the Company. The sections of this Agreement titled
"Pre-Release Software," "Intellectual Property," "Confidentiality," "Participant
Data," "Reference Customer and Marketing," "Limited Liability," "Government
Restricted Rights," "Other Matters," and any other provision that, by its
nature, is intended to survive termination or expiration of this will survive
any termination of this Agreement or the Program. This Agreement is governed by
Illinois law, and may not be amended or modified without the prior written
consent of you and the Company. You consent to the exclusive jurisdiction of the
state and federal courts sitting in Cook County, Illinois for any and all
disputes arising out of or relating to the Program, this Agreement, and the
Services. If any provision of this Agreement is found to be invalid or
unenforceable pursuant to judicial decree or decision, the remainder of this
Agreement shall remain valid and enforceable according to its terms. You
acknowledge agree that any breach of your obligations under this Agreement with
respect to the rights of PerkSpot may cause PerkSpot irreparable injury for
which there are inadequate remedies at law, and, therefore, PerkSpot will be
entitled to equitable relief in addition to all other remedies provided by this
Agreement or available at law or in equity.
