These Terms and Conditions comprise the following: 1. the overall terms of use as set out in Sections 1 to 5 and 8 to 19 (the "Terms of Use"); 2. the terms for users who have completed the registration process as set out in Section 6 (the "Registration Terms"); and 3. the terms for subscribers to the Service as set out in Section 7 (the "Subscription Terms"). 6. Certain features or components of the Service may be subject to additional terms and conditions, including user guidelines or other rules, which will be posted on the applicable Service. You agree that you are bound by and consent to all of these Terms and Conditions however if there is any inconsistency or dispute between these Terms and Conditions and the group subscription agreement, then the terms of the relevant group subscription agreement will prevail to the extent of the inconsistency or dispute. 9. If you access, use, download or purchase the Service through any third party platform or service (e.g., Apple App Store or Google Play) ("Third Party Service(s)"), the applicable terms and conditions for such Third Party Service ("Third Party Terms") will apply to you. You agree that you are responsible for your use of any such Third Party Service and you enter into such Third Party Terms entirely at your own risk. 2. Age Requirement 3. By accessing, using, downloading and/or subscribing to the Service, you agree that you are at least 18 years old. 4. Changes to the Terms and Conditions 5. By registering for an account, making a purchase, or otherwise using our Services (including viewing our content), you acknowledge and agree that we may and will collect, use, transfer, disclose, and otherwise process your personal information as described in our Privacy Statement. 3. Among other things, the Privacy Statement explains that we may collect, use, disclose, and process various categories of personal information, and it explains how we and our third-party business partners may deploy cookies and other tracking technologies (e.g., cookies, web beacons, tags, pixels, and embedded scripts), including for interest-based advertising. 4. Without limiting the foregoing and for clarity, you agree that we may transfer your personal information: 1. outside of your home country to another country where the laws may not provide an equivalent level of protection; and 2. to third parties in accordance with our Privacy Statement. 9. Registration 1. As part of the registration process (for both registered users and subscribers), you will be required to create a user account (including creating a login name and password). If you do not complete the registration process, you will not be able to access those parts of the Service available to registered users and/or subscribers. 2. You agree and promise that the information provided by you to us, including during the registration process, is complete and accurate to the best of your knowledge. You will promptly inform us of any changes to your information. 3. You are not allowed to share your login details or give your login details to anyone else. Your registration is for your own individual use only. You are responsible for the use or misuse of any login details you create as part of the registration process and for maintaining its confidentiality. Subscription 1. Processing 2. We will process your subscription order as quickly as possible but there may be delays in activating your subscription. 3. A subscription agreement will only be entered into between you and us once we have processed and verified your subscription order and provided you with access to the relevant parts of the Service. 4. We reserve the right, at our sole discretion, to reject any subscription order (at any time and for any reason). 5. Your subscription contract will be with Reuters News & Media Inc. or any other Reuters group affiliate, depending on your billing address. The company details of certain Reuters group affiliates are set out in Section 19 below. 6. We may assign your subscription contract or any rights granted in your subscription contract, in whole or in part, either: (a) to any other Reuters group affiliate; (b) in connection with any Reuters group affiliate's sale of a division, product or service; or (c) in connection with a reorganization, merger, acquisition or divestiture of any Reuters group affiliate or any similar business transaction. 1. Payment and Pricing 2. You must provide us with full and correct payment information. 3. By submitting your subscription details to us (including payment information), you confirm that you are entitled and authorized to make the payment using those details. 4. You agree to pay the subscription price specified at the time of your subscription order as well as any other additional charges (including any applicable taxes such as value-added-tax (VAT) or sales taxes). 5. You also agree to the billing frequency for such payment specified at the time of your subscription order (e.g., weekly, monthly or annually). We will charge or debit your payment method at the beginning of your subscription, and we will bill you in accordance with the billing frequency specified at the time of your subscription order. 6. We will specify the currency in which Reuters will bill you at the time of your subscription order. The currency will be determined by your subscription type and billing address. 7. Any discounted or trial subscriptions will be specified at the time of your subscription order and cannot be changed during your subscription term. At the expiry of any discounted or trial period, your subscription will automatically renew at the full subscription price applicable at the time (unless you have cancelled your subscription prior to expiry of such discounted or trial period). Any subscriptions as part of a discounted or trial offer may be subject to different cancellation policies, which will be specified at the time of your subscription order. 8. You may not subscribe to more than one trial or discounted subscription offer in any 18 month period. We are entitled to cancel your subscription (without providing a refund) if you exceed one trial or discounted offer in the previous 18 months. 9. We may change prices and charges at any time. We will notify you reasonably in advance of any price increases and will provide you with an option to cancel or change your subscription on or before the date the price increase takes effect. This does not apply to any changes in applicable taxes. 10. We are not obliged to offer you access to the Service at a price we have provided in error. We will notify you of the error and provide you with an option to cancel your subscription and, if you have already made payment, provide you with a refund. 11. Your subscription may not grant you access to all areas of the Service. Access to such areas may be subject to additional fees, terms, and conditions (which will be specified in such areas). 12. You may also incur additional charges from third parties when accessing the Service (e.g., from banks, internet service providers, telecommunication service providers). You are responsible for any such additional charges. You will also be responsible for any costs we incur relating to the collection of unpaid charges. 13. We reserve the right to use third parties in order to process payments (such as Stripe) ("Payment Processor"). The Payment Processor will be responsible for all payment processing through its systems, and the Payment Processor's terms and conditions may apply to you (in addition to these Terms and Conditions). 14. We are entitled to immediately suspend or cancel your subscription if we do not receive payment authorization or if any authorization is later cancelled (e.g., if your credit card expires). 1. Cancellations 2. By placing your order for your subscription in accordance with these Terms and Conditions, you agree that we may start your subscription immediately upon our acceptance of your order (i.e., an instant access service). 3. You are free to notify us of your intention to change or cancel your subscription at any time by informing us via https://www.reuters.com/account/settings/subscription/ , opens new tab 4. Your subscription will only be cancelled with effect from the date on which your current subscription period ends, provided that you notify us of your intention to change or cancel via https://www.reuters.com/account/settings/subscription/ , opens new tab at least 2 days before the end of your current subscription period. For the avoidance of doubt, you will not receive any refund in respect of your current subscription period even if you have given notice to cancel (provided the Service is made available to you for the current subscription period in working order). 1. Renewals 2. Your subscription will renew automatically for the next equivalent subscription period at the then prevailing price (and we will charge you using the same payment method previously used) unless it is cancelled via https://www.reuters.com/account/settings/subscription/ , opens new tab at least 2 days before the end of your current subscription period (i.e., the renewal date) in accordance with these Terms and Conditions. 3. You must ensure that you cancel your subscription ahead of any automatic renewals in accordance with these Terms and Conditions if you would like to avoid any charges being payable in respect of the renewed subscription period. 4. With respect to an annual subscription, we will provide you with a reminder notice before the end of your current subscription period (i.e., renewal date) setting out the subscription fee which will apply for the renewal and providing you with an opportunity to cancel. 5. We reserve the right, at our sole discretion, to suspend or terminate your subscription for any reason and at any time (e.g., where you have breached these Terms and Conditions, or events beyond our control). We reserve the right, at our sole discretion, to issue refunds or credits depending on the reason for the termination or suspension. 1. Withdrawal for UK and EU Residents 2. If you are a subscriber based in the United Kingdom or European Union, notwithstanding your cancellation rights set out above, you have a statutory right to withdraw from your subscription within fourteen (14) days of the start of your subscription by contacting us at: https://liaison.reuters.com/contact-us , opens new tab . The cancellation method described in Section 7.20 (i.e., by accessing the My account page) does not apply to a withdrawal under this Section 7.26. In relation to such withdrawal rights, we will refund you using the same payment method used for the subscription purchase. 1. Third Party Services 2. If you purchase a subscription to the Service via a Third Party Service, your subscription is managed by such Third Party Service and is subject to the applicable Third Party Terms (including, with regard to purchases via the Apple App Store, Section 11.3 below) and these Subscription Terms (as set out in this Section 7) may not fully apply to you. 3. You should directly use or contact (as applicable) the relevant Third Party Service with any issues related to payment, changes, cancellation, renewals and/or refunds (i.e., we do not control the payment and cancellation of subscriptions to the Service via a Third Party Service). We take no responsibility for purchases via a Third Party Service. 11. Intellectual Property; Copyright 1. All the materials on the Service - the text, photographs, video, audio, graphics, metadata, quotes, data, information, the overall "look and feel", and all protectable intellectual property (collectively, the "Content") - is the property of Reuters or, in some cases, its licensors. 2. The Service and Content are protected by copyrights, trademarks, design rights, patents, trade secrets, database rights, sui generis rights, and other intellectual or proprietary rights under U.S. and international laws. You agree that all intellectual property rights in the Service and Content (in whole and in part) are and shall remain the property of Reuters, the Reuters group affiliates and/or our licensors. No intellectual property rights in the Service and Content are transferred to you. 3. Except for the limited license described herein, you are not conferred any right in the Service and Content, by implication, estoppel or otherwise, under copyright or other intellectual property laws, either now or in the future. 4. Restrictions on Use 1. THE SERVICE AND THE CONTENT IS PROVIDED BY REUTERS AND ITS LICENSORS TO YOU ON A NON-EXCLUSIVE, LIMITED AND REVOCABLE BASIS AND FOR YOUR PERSONAL USE AND INFORMATION ONLY. YOU MAY NOT USE THE SERVICE OR THE CONTENT FOR ANY COMMERCIAL PURPOSE. 2. You promise that you are accessing, using, and/or registering to the Service in your personal, individual capacity (except, if applicable, where your access falls under a group subscription agreement in accordance with Section 1.7.4). You agree not to use, transfer, distribute, and/or dispose of the Service or Content in any manner that could compete with the business of Reuters or any of its partners. You may not use the Content or Service, including without limitation, any Content made available through an RSS feed, in any commercial product or service, without our prior written consent. 3. CLAIMS OR DISPUTES OF MORE THAN ONE USER CANNOT BE LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER USER WITHOUT THE CONSENT OF ALL PARTIES. Accordingly, you agree that you will not sue Reuters as a class plaintiff or class representative, join as a class member, or participate as an adverse party in any way in a class action lawsuit against Reuters.
