planet. They are known for developing advanced AI models like ChatGPT. OpenAI
conducts cutting-edge AI research and has a commitment to open collaboration and
safety in AI development.

FC Invested in May 2024 (Series B). Varda Space Industries specialises in
manufacturing in space. They produce high-quality materials in microgravity
environments, leveraging the unique conditions of space to enhance product
properties that are not achievable on Earth.

FC invested in Nov 2023 (Series A). Audiomob is a technology company
specializing in non-intrusive audio advertising for mobile games. It offers
developers a way to monetize their apps while providing advertisers a unique
channel to reach engaged audiences.

FC Invested in Dec 2024. Discord one of the largest communication platforms in
the world. Designed primarily for gamers, offering voice, video, and text chat.
It supports communities with servers where members can interact, share content,
and collaborate seamlessly.

FC Invested in May 2024 (Series C). One of the most highly regarded AI companies
globally. Perplexity is an AI-powered search assistant which uses advanced
natural language processing to deliver accurate & relevant information.

Richard, a three-time founder and Forbes 30u30 lister, has a robust track record
launching high-growth companies. Also an accomplished Author, he shares vital
insights into intersection between sales and marketing. Currently, he is the
General Partner at Founders Capital, managing an investment portfolio of over 40
companies.

What is Founders Capital?

We are an investment community for UK & European based Founders & Entrepreneurs
We provide tier-1 investment opportunities in the most exciting tech companies
on the planet. 🚨**We're not a fund. We provide you access to investment
opportunities.** **You get to choose which companies you do or don't want to
invest in.** We make our money on successful exits, so we are incentivised to
bring the best deals to the community. We charge a flat 20% carry fee upon exit
(the profit).

How do FC secure access to deals?

We source deals through our network of industry experts, founders, and
investors. We also receive referrals from our existing portfolio companies and
partner organisations. We're currently provided with around 150 opportunities
per month, we will typically undertake more in-depth Due Diligence into around
5% of these opportunities and we look to run at least 2 deals per month through
our community (one early and one late stage).

How do I become an FC member?

You can apply to join using one of the links on this Website. In order to be
accepted you must be a Founder or senior operator in your Industry. We review
applications twice a month.

I'm an Investor outside of Europe, can I still invest?

Yes. We can handle investments from investors globally, into companies anywhere.
We do suggest that you seek your own Tax advise however, whilst we use a Tax
transparent investment structure the tax implications on your investments would
be led by the legislation you are domiciled in.

What happens in the event of an exit?

In the case of an exit the distributions are paid out via our SPV provider. They
will pass the capital/shares directly to the investors in the syndicate in
accordance with the Founders Capital share agreements. In case any distribution
event were to take place you will receive a notification at the email address
associated with your investor account with which you made the fund or SPV
investment. In any liquidity event, standard tag along and drag along terms, as
outlined in the shareholders agreement, will apply. In a scenario such as an
IPO, where an investor may choose to hold their shares rather than sell
immediately, the investor must act in good faith with regards to honouring the
terms of their carried interest agreement with the syndicate lead. This will
typically mean liquidating sufficient shares to cover the payment of carried
interest to the syndicate lead. The investor may, however, maintain the rest of
their holding, and they would set up a brokerage account in their own name in
the event of an IPO.
