Thank you for choosing Zuma New York for your upcoming event on Tuesday, June
20, 2023 in the Matsu and Yuri for 40 guests with a minimum spend of
$8,000.00 plus room rental fee of , a 7% Administration Fee, all of which are
subject to NY State and Local Sales Tax, plus your chosen gratuity. 

Attached please find a copy of your Private Dining Agreement and credit card
authorization for your review and signature. To confirm this event
please, select your gratuity, digitally sign the Agreement, below the digital
signature –please be sure to click “ I accept the terms of this condition”
button to submit your signature and submit your credit card via
the secure online portal Tripleseat, no later than 48 hours from the date of
this letter. Please be advised this event is tentative until all of the
foregoing actions are completed. Once received, we will charge the card on file
for the deposit. On or before your event, we will charge the remaining balance
of your event to your credit card through Tripleseat. If any additional charges
are made at the event, we will charge those directly to your credit card through

Private Dining Agreement ("Agreement")



Terms and Conditions

Private Dining 
Agreement 
("Agreement") 
between Zuma NYC LLC (“Zuma”) and 
Greg Murphy, 
herein referred to as “you”, “your” 
or “client”) for your event 
on Tuesday, June 20, 2023 
(the “Event”)

 1.  Food and Beverage Minimum
     By entering into this Agreement, you guarantee to pay a minimum amount for
     food and beverage charges at your Event in the sum of $8,000.00 (the “Food
     and Beverage Minimum”).  Your reservation is from 6:00 PM to 9:30 PM. If
     you wish to extend beyond these hours, there will be a charge of $500 per
     30 minutes, plus all additional food and beverages charged on consumption,
     plus a 7% Administrative Fee (as defined below), NYS sales tax, and any
     chosen gratuity. If the Food and Beverage Minimum is more than the actual
     charges incurred at the Event, the difference will be charged in the form
     of a room rental fee, subject to the Administration Fee, NYS sales tax and
     chosen gratuity as set forth in this Agreement.
 2.  Deposit and Payment for the Event
     A non-refundable deposit in the amount of 50% of the Food and Beverage
     Minimum (the “Deposit”) is required upon signing this Agreement to confirm
     your reservation. The balance due of the total anticipated final charge for
     food & beverage, room rental (if any), Administration Fee, sales tax and
     any other confirmed charges (“Anticipated Final Charges”) are required to
     be paid prior to the Event. The Deposit will be credited to your final
     bill on completion of the Event. Discretionary gratuity and any additional
     charges incurred during the Event shall be payable in full at the
     completion of the Event. Your credit card information will be securely
     stored through Tripleseat, our secure online portal. All credit card
     charges will be made through Tripleseat.
 3.  Administration Fee 
     A fee in the amount of Seven Percent (7%) of the total charges for the
     Event (all charges except for the gratuity) for the administration of the
     Event (the “Administrative Fee”) will be added to the final bill, and is
     subject to NYS sales tax. The Administration Fee is retained by Zuma in
     connection with hosting, planning and organizing of the Event. It is
     not gratuity and will not be distributed to the staff serving the guests at
     the Event.
 4.  Cancellation Policy 
     A fifty percent (50%) non-refundable deposit is required upon signing this
     Agreement to confirm your event. If the Event is canceled within fourteen
     (14) days prior to the Event, then 100% of the Anticipated Final Charges
     (including the Deposit) will be forfeited by the client and retained by
     Zuma, with any unpaid portion of the Anticipated Final Charges due on the
     date of cancellation.  Please note that all cancellations must be in
     writing. 
 5.  Payment 
     Zuma accepts cash, all major credit cards, wire transfer and certified bank
     checks. Personal or business checks and are not accepted for payment. A
     completed and signed credit card authorization form is taken to guarantee
     the reservation for the Event. Although, Zuma does not retain client credit
     card information, all such information is retained by Tripleseat. After the
     Event, one bill detailing all charges incurred will be presented to the
     client to handle payment, and only one form of payment will be accepted.
     All charges must be paid at the conclusion of the Event, unless agreed by
     Zuma in writing. If a credit card is online in Tripleseat, it will be
     automatically charged.
 6.  COVID Protocols 
     With respect to COVID-19 and all variants thereof, Client agrees to comply,
     and to cause its guests to comply, with all government-imposed rules and
     regulations (“Government Rules”), in addition to all health and safety
     policies and measures taken by the Zuma (the "Health and Safety Measures"),
     which may be changed by the Zuma at any time and from time to time  without
     notice, which includes without limitation, proof of “full vaccination” (as
     defined by the CDC).  If a guest refuses to adhere to any of the Government
     Rules or Health and Safety Measures, then at Zuma’s request, the Client
     shall use reasonable, good faith efforts to have such guest immediately
     comply with the Government Rules and Health and Safety Measures. At all
     times, Zuma reserves the right to refuse entry and/or immediately escort
     any guest from Zuma’s premises who is not in compliance with Government
     Rules and/or the Health and Safety Measures.  For the avoidance of doubt,
     Client acknowledges that the Event Total shall not be reduced for changes
     in guest count as a result of Zuma’s enforcement of the Government Rules
     and/or Health and Safety Measures.
 7.  Authority 
     Any person signing this Agreement in the name of a company (corporation,
     limited liability company, partnership, charitable organization, society,
     association, club, or any other organization or entity, represents and
     warrants to Zuma that he/she is duly authorized to sign this Agreement on
     behalf of the client entity and bind that entity to the terms and
     conditions of this Agreement.
 8.  Special Services, Decorations & Signage 
     Our experienced team is available to assist you with your menu choices and
     other planning requirements to ensure a successful event. We can also
     assist you with recommendations for custom cakes for special occasions,
     floral arrangements, audio/visual needs, and other specific requests. The
     client agrees to pay all expenses incurred for all additional arrangements
     made by Zuma on the client’s behalf as directed by the client, including
     without limitation, any third-party rentals and flower orders. Prior
     arrangement of outside decorations should be organized with your event
     manager, and Zuma reserves the right to reject vendors at its sole
     discretion. Zuma will not be responsible for client’s property and will not
     be responsible for decorations, gifts, and articles left behind after the
     Event. Zuma reserves the right to require any outside vendor to supply a
     valid certificate of insurance and to name Zuma NYC LLC, its Landlord and
     any other relevant party that Zuma deems necessary as an additional
     insured. Certificates of insurance shall be presented to Zuma upon request.
 9.  Outside Food and Beverage 
     Due to health, safety, liquor laws and regulations, no outside food or
     beverage are permitted to be brought into the restaurant without prior
     written authorization of Zuma management, which may be withheld in its sole
     discretion. With advance notice, the Zuma team may assist in ordering or
     creating specialty items in addition to what is offered on our menus.
 10. Beverages 
     Zuma offers a range of beverage selections available for pre-order.
     Beverage selections must be made the Wednesday at 12:00pm the week prior to
     the Event. Alcoholic and non-alcoholic beverages sold in the restaurant on
     the day of the Event are charged upon consumption and will be added to the
     final bill. To ensure your desired beverage selection is available
     throughout your Event, we highly recommend pre-selection, especially for a
     group of 12 or more guests. Our sommeliers are available prior to your
     reservation and onsite to assist in any selections or pairings for your
     Event.
 11. Guaranteed Guest Count 
     A final guaranteed party size is required at least three (3) business days
     prior to your Event date and applicable charges will be based on this final
     number or the number of guests at the Event, whichever is greater. Where an
     updated guest count is not received, we will consider the number indicated
     at the original booking date as your final guaranteed number of guests. If
     the number of guests in attendance falls below the confirmed guaranteed
     number, the client will be charged for the confirmed guaranteed count. Zuma
     is not responsible for ensuring increase or decrease in the size of the
     group at the Event.
 12. Taxes and Additional Charges 
     The client agrees to pay all additional charges, the Administration Fee
     plus applicable rate of New York State sales tax and the chosen amount of
     gratuity you have selected. Zuma will not take responsibility for abiding
     by group spending guidelines and it will be the group host’s sole
     responsibility to monitor spending if required to do so by the cardholder.
 13. Menu Selection and Prices
     Our menus are created for your convenience and to provide the ultimate
     dining experience. Upon request and with advance notice, we are happy to
     create a personalized menu with you in order to meet your specific needs,
     making every effort to accommodate any dietary requests and food allergies.
     Please inquire of your guests of any food allergies and alert the Zuma
     staff.  Due to availability and seasonality, which is out of our control,
     any pre-selected items (food and drinks) are subject to change without
     notice. Please know that any substitutions will reflect the style and
     quality of the item and the price that has been previously arranged. Your
     final menu selections must be made no later than Wednesday at 12:00pm of
     the week prior to your Event.
 14. Dining Locations 
     The location of the Event is at the discretion of Zuma management unless
     reserved otherwise. If specific areas are requested, additional charges may
     apply.
 15. Guest Conduct 
     Zuma is not responsible for the conduct of guests at the Event. If any
     guest’s behavior is deemed unsatisfactory, Zuma reserves the right to eject
     anyone and/or refuse entry at any time in its sole and absolute discretion.
     Should the property of Zuma’s restaurant inclusive of all furniture,
     equipment, fixtures and dinnerware be damaged in any way, the client will
     be responsible for all costs of the damage incurred.
 16. Excused Non-Performance 
     If for any reason beyond its control, including but not limited to strikes,
     accidents, government restrictions or regulations on operations,
     commodities or supplies, natural disaster, acts of war or acts of God or
     terrorism, or severe weather conditions, Zuma is not able to perform its
     obligations under this Agreement, upon notice to the client, Zuma reserves
     the right to terminate this Agreement and cancel the Event without further
     liability, upon return of the Deposit to the client.
 17. Publicity 
     Zuma® is a registered trademark. You are not permitted to use the Zuma name
     and/or logo in any promotional materials or press releases in connection
     with this Agreement and/or the Event without Zuma’s prior written consent.
 18. Liability 
     The client is fully responsible for any loss and/or damage to any part of
     Zuma’s premises or injury to persons which are caused or contributed by the
     client or the client’s guests, invitees, employees, vendors, contractors or
     agents. You agree to indemnify, defend and hold Zuma, its parents and
     affiliates, and its Landlord harmless from and against any and all claims,
     causes of action, liabilities, damages and costs, including reasonable
     attorneys’ fees, in connection with any such loss, injury, liability or
     damage. Any personal property of the client, client’s guests, invitees,
     employees, vendors, contractors or agents brought into the restaurant and
     left therein, either prior to or following the Event, shall be the sole
     responsibility of the client, and Zuma will not be liable for any loss of
     or damage to any such property for any reason.
 19. Entire Agreement 
     Together with the attached Event details, this Agreement sets forth the
     entire agreement between Zuma and the client with respect to the Event, and
     supersedes any prior discussions and/or agreements, whether verbal or
     written. You acknowledge that you have not relied upon any verbal
     representations, promises or agreements by any person which are not set
     forth in this Agreement. This Agreement cannot be changed verbally and any
     changes or amendments to this Agreement must be in writing and signed by
     both parties hereto.
 20. Severability 
     The parties acknowledge and agree that the provisions of this Agreement are
     both reasonable and enforceable. However, if any portion or provision of
     this Agreement is determined to be illegal, invalid, or unenforceable by
     any court of competent jurisdiction and cannot be modified to be legal,
     valid, or enforceable, the remainder of this Agreement shall not be
     affected by such determination and shall be valid and enforceable to the
     fullest extent permitted by law, and said illegal, invalid, or
     unenforceable portion or provision shall be deemed not to be a part of this
     Agreement.
 21. Waiver of Jury Trial; Governing Law 
     This Agreement shall be construed and interpreted in accordance with the
     laws of the State of New York, without regard to conflict of law
     principles. The parties waive the right to a trial by jury in any
     litigation arising out of this Agreement. Any disputes hereunder shall be
     heard by a court of competent jurisdiction located in the State of New
     York, New York County.

I Greg Murphy  hereby agree to the terms and conditions of this Agreement for
the Event under TP ICAP Americas holdings Inc. Presentation and Reception on
Tuesday, June 20, 2023 in the Matsu and Yuri for 40 guests with a minimum food
and beverage spend of $8,000.00, Room Rental, Administration Fee, Sales Taxes
and Chosen Gratuity.

Credit Card Authorization & Deposit Payment



By digitally submitting my credit card, I hereby authorize Zuma to use the
provided credit card to secure my private dining reservation with a 50% deposit
charged upon receipt of Agreement, signed by me. I understand that an initial
non-refundable deposit of 50% of the minimum spend will be made to this card at
the time of making my reservation. I understand that a final guest count is
required (3) three business days prior to this event.

I have read and understand that Zuma has a 14 day cancellation policy for
private dining reservations. Failure to notify the restaurant of cancellation in
accordance with the Agreement or failure to arrive for the reservation will
result in charges to the credit card in accordance with the Agreement.
