responsibility for all legal and compliance matters of the Nokia Group. Before
joining Nokia he was head of public policy for EMEA and general counsel for MEA
at Yahoo! He also held roles at GE Oil & Gas, Etisalat and TMF Netherlands. In
addition to his legal work Mr Abou-Khalil is an advocate for equity, inclusion
and diversity, working with Nokia’s LGBT+ employee resource group, EQUAL! He
participated in the launch of the OUT Leaders programme as Nokia’s first out
leader. Mr Abou-Khalil is also a faculty member of the Digital Legal Exchange.

Nicolette Henfrey is Executive Vice President, General Counsel &amp; Company
Secretary and, as a
trusted advisor to the Board and its Committees, has global responsibility for
all areas of corporate
governance, legal, risk management, insurance, regulatory compliance, internal
audit and safety,
security and hotel standards for the nearly 6,000 hotels within IHG’s global
business.

Nicolette first joined IHG Hotels &amp; Resorts in 2001, and prior to leading
the Business Reputation and Responsibility function, she held a number of senior
legal roles within IHG, including Deputy Company Secretary where she worked with
the Board, Executive Committee and wider organisation to ensure best-in-class
delivery and compliance across legal, governance and regulatory areas.

Nicolette is a solicitor, qualified in England and South Africa,  and prior to
joining IHG worked as a
corporate lawyer at Linklaters in London and Findlay &amp; Tait (now Bowmans) in
South Africa.

Rosemary Martin was appointed Group General Counsel and Company Secretary in
March 2010. She previously served as CEO of the Practical Law Group, having
spent 11 years with Reuters Group Plc with the last five years as Group General
Counsel and Company Secretary.

Before joining Reuters, Rosemary was a partner with Rowe & Maw (now Mayer
Brown). She was a Non-Executive Director of HSBC Bank Plc (the European arm of
HSBC Group) until April 2016 and a Non-Executive Director of EY until August
2018.

Rosemary is currently a member of the UK Takeover Panel’s code committee, a
member of the audit committee at the University of Sussex and a trustee of
Lloyd’s Register Foundation.
