This Master Service Agreement ("Agreement") is entered into as of the 17th day
of June, 2024, by and between

Quantum Web Solutions LLC of 482 Innovation Drive, Suite 300, Techville, TX
75001, USA ("Service Provider"),

Globex Corporation of 1200 Future Way, Metropolis, NY 10001, USA ("Client").




Service Provider shall perform the services described in the Statement of Work
(SOW) that is mutually agreed upon and executed by both parties. Each SOW will
specify the services to be provided, the fees for such services, and any other
relevant details. Each SOW shall become a part of this Agreement upon execution.

Client will pay Service Provider as set forth in each SOW. Unless otherwise
specified, payments shall be due within thirty (30) days of receipt of an
invoice from Service Provider.

This Agreement shall commence on the date first written above and shall continue
in effect until terminated by either party upon not less than ninety (90) days’
written notice.

Each party agrees to keep confidential all proprietary information disclosed by
the other party and not to disclose it to any third party without the prior
written consent of the disclosing party.

Neither party shall be liable to the other for any special, indirect,
incidental, or consequential damages arising out of or in connection with the
performance of services, except as provided under this Agreement.
