UK Addendum to European Commission’s 2021 Standard Contractual Clauses (“SCCs”)

We are writing to you to explain changes to our client contract to satisfy
compliance with global data protection laws. At S&P Global, we value privacy.
Delivering essential intelligence as a global data and analytics company
requires that we maintain the trust of our clients and assist them with their
compliance obligations.

As you may be aware, in 2021 the European Commission published new Standard
Contractual Clauses (“2021 SCCs”) for the transfer of personal data to third
countries. The United Kingdom Information Commissioner’s Office issued the
International Data Transfer Addendum to the 2021 SCCs under S119A(1) Data
Protection Act 2018, effective 21 March 2022 (the “UK Addendum”). The UK
Addendum along with the 2021 SCCs can be utilized as a transfer tool to comply
with Article 46 of the UK General Data Protection Regulation when making
restricted transfers from the UK to third countries. 

In order to have a valid mechanism for such transfers and provide adequate
protection for personal data from the UK, parties must update their contracts by
21 March 2024 to include the UK Addendum.

Accordingly, effective as of the date of this communication, we commit to the UK
Addendum applying to the S&P Client Contract that you have signed with us for
ratings and other products and services with regard to restricted transfers of
personal data subject to the UK GDPR. We require you to do so as well such that
the S&P Client Contract is amended to incorporate the UK Addendum published at:

the 2021 SCCs published

In the event of any conflict between the existing S&P Client Contract you have
signed with us and the UK Addendum to the 2021 SCCs, the UK Addendum to the 2021
SCCs will prevail.
