TWITTER HIRES SKADDEN LAWYER AS MUSK TACKLES MOUNTING LITIGATION

Twitter Inc. has hired former Skadden, Arps, Slate, Meagher & Flom associate
Adeeb Sahar for a top legal job as the company grapples with a growing list of
legal liabilities.

Sahar is Twitter’s new global head of commercial, corporate, and international
law after working in Skadden’s office in Palo Alto, Calif., where he spent
nearly four years after joining the law firm as a summer associate in 2018.

Sahar was part of a team of Skadden lawyers that advised Twitter’s billionaire
leader Elon Musk on his $44 billion acquisition of the San Francisco-based
social media company last year, according to legal filings.

Twitter Inc. has hired former Skadden, Arps, Slate, Meagher & Flom associate
Adeeb Sahar for a top legal job as the company grapples with a growing list of
legal liabilities, including a lawsuit filed Monday by its former legal chief.

Sahar is Twitter’s new global head of commercial, corporate, and international
law after working in Skadden’s office in Palo Alto, Calif., where he spent
nearly four years after joining the law firm as a summer associate in 2018.

At Skadden, Sahar was part of a team of lawyers that advised Twitter’s
billionaire leader Elon Musk on his $44 billion acquisition of the San
Francisco-based social media company last year, according to legal filings.

Sahar’s hire, confirmed by a State Bar of California registration and a LinkedIn
post, comes after Musk took control of Twitter and embarked on an at-times
chaotic restructuring that sought to raise revenue by charging subscribers.

Skadden and Sahar didn’t respond to requests for comment. An auto-response
message from Twitter’s press contact email sent a poop emoji.




Sahar was credited for being part of a team that aided Musk in restructuring
Twitter, according to a LinkedIn post last week by Suzanne Dang, a purchasing
director at Musk-controlled Space Exploration Technologies Corp. She didn’t
respond to a comment request.

Prior to becoming a lawyer, Sahar was a co-founder and chief executive officer
of a venture-backed publishing startup called Inklo, which the former Stanford
University undergraduate worked on while attending Columbia Law School.

Sahar reportedly started Inklo with J.P. Lawrence, a former Stanford classmate
who has been a patent technical adviser for Morgan, Lewis & Bockius.


TWITTER DEPARTURES

One of Musk’s first acts at Twitter was firing the company’s chief legal,
policy, and trust officer Vijaya Gadde—whom he had publicly sparred with prior
to his purchase—and general counsel Sean Edgett.

After that cull, dozens of Twitter lawyers joined thousands of other company
workers who were caught up in mass layoffs and a related employee exodus.

Twitter’s legal liabilities multiplied after Musk took control, Bloomberg News
reported last month. Twitter is at risk of failing to comply with various data
privacy regulations and other accords entered into by the company.

Gadde and two other former top Twitter executives—chief exeuctive officer Parag
Agrawal and chief financial officer Ned Segal—sued the company Monday in a
Delaware court seeking the reimbursement of personal legal expenses.

The civil complaint, filed by lawyers from Sidley Austin and Delaware’s
Friedlander & Gorris, claims that plaintiffs have incurred roughly $1 million in
legal fees and that Twitter is being investigated by the Justice Department.

Gadde, who was one of Twitter’s highest-paid and more influential senior
executives, was called to testify before Congress in February.


SAHAR’S ROLE

Sahar has taken over a Twitter legal job previously held by Jerusha Herman
Roybal, who announced her resignation from Twitter via tweet in mid-February.

“After 7.5 incredible, challenging, deeply fulfilling, and life changing years
at Twitter, I made the difficult decision to resign,” she said in disclosing her
departure from the company’s legal team, a group once known as “Tweagle” by
those who worked there. “I am so proud to have worked alongside some of the most
talented, dedicated, ethical, kind, and bright people in the industry.”




Herman Roybal last month was named a lead director and associate general counsel
for the Trade Desk Inc., a software and technology company.

Christian Dowell, a senior lawyer who most recently served as Twitter’s head of
product legal, has also left the company, the New York Times reported last week.
Dowell, who previously worked at Yahoo Inc., initially joined Twitter in 2020.

In recent months Dowell and Herman Roybal were among a handful of Twitter
lawyers reporting directly to Musk. The group, most of whom had previously held
mid-level legal roles at the company, was effectively the de facto top of
Twitter’s internal legal group after a leadership succession plan was scrapped.

Many former Twitter lawyers have gone on to quickly secure new jobs at other
companies. Social media rival TikTok Inc. recruited two former Twitter
litigators in February, a month before Ancestry.com LLC added ex-deputy general
counsel Tina Hwang to be its chief privacy officer and vice president of legal.
