with Companies House, the official registrar of companies for England and Wales.
The process creates a legal entity with a separate identity from its

DO I HAVE TO LIVE IN THE UK TO FORM A COMPANY?

No. You do not have to live in the UK to register a UK company. The law allows
foreign individuals and businesses to form companies in the UK subject to the
following requirements —

 * Appoint at least one director (individual or company) who is a resident in

 * Have a registered UK office address for the company

HOW MANY SHARES DOES A COMPANY NEED?

A Limited Company requires at least one share per shareholder, with a minimum of
one shareholder. There is no limit to the number of shares held by a
shareholder.

HOW CAN I DISSOLVE MY COMPANY?

To dissolve a company is the process of having it “struck off” the Companies
Register subject only if it —- 

 * Has not changed its names, traded or sold off any stock within the last three
   months;
 * Is not threatened with liquidation; and 
 * Has no agreements with creditors, for example, a Company Voluntary
   Arrangement (CVA).

The entity can only be liquidated if it does not meet the above conditions.
After the shareholders or owners decide to dissolve a company, Companies House
requires that they follow the following process —

 1. Inform employees, managers, trustees, partners, and government stakeholders
    such as HM Revenue and Customs of your decision to close down. 
 2. Pay any outstanding debts and corporation tax obligations.
 3. Close business bank accounts, distribute any assets among the shareholders
    and ensure each pays the prerequisite capital gains tax.
 4. Ask HMRC to close the company’s payroll scheme.
 5. Deregister for VAT.
 6. Transfer website domain names.

The effect of dissolution means that the company ceases to exist. Therefore, you
can only dissolve a company that does not have outstanding debts or obligations.
Further, since the company ceases to exist, its assets will be transferred to
the crown immediately after the dissolution. 

Ensure you preserve business documents such as employee records, insurance
policies, bank statements, invoices, and receipts for 7 years after the
company's closure. 

Having fulfilled the above requirements, you can complete form DS01 and submit
them to Companies House alongside the board minutes containing the resolution to
dissolve the company. 

Should Companies House find that you have fulfilled all the obligations, they
will publish a Gazette notice which gives a chance to any stakeholders, such as
creditors whose interests may be negatively affected, to object to the
dissolution. 

If there are no objections, Companies House will dissolve the company three
months after publishing the Gazette notice.

WHAT DO I DO IF MY COMPANY IS DORMANT?

Your company is dormant if it is not actively trading and has no income. If your
company is dormant, you need to follow the following steps -

 * Notify Companies House - As soon as your company is dormant, file your
   confirmation statement and annual accounts, which should not contain any
   significant transactions for the previous financial year.
 * Notify HMRC - Write to HMRC citing your Company Name and UTR number. If your
   company is newly registered, inform HMRC in the letter that you do not intend
   to begin trading until further notice. If your company has been trading but
   has ceased, indicate the date the company was formed and the date you ceased
   trading in the letter.
 * Your company must file dormant company accounts and Annual Confirmation
   Statement with Companies House - You’ll need to file these two documents to
   companies house annually even if your company is dormant.
