TERMS OF USE AGREEMENT

Effective as of October4, 2013

THIS TERMS OF USE AGREEMENT ("Agreement") IS A BINDING LEGAL AGREEMENT BETWEEN
YOU ("You" or "Your") AND ELEMENT VEHICLE MANAGEMENT SERVICES, LLC d/b/a ELEMENT
FLEET MANAGEMENT ("ELEMENT"). BEFORE ACCESSING OR USING the XCELERATE® WEBSITE
LOCATED AT https://Xcelerate.elementfleet.com, AND THE MANY FEATURES, TOOLS,
PROGRAMS, SERVICES, MATERIALS, AND INFORMATION CONTAINED THEREON (collectively,
"Website"), YOU MUST ACCEPT AND AGREE TO ALL OF THE TERMS AND CONDITIONS
CONTAINED IN THIS AGREEMENT. IF YOU DO NOT ACCEPT THE TERMS AND CONDITIONS OF
THIS AGREEMENT, YOU ARE NOT GRANTED PERMISSION TO ACCESS OR OTHERWISE USE THE
WEBSITE AND ARE INSTRUCTED TO EXIT THE WEBSITE IMMEDIATELY.

I.     IP Ownership; License

 1. IP OwnershipUnless otherwise set forth in this Agreement, all text, logos,
    page headers, scripts, images, data, information, sounds, code,
    illustrations, designs, icons, photographs, video clips, and other materials
    that are part of this Website (collectively, the "Contents"), including the
    design, structure, selection, coordination, expression, "look and feel," and
    arrangement of any Contents, are copyrighted works, trademarks, trade dress,
    or other intellectual properties owned, controlled, or licensed by Element,
    its subsidiaries, affiliates, successors and/or assigns. The Website as a
    whole is protected by copyright and trade dress, all worldwide rights,
    titles and interests in and to which are owned by Element, its subsidiaries,
    affiliates, successors and/or assigns. Other trade names, copyrighted
    materials, and trademarks contained on the Website appear with the
    permission of their respective owners. No express or implied right, title or
    interest in any of the Contents, the Website, downloaded materials, or
    software is transferred to You as a result of your use and access of the
    Website.
 2. License. Element hereby grants You a personal, revocable, limited,
    non-exclusive, royalty-free, non-sublicensable, worldwide, non-transferable
    license to use and access the Website and the Contents contained thereon
    subject to Your compliance with the terms and conditions of this Agreement.
    Except as specifically authorized in this Agreement, You may not reproduce,
    store, disclose, publish, frame, transmit, distribute, display, alter,
    modify, translate, decompile, disassemble, broadcast, create derivate works
    from, rent, lease, license, sublicense, sell or exploit in any way, in whole
    or in part, any of the Contents, the Website, or any related software
    without the express written consent and approval by Element.

II.     Information Protection

 1. User Restrictions. In order to maintain the integrity and security of the
    Website, You understand and agree that You may not use any "deep link,"
    "robot," "spider," or any other automatic device, program, script,
    algorithm, or methodology, or any similar or equivalent manual process, to
    access, acquire, copy, or monitor any portion of the Website or in any way
    reproduce or circumvent the navigational structure or presentation of the
    Website to obtain or attempt to obtain any Contents, materials, documents,
    or information through any means not purposely made available on the Website
    and otherwise expressly authorized by Element. You are also expressly
    prohibited by Element from engaging in the following conduct or activities

       means for the purpose of sending unsolicited emails or other unsolicited

    3. Impersonating any person or entity, disguising Your identity, or
       misrepresenting or falsifying by any means any information provided by
       You to Element

       available any malicious code, files, or programs that are intended to
       interrupt, interfere, impair, or destroy the functionality or operation
       of the Website or any computer or other equipment used by Element or
       other users to operate, access or use the Website
    5. Your use or attempted use of another user's account without the consent
       of that user or by Element
    6. Attempting to gain unauthorized access to any portion or feature of the
       Website, or any Element systems, services, or networks connected to the
       Website, by hacking, password "mining," or any other illegitimate or
       prohibited means
    7. Probing, scanning, or testing the vulnerability of the Website or any
       Element systems, services or networks connected to the Website
    8. reaching the security or authentication measures on the Website or any
       Element systems, services, or networks connected to the Website; and
    9. Providing material support or resources (or to conceal or disguise the
       nature, location, source, or ownership of material support or resources)
       to any organization(s) designed by the United States government as a
       foreign terrorist organization pursuant to section 219 of the Immigration
       and Nationality Act.
 2. Enforcement. Actual or attempted unauthorized use of the Website may result
    in criminal and/or civil prosecution. Element reserves the right, in its
    sole and absolute discretion and at any time and without due cause, notice
    or permission from You, to (a) view, monitor, and record activity on the
    Website, and (b) modify, restrict, suspend, or terminate Your access and use
    of the Website, or any portion thereof. Element assumes no responsibility or
    liability arising from such restriction, suspension or termination of Your
    access or use of the Website. Element will fully cooperate with any law
    enforcement authorities or court order requesting or directing Element to
    disclose the identity of anyone using or accessing the Website in violation
    of the terms and conditions of this Agreement.

II.     Registration

 * Registration to the Website is void where prohibited. You must be eighteen
   (18) years of age or older to register, use and access the Website. Any
   registration, use, or access of the Website by anyone under eighteen (18)
   years of age is unauthorized, unlicensed and in violation of the express
   terms and conditions of this Agreement. By registering, using, and/or
   accessing this Website, You represent and warrant that You are eighteen (18)
   years of age or older. You represent and warrant that the execution of this
   Agreement does not violate or cause You to be in breach of any other
   agreement with, or of any obligation owed to, another person or company.
 * Upon registering with the Website, You agree to comply with all applicable
   local, state, federal, and international laws and regulations with respect to
   Your access and use of the Website. You further agree to provide accurate,
   current and complete information about You as requested in Element's
   registration form. If You provide any false, inaccurate, untrue, or
   incomplete information, Element reserves the right to immediately terminate
   Your access and use of the Website. You agree that Your login name and
   password is confidential information and will be kept confidential by You.
   You agree not to disclose Your login name and password to any third party. If
   at any time You believe that Your login name and/or password has been
   revealed to any other party, or otherwise compromised, You agree to change
   Your login name and/or password immediately through the Website. Element
   shall not be liable to You or any third party for any loss or damage arising
   from Your failure to comply with Your registration obligations.

 6. Indemnity. You agree to defend, indemnify, and hold Element and its
    subsidiaries, affiliates and all of their respective employees, agents,
    directors, officers, shareholders, attorneys, successors, and assigns,
    harmless from and against any and all claims, liabilities, judgments,
    proceedings, injuries, losses, damages, attorney's fees and other costs and
    expenses of every kind or nature arising from or related to Your use of and
    access to the Website and any breach by You of the terms and conditions of
    this Agreement.

IV.     User Comments

 * You agree that Element may use or disclose information about You and Your use
   of the Website in accordance with Element's privacy policy. All comments,
   feedback, postcards, suggestions, ideas, and other submissions disclosed,
   submitted or offered to Element on or by the Website or otherwise disclosed,
   submitted or offered in connection with Your use of the Website
   (collectively, "Comments") shall be owned by and remain the property of
   Element. You agree that Element is free to use, without Your consent,
   restriction and compensation to You, any ideas, concepts, know-how,
   suggestions, or techniques contained in any Comments You send to the Website
   for any purpose whatsoever including, but not limited to, developing,
   manufacturing and marketing products or services using such information.
   Element has no obligation to respond to any Comments. You agree that Comments
   submitted by You to the Website will not violate any right of any third
   party, including copyright, trademark, privacy or other personal or
   proprietaryright(s).

VI.     Term; Termination

 * This Agreement is effective upon your access and use of the Website unless
   and until terminated by You or Element. This Agreement will automatically
   terminate if You did not accept the terms and conditions of this Agreement.
   You may terminate this Agreement at any time upon delivery of written notice
   to Element, provided that any such termination will have no effect on Your
   liability as a result of Your use of and/or access to the Website and for all
   amounts owing to Element as of the date of such termination. Element may also
   terminate this Agreement at any time and without notice if, in Element's sole
   and absolute discretion, You failed to comply with any term or provision of
   this Agreement. Element reserves the right, without prior notice and in its
   sole and absolute discretion, to change, suspend, discontinue, or limit Your
   access to any aspect of the Website at any time that Element has reason to
   believe that You have violated the terms and conditions of this Agreement.
   Upon termination of this Agreement by either You or Element, You must
   promptly destroy all materials downloaded or otherwise obtained from the
   Website, as well as all copies of such material, whether made under the terms
   of this Agreement or otherwise.

VII.     Miscellaneous

 1. Injunctive Relief. You acknowledge that any breach, threatened or actual, of
    this Agreement will cause irreparable injury to Element, such injury would
    not be quantifiable in monetary damages, and Element would not have an
    adequate remedy at law. You therefore agree that Element shall be entitled,
    in addition to other available remedies, to seek and be awarded an
    injunction or other appropriate equitable relief from a court of competent
    jurisdiction restraining any breach, threatened or actual, of Your
    obligations under any provision of this Agreement. Accordingly, You hereby
    waive any requirement that Element post any bond or other security in the
    event any injunctive or equitable relief is sought by or awarded to Element
    to enforce any provision of this Agreement.
 2. Severability. If any provision of this Agreement is determined by a court of
    competent jurisdiction to be invalid or unenforceable, such determination
    shall not affect the validity or enforceability of any other part or
    provision of this Agreement.
 3. Waiver. The waiver by Element of any breach of any provision of this
    Agreement byYou shall not be construed to be either a waiver of Element's
    rights regarding any succeeding breach of any such provision by You or a
    waiver of the provision itself.
 4. Entire Agreement. This Agreement constitutes the entire agreement between
    Youand Element with respect to this subject matter and supersedes all
    previous proposals, both oral and written, negotiations, representations,
    commitments, writings and all other communicationsbetween You and Element.
 5. Choice of Law and Jurisdiction. Element makes no representation that the
    Website isappropriate or available for use in other locations outside the
    United States, and access to the Website from states, territories, or
    nations where any aspect of the Website is illegal isprohibited. This
    Agreement shall be construed in accordance with the laws of Maryland,
    withoutregard to any conflict of law provisions. Any dispute arising under
    this Agreement shall beresolved exclusively by the state or federal courts
    of the State of Maryland. You herebyexpressly agree to submit to the
    personal jurisdiction of such courts and waive any objection tothe venue in
    such courts. You also acknowledge and agree that any applicable state
    lawimplementation of the Uniform Computer Information Transactions Act
    (including any availableremedies or laws) shall not apply to this Agreement
    and is hereby disclaimed.
 6. Modifications. Element may from time to time change the terms and condition
    that govern Your use and access of the Website. Element will post these
    changes in this Agreement.Your use and access of the Website following any
    such change constitutes Your agreement tofollow and be legally bound by the
    terms and conditions as modified. Element may change, move, or delete
    portions of the Website, or may add to the Website from time to time.
 7. No Assignment. This Agreement is personal to You, and You may not assign
    Your rights or obligations to any other person or entity without Element's
    prior written consent.

with, including employees of our clients or other individuals to whom we provide
services on behalf of such clients, how we collect, use, disclose and protect

personal information in Canada. This statement does not apply to information

leasing services to our clients. Much of the personal information we collect is
information about drivers of our clients in connection with the use of leased
vehicles or our vehicle management services. Personal information we collect

   residential contact information, if applicable driver licensing information
   collected through driver record authorization forms and from individuals'
   driver's licenses, including contact information, driver's license number,
   issuing province or territory, date of expiry and date of birth;
 * information collected through driver record searches from time to time when
   we provide vehicle management services to a client or its drivers, including
   license and driving history, offence or other traffic infraction history, if
   any, and such other information as may be contained in reports obtained from
   motor vehicle licensing authorities;
 * information contained on our vehicle purchase orders, including licensing and
   registration information about the leased vehicle used by the relevant
   driver;
 * information collected or compiled by Element in the course of providing
   various requested services to our clients, including information about
   individual drivers' fuel consumption, mileage, maintenance, service and
   repair history and other information about products and services obtained or
   purchased through use of our service cards, through our client call centres,
   suppliers or otherwise through use of our services;
 * driving information connected with the use of our vehicles, including
   accident, infraction or offence information, police reports or other
   information requested or required to be collected by our clients, insurers or
   vehicle licensing or law enforcement authorities;
 * business contact and related business information about our client contacts,
   suppliers, and other organizations we deal with; and
 * such other information we may collect with consent or as permitted or
   required by law.

USE OF PERSONAL INFORMATION
Element generally uses personal information for the following purposes
 * administering, processing and evaluating our clients' requests for vehicle
   management services and arranging for leasing and delivery of requested
   vehicles;
 * verifying driving and licensing information about drivers of our vehicles;
 * verifying driving and licensing records of drivers;
 * providing requested vehicle management services to our clients, which may
   include processing vehicle purchases or leases in connection with
   individuals, and providing and compiling information about
   * fuel consumption, maintenance, service and repair history through our
     services;
   * mileage information used to provide taxable benefit information to our
     clients and their employees;
   * accident information used to provide vehicle accident services; or
 * other information about products and services obtained or purchased through
   use of our services, for example through our service cards;
 * communicating to You about products and services, updating You on new
   services and benefits, and/or providing You with personalized promotional
   offers.
 * processing and compiling invoices and billing information for our clients,
   which may include service usage and purchasing details about individuals as
   described above;
 * managing, administering, collecting or otherwise enforcing our clients'
   accounts;
 * maintaining business records for reasonable periods, and generally managing
   and administering our business;
 * meeting legal, regulatory, insurance, security and processing requirements;
   and otherwise with consent or as permitted or required by applicable law.

DISCLOSURE OF YOUR PERSONAL INFORMATION
Element discloses personal information in the ordinary course of providing
vehicle management services to our clients
 * We disclose personal information about drivers to our clients when we provide
   services to that driver on the client's behalf, which may include (depending
   on the services we provide to the particular client) detailed information
   about fuel consumption, mileage, maintenance, service and repair history and
   other information about products and services obtained or purchased through
   use of our service cards, call centres or otherwise through our services.
   This personal information may be disclosed to our clients through account
   inquiries, invoice details, accident or police reports or through access to
   Xcelerate®, our internet-based fleet management tool, described below.
   
   
 * We may also disclose accident, traffic infraction and offence information and
   other information about an individual's driving record connected to the use
   of leased vehicles to the client to whom we lease the vehicle driven by that
   driver.
   
   
 * Driving records and accident, infraction and offence information and other
   information connected to the use of our vehicles or services may be disclosed
   to our clients' insurers on our clients' behalf as part of our vehicle
   accident service.
   
   
 * Driving, licensing and other related personal information may be exchanged
   with provincial or territorial motor vehicle licensing authorities.
   Information, such as driver's license information that drivers provide to us,
   may be disclosed to such authorities in order to verify the information and
   obtain driving records as described above. In addition, driving record
   information connected to the use of leased vehicles may be disclosed to such
   authorities from time to time, including accident, infraction and offence
   information.

Personal information may also be disclosed to our affiliates (including outside
of Canada) for internal audit, management, billing or administrative purposes.
Some of our services may be provided through facilities operated by our U.S.
affiliate, such as Xcelerate. Personal information may also be transferred to
our affiliates or other third party service providers to provide administrative,
billing or other processing services on our behalf, including outside of Canada.
We take reasonable measures to ensure that any personal information that may be
collected, used, disclosed or otherwise processed by such service providers on
our behalf is protected and not used or disclosed for purposes other than as
directed by Element, subject to requirements in foreign jurisdictions applicable
to those organizations. Personal information may be used by Element and
disclosed to parties connected with the contemplated or actual financing,
securitization, insuring, sale, assignment or other disposal of all or part of
Element or our business or assets, including for the purpose of permitting such
parties to determine whether to proceed or continue with such transaction and to
fulfil reporting, inspection or audit requirements or obligations to such
parties. In the event that all or part of Element or our business or assets is
sold, assigned or otherwise disposed of, personal information we have collected
will be used and disclosed by such parties for substantially the same purposes

security requirements, with your consent, or as permitted or required by

 I.    Identidad y Domicilio.
       ELEMENT FLEET MANAGEMENT CORPORATION MEXICO, S.A. DE C.V. (el
       “Responsable”) en cumplimiento de lo establecido en la Ley Federal de
       Protección de Datos Personales en Posesión de los Particulares, su
       Reglamento y los Lineamientos del Aviso de Privacidad (la “Ley”) hace de
       su conocimiento el presente aviso de privacidad integral (el “Aviso”) el
       cual tiene por objeto dar a conocer los términos y condiciones del
       tratamiento de los datos personales ordinarios, financieros y sensibles

       sensibles y/o financieros: Empleados y Prestadores de Servicios
       Profesionales: estado general de salud, características físicas y/o
       enfermedades preexistentes (los “Datos de Colaboradores”). Los Datos de
       Colaboradores antes mencionados, serán recabados con la finalidad de
       realizar contrataciones, llenado y manejo de su expediente interno
       correspondiente, otorgar en su caso, las prestaciones acordadas, y con la
       finalidad de conocer plenamente a posibles candidatos y colaboradores.
       Accionistas, clientes y proveedores: número de cuentas bancarias, número
       de tarjeta de crédito y/o débito, estados de cuenta y/o financieros,
       tenencia accionaria, porcentaje de participación en distintas sociedades
       (los “Datos de Clientes y Proveedores” y conjuntamente con los Datos de
       Colaboradores, los “Datos Patrimoniales y Sensibles”). Los Datos de
       Clientes y Proveedores serán recabados y tratados para llevar a cabo la
       relación de prestación de servicios contratada y cumplir con las
       obligaciones derivadas de dicha relación jurídica. Para el tratamiento de
       sus Datos Patrimoniales y Sensibles, el Responsable requerirá de su
       consentimiento expreso y por escrito para efectuar dicho tratamiento, en
       el entendido que en caso de que usted no otorgue su consentimiento
       expreso para el tratamiento de sus Datos Personales (incluyendo sus Datos
       Patrimoniales y Sensibles), podemos vernos imposibilitados para ofrecerle
       nuestros productos o servicios, atendiendo a que la información personal
       que le solicitemos será necesaria para llevar a cabo nuestras funciones,

 V.    Transferencias y Finalidades.
       Para la transferencia de sus Datos Personales y Datos Patrimoniales,

Our website implements the ARIA attributes (Accessible Rich Internet
Applications) technique, alongside various behavioral changes, to ensure blind
users visiting with screen-readers can read, comprehend, and enjoy the website’s
functions. As soon as a user with a screen-reader enters your site, they
immediately receive a prompt to enter the Screen-Reader Profile so they can
browse and operate your site effectively. Here’s how our website covers some of
the most important screen-reader requirements:

 1. Screen-reader optimization: we run a process that learns the website’s
    components from top to bottom, to ensure ongoing compliance even when
    updating the website. In this process, we provide screen-readers with
    meaningful data using the ARIA set of attributes. For example, we provide
    accurate form labels; descriptions for actionable icons (social media icons,
    search icons, cart icons, etc.); validation guidance for form inputs;
    element roles such as buttons, menus, modal dialogues (popups), and others.

   jump to specific elements.

    of a button. Animations controlled by the interface include videos, GIFs,
    and CSS flashing transitions.
 4. Content highlighting – users can choose to emphasize essential elements such
    as links and titles. They can also choose to highlight focused or hovered
    elements only.
 5. Audio muting – users with hearing devices may experience headaches or other
    issues due to automatic audio playing. This option lets users mute the
    entire website instantly.
 6. Cognitive disorders – we utilize a search engine linked to Wikipedia and
    Wiktionary, allowing people with cognitive disorders to decipher meanings of
    phrases, initials, slang, and others.
 7. Additional functions – we allow users to change cursor color and size, use a
    printing mode, enable a virtual keyboard, and many other functions.

Assistive technology and browser compatibility

We aim to support as many browsers and assistive technologies as possible, so
our users can choose the best fitting tools for them, with as few limitations as
possible. Therefore, we have worked very hard to be able to support all major
