dates and times. If we make an appointment that you agree to and you miss it,
you lose the opportunity. While we try to adapt and accomodate wherever
possible, and we communicate in advance about and seek to confirm each

access to include "Terms of use" or other similar terms and conditions,
including this one. You agree to them and will follow them, both as they are
today, and as they may change into the future. As/if you do not agree you will
stop using those systems and/or services. Your continued use constitutes an
agreement to and stipulation of your continued agreement under the new terms.

If and to the extent there are material differences between the text of this Web
page and any other signed Agreement in place between the parties, the signed
Agreement between the parties is considered the more definitive Agreement and
takes precedence over this Agreement in the areas of inconsistencies between the
Agreements. To the extent that this Agreement adds terms and conditions not
otherwise covered in any such previous Agreement, this Agreement takes
precedence.

Management Analytics Educational Packages

This Agreement is between Management Analytics (herein MA) and You or Your
Company (Client).

In consideration of the mutual covenants contained herein, the opportunities
resulting, and other considerations arising and/or resulting from this
Agreement, and intending to be legally bound, MA and Client agree as follows:

Services and Compensation

MA will provide educational services for Client. This will consist of:

 * Scheduling and attending live online remote class session(s) at identified
   times and places (including over the Internet as/if applicable).
 * Providing content, online access to a SaaS-based suite of tools, and other
   content and information associated with this service offering, as it exists
   at the time of service and as may change over time.

Client will provide compensation for such services as follows:

 * Compensation in the amount specified for the specific offering at the time of
   offering, said payment to be made via online payment to a financial provider
   of MA's choosing.

Other services: MA may offer additional services to Client, either for
additional fees or gratis, and Client may, at its sole option, participate in
such services independent of this Agreement.

Independent contractor: Client and MA agree that MA acts as an independent
contractor for company, and not as an employee. Client will not withhold or pay
employment-related taxes to MA and MA will not receive any compensation from
Client under this Agreement other than the compensation identified herein.

Conflicts of interest: Client and MA recognize that MA has inherent conflicts of
interest with Client in that MA works for a wide range of entities and parties
whose interests may align or conflict with Client. Client agrees that such
conflicts are adequately mitigated by this disclosure of the existence of such
conflicts to Client. Client also understands and agrees that no fiduciary duties
exist by MA to Client. Client Agrees that at its sole discretion, it may follow
or ignore any advice or teachings of MA, and that it is up to Client to
interpret, evaluate, act on, not act on, or otherwise treat any and all such
advice and teachings.

Confidentiality: MA has no obligations to maintain confidentiality with regards
to any information provided by Client as part of this service. Providing
information to online MA portals is considered public disclosure by Client for
the purposes of thie Agreement.

Liability and indemnity: Client indemnifies MA and holds MA harmless for all
costs and consequences, whether direct or indirect, arising out of the work
performed under this Agreement, in all jurisdictions, in all forms, and in all
cases. IN NO EVENT SHALL MA HAVE ANY LIABILITY FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, HOWEVER CAUSED, AND ON
ANY THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING WITHOUT
LIMITATION NEGLIGENCE) OR OTHERWISE ARISING OUT OF OR RELATED TO THIS AGREEMENT,
INCLUDING WITHOUT LIMITATION LOSS OF ANTICIPATED PROFITS, EVEN IF MA HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING THIS, THE MAXIMUM
LIABILITY OF MA UNDER THIS AGREEMENT IS LIMITED TO THE ACTUAL MONIES PAID TO MA
FOR SERVICES RENDERED HEREUNDER.

Failure to participate: Client may, at its sole discretion, refuse or fail to
participate in any or all services of follow any and all advice offered under
this Agreement at any time, and for any period. However, refusal or failure to
participate or use services does not diminish or negate any responsibilities of
Client under this Agreement or allow for a refund.

Term and Termination: The term of this Agreement is for the period between
payment and completion of the identified services.

Authorized representative: The representative approving this Agreement
stipulates that they are authorized to agree and approve on behalf of the
Client, that the facts stated herein with regard to the Client and its
obligations hereunder are true and accurate, that all necessary internal actions
at Client required to agree to the terms herein have been taken and that this
Agreement is legally binding on the Client.

General: If any part of this Agreement shall be found unenforceable under the
applicable laws, the remaining parts of this Agreement shall remain in force.
Time is of the essence in this matter and all activities must take place in a
timely fashion. Payments due hereunder are payable in advance of services
provided. The proper law and venue for this Agreement shall be that of the
primary business address of MA at the time of action, and the parties submit to
the jurisdiction of the courts of this venue in all matters related to this
Agreement. Parties agree to use binding arbitration through the American
Arbitration Association or another similar entity in lieu of any legal action
and to be bound by its results except and unless they exceed the limits imposed
by this Agreement. Any typographic errors, inconsistencies, failures of
completeness, lack of clarity, or other imperfections or disputes associated
with or resulting from this Agreement or any of its terms, in whole or in part,
shall be interpreted to the benefit of MA in the most favorable way within the
bounds of the laws of the competent jurisdiction established by this Agreement.

This Agreement, including everything on this page, constitutes the entire
agreement between the parties, and supersedes any previous agreements in this
regard that may have existed between the parties before the signing of this
Agreement, whether written or oral or in any other form.
