<p data-v-68e64826="">THIS AGREEMENT IS MADE IN JAPANESE AND TRANSLATED INTO ENGLISH. THE JAPANESE TEXT IS THE ORIGINAL AND THIS ENGLISH TEXT IS FOR REFERENCE PURPOSES. IF THERE IS ANY CONFLICT OR INCONSISTENCY BETWEEN THESE TWO TEXTS, THE
JAPANESE TEXT SHALL PREVAIL.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">1. Purpose.</h1>
<p data-v-68e64826="">These Terms of Service (this "Agreement") are entered into by Works Human Intelligence Co.,Ltd. ("WHI") and the individual entity executing this Agreement ("You"). This Agreement governs Your use of the standard COMPANY
HPM (the "Service"). BY CLICKING THE "ACCEPT" BUTTON, COMPLETING THE REGISTRATION PROCESS, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE REVIEWED AND ACCEPT THIS AGREEMENT AND ARE AUTHORIZED TO ACT ON BEHALF OF, AND BIND TO THIS
AGREEMENT.</p>

<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">2. Definitions.</h1>
<p data-v-68e64826="">"Users" means individual users using the Service. "User Information" refers to any information, data, or other materials provided or transmitted by a User when they use the Service. “Personal Information” here means a kind
of information which is defined in the Act on the Protection of Personal Information (Act No. 57 of May 30, 2003) in Japan. “Prospective Employer” means the party who is a counterpart of an employment agreement which Users are going to sign
through the Service.</p>

<h1 data-v-68e64826="">3. Parties.</h1>
<p data-v-68e64826="">This agreement governs any issues between NOT You and the Prospective Employer BUT You and WHI.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">4. Nonexclusive License.</h1>
<p data-v-68e64826="">Subject to the terms and conditions of this Agreement, (a) WHI grants You a limited, revocable, non-exclusive, non-sublicensable license to use the Service</p>

<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">5. Ownership.</h1>
<p data-v-68e64826="">The Service, which includes the software and all Intellectual Property Rights therein are, and will remain, the property of WHI (and its wholly owned subsidiaries). All rights in and to the Software not expressly granted
to You in this Agreement are reserved and retained by WHI and its licensors without restriction, including, WHI's (and its wholly owned subsidiaries’) right to sole ownership of the Software and Documentation. However, the Documentation which
is provided by the Prospective Employer are, and will remain, the property of the Prospective Employer.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">6. Requirements</h1>
<p data-v-68e64826="">You will not (and You will not allow any third party to) take any actions that will or may 1. violate applicable laws and regulations 2. violate public order and standards of decency 3. defraud or intimidate against WHI,
Pother users of the Services or other third parties 4. harm any rights or interests of WHI, Prospective Employer, other users, or any other third parties 5. infringe on the intellectual property rights, portrait rights, rights of privacy,
honor, or any other rights or interests of WHI, Prospective Employers, or other Users of this Service or any other third parties. 6. falsificate or delete source code, web pages, documents or any other materials included in this Service. 7.
use the Service to create or revise products or services that compete with the Service. 8. allow a third party or any other User to use the Service with Your authentication information 9. disclose or leak the information of the Service to a
third party beyond the scope necessary for use. 10. duplicate or copy information on the Service without WHI's prior consent beyond the scope necessary for the User's use of the Service. 11. interfere with the use or operation of WHI or a
third party's facilities, etc. 12. send or post harmful computer programs such as viruses. 13. process reverse engineering of the Service or related systems. 14. place an excessive load on the network or system of the Service. 15. interfere
with the operation of this Service. 16. impersonate another User or any other third parties. 17. steal or use authentication information, including password, of another User. 18. engage in any relationship with Anti Social Forces defined in
the Act on Prevention of Unjust Acts by Organized Crime Group Members (Act No. 77 of 1991) in Japan. 19. directly or indirectly cause or facilitate any of the preceding items. 20. attempt to commit any of the preceding items. 21. cause any
other activities or results that WHI deems inappropriate.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">7. Customer Responsibilities</h1>
<p data-v-68e64826="">1. Other than the Services provided by WHI, You are responsible for all other services, equipment and facilities (including, without limitation, all hardware, telecommunications equipment, connectivity, cabling and
software) required to access the Service. 2. Such services, equipment and facilities shall be prepared solely at Your cost. 3. You are responsible for correctness of information you register or submit to Prospective Employer through the
Service, and you agree to update those information within reasonable time if there is any update. 4. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you
agree to accept responsibility for all activities that occur under your account or password.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">8. Suspension of the Service</h1>
<p data-v-68e64826="">WHI may suspend or interrupt the provision of all or part of the Service without prior notice to the Users in any of the following cases 1. In case of urgent inspection or maintenance of the computer system related to the
Service. 2. In the event that the operation of the Service becomes impossible due to computer or communication line failure, erroneous operation, excessive concentration of access, unauthorized access, etc. 3. When the operation of the
Service becomes impossible due to force majeure such as earthquakes, lightning, fire, wind, flood, power outage, any other natural disasters or changes in or in the interpretation of any law, rule, regulation or ordinance. 4. In any other
cases where WHI deems it necessary to suspend or discontinue the Service.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">9. Changes and Termination.</h1>
<p data-v-68e64826="">1. WHI may, in its sole discretion, change, suspend, or discontinue the Services, or any part of them, at any time. 2. WHI will post prior notice of discontinuation as defined in Section 13. However, if there is an urgent
need to suspend, interrupt or terminate all or part of the Service, WHI may suspend, interrupt or terminate the Service without prior notice.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">10. Liability Limitations.</h1>
<p data-v-68e64826="">1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT AS EXPRESSLY PROVIDED FOR IN THIS AGREEMENT, WHI MAKES NO OTHER WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT
LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE AND NONINFRINGEMENT. 2. TO THE EXTENT PERMITTED BY APPLICABLE LAW, WHI WILL NOT BE LIABLE FOR YOUR LOST REVENUES OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL,
EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF WHI OR ITS SUBSIDIARIES AND AFFILIATES HAVE BEEN ADVISED OF, KNEW OR SHOULD HAVE KNOWN THAT SUCH DAMAGES WERE POSSIBLE AND EVEN IF DIRECT DAMAGES DO NOT SATISFY A REMEDY. </p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">11. Modifications to Terms of Service</h1>
<p data-v-68e64826="">1. WHI may modify these terms or any additional terms that apply to the Service to, for example, reflect changes to the law or changes to the Service. 2. WHI will post notice of modifications to Users as defined in Section
13. 3. If any modifications to Terms of Service require Users' consent under applicable laws and regulations, WHI will specify an appropriate method for Users.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">12. Notifications</h1>
<p data-v-68e64826="">1. Notification from the WHI to Users shall be made in writing, by email, by posting a notice on the Service, or by any other method WHI deems appropriate. 2. When notifications from WHI to Users are sent by email, such
notifications to the Users shall be deemed to have been received by the Service Users at the time the email is sent.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">13. Subcontractors</h1>
<p data-v-68e64826="">WHI may, in its sole discretion, outsource part or all of its work or tasks related to this Service to a third party subcontractors to perform any or all of its obligations under this Agreement.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">14. Severability.</h1>
<p data-v-68e64826="">If any provision of the Agreement or application thereof to any party is held to be invalid by a court of competent jurisdiction, then the remaining provisions shall nevertheless remain in full force and effect.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">15. Privacy</h1>
<p data-v-68e64826="">1. You shall acknowledge and agree privacy policies given by each Prospective Employer before using the Services. Using the Services will cause Personal Information to be transmitted to Prospective Employers and
Prospective Employers will further process such Personal Information in accordance with the privacy policies. By using Services, You are consenting to the practices described in the privacy policies. 2. You shall acknowledge and agree WHI’s
privacy policy (https://www.works-hi.co.jp/privacy) before using the Services. By using Services, You are consenting to the practices described in the privacy policy.</p>
</section>
<section data-v-68e64826="" class="login__terms-of-service__terms">
<h1 data-v-68e64826="">16. Miscellaneous, Applicable Law and Disputes.</h1>
<p data-v-68e64826="">This Agreement will be governed by and construed under the laws of Japan without reference to its conflict of law principles. In the event of any conflicts between foreign law, rules, and regulations, and Japanese law,
rules, and regulations, Japanese law, rules and regulations will prevail and govern. Each party agrees to submit to the exclusive and personal jurisdiction of the Tokyo District Court, Japan, at the first instance. The United Nations
Convention on Contracts for the International Sale of Goods do not apply to this Agreement. A waiver of any default is not a waiver of any subsequent default. You may not assign or otherwise transfer any of Your rights in this Agreement
without WHI’s prior written consent, and any such attempt is void.</p>
