AVIDXCHANGE PRIVACY POLICY

Effective Date: September 14, 2021



1. INTRODUCTION AND SCOPE.

This Privacy Policy applies to any website made available by AvidXchange, Inc.
or its affiliates (collectively, “AvidXchange”), including
avidhosting16.wpengine.com, www.banktel.com, www.core-assoc.com,
www.gofastpay.com, www.piracle.com and www.strongroomsolutions.com (together
with all other websites made available from time to time by AvidXchange that
link to this Privacy Policy, collectively, the “Websites”). By accessing or
using the Websites or any related functionality or services, you acknowledge and
agree to be bound by this Privacy Policy and consent to our use of your
information as set forth below. If you do not agree with these terms and
conditions, you should not submit any information and you should stop using the
Website.

This Policy does not apply to information collected or received through email or
text messages, information collected through related sites or applications, or
information collected offline.

As used in this Privacy Policy, “personal information” means any information
that directly or indirectly relates to, is capable of being associated with,
describes, or could be linked to you as an identified or identifiable natural
person. If we combine information that we consider to be non-personal
information with personal information, we will treat the combined information as
personal information under this Privacy Policy as required by applicable law. We
do not consider de-identified, anonymized, or aggregated information as personal
information to the extent permitted by applicable law.

Information collected on this site, including information that you submit, is
maintained and processed in the United States. By submitting your personal
information to us on this site, you agree to the maintenance, processing,
transfer, and storage of your information in the United States.

it in its current form. The change in the Effective Date listed at the top of
this page will notify you that the Policy has been updated. Your continued use
of this Site after any changes in these terms constitute your agreement with

As of the Effective Date of this Policy, AvidXchange’s products and services are
offered to businesses only. If you are not accessing this site on behalf of your
company, you are welcome to browse our site even though we don’t have products
or services for you.

2. PERSONAL INFORMATION WE MAY COLLECT

All users must register to use our site to take advantage of our products and
services (“Registered Users”). AvidXchange requires Registered Users of the
Websites and its products and services (collectively, the “Services”) to provide
certain information which may include identifiers such as company name, address,
phone number, and e-mail address, and company financial qualification and
billing information, such as billing name and address, and the names of the
users within the organization that will be using the Services on behalf of the
organization. AvidXchange may also request or require additional information
such as professional and employment information including the user’s business
title, department name, business fax number, or additional company information.

AvidXchange systems and some of its service providers also collect certain
Internet, electronic network activity, and geolocation information as a result
of your use of, and interaction with the Services, advertisements, and Websites
of AvidXchange and our service providers (“Usage Information”).

3. USE OF COOKIES AND TRACKING.

AvidXchange may use certain standard web measurement and tracking technologies
such as “cookies,” web server logs, or other statistics programs to collect
Usage Information, including Internet (IP) addresses, browser type, internet
service provider (ISP), language, referring/exit pages, platform type, date/time
stamp, and number of clicks, to monitor and record how you use the Websites. A
Website also may collect information about the types of devices used to access
the Website.  This information helps us to understand how users are using the
Websites and how we can improve the Websites and our service offerings. This
information also may be used by AvidXchange and its service providers to better
market the Services, analyze trends, administer the Websites, diagnose technical
problems, derive each user’s approximate location, calculate user levels,
perform audits, and security and fraud monitoring and detection. Your browser
may have an option that allows you to accept cookies, reject cookies, or receive
notification when a cookie is sent, but you should note that the use of such
restrictive browser settings may limit the functionality and your use of the
Websites.

With this information, we can also track user movement in the aggregate and
gather broad demographic information.   AvidXchange shares this information on
an aggregated anonymized data with its partners and advertisers but does not
associate that information with individual usernames without consent of the
user.

The users of the Websites and the Services are generally businesses or other
non-person legal entities. While most of the information AvidXchange receives
and collects is not of a personal nature, portions of the information we receive
may include public and Non-public Personally Identifiable information (NPI)
about individuals.

Additionally, we use applications of, and may contract with, service providers
for reporting purposes and to assist us in better understanding our site
visitors. These service providers are not permitted to use the information
collected on our behalf except to help us conduct and improve our business.

You may block certain cookies through your browser settings. Note that
information may be collected before the cookie is disabled. Authentication
cookies last for a short period (generally less than a day). User’s may opt-in
with the “remember me” option to have authentication cookies saved for up to 24
hours. Cookies also can be removed from the hard drive of a user’s computer.
Users should check with their browser provider for more information related to
removing cookies.

We use Google Analytics, which uses cookies and similar technologies to collect
and analyze information about the use of our Website (such as how often users
visit this site and what pages they visit) and report on activities and trends.
Google Analytics collects specific information such as IP address rather than
your name or other personally identifying information. Google does put a cookie
on your web browser to identify you as a unique user the next time you visit

AvidXchange Websites do not recognize ‘Do Not Track’ browser requests for
information gathering. Cookie data is not transmitted for Website visitors
browsing in Incognito Mode (or similar).

Other parties may not collect personally identifiable information about an
individual consumer’s online activities over time or across different Websites
when a consumer uses AvidXchange’s Website or service.

4. HOW TO ACCESS AND CORRECT YOUR INFORMATION.

Registered Users may access, verify the accuracy of, update or change the
information that they submitted to a Website by logging into the Website and
editing the information, as applicable, or contacting AvidXchange directly using
the contact information below.

If you do not want to receive marketing, advertising or promotional emails from
us in the future, you can either opt-out via the opt-out link found on any of
the emails you have received from us, by letting us know by sending us an email
at the address below or the following link: .

5. HOW WE MAY USE AND SHARE YOUR PERSONAL INFORMATION.

AvidXchange uses the information it collects and retains to market and provide
the Services, to both Registered Users of the Services and potential users of
the Services, to improve the Services, the Websites and the customer experience
and to develop, market and provide new products and services. AvidXchange also
may use this information to offer factoring and other related services to
existing or potential participants in its payment network. AvidXchange may also
use information such as your name, phone number and e-mail address to contact
you, respond to your inquiries, and send you information as well as notify you
of special offers and other products or services, including those of our
partners, that we believe may be of interest to your company or to notify you of
important new changes to the Websites. Usage Information helps AvidXchange
measure the success of the Website and its features or pages and to improve your
online experience, as well as to optimize the Services.

The information may also be used for records administration, accounting and
funding activities, enforcing our site policies, and compliance with laws and
regulations. AvidXchange (and its affiliates and service providers) may disclose
any information that it collects and retains when we believe we are required to
do so in order to comply with the law or regulation (including foreign laws
applicable to our affiliates and service providers), enforce our policies, to
defend against legal claims, to address misuse of the Website (including without
limitation unauthorized access to any system, spamming, denial of service
attacks or similar attacks), or protect ours or other’s rights, property, or

AvidXchange may disclose the information collected for our business purposes to
parties connected with the proposed or actual financing, securitization,
insuring, sale, assignment or other disposal of all or part of AvidXchange or
our business or assets, for the purposes of evaluating and/or performing the
proposed transaction. Assignees or successors of AvidXchange or our business or
assets may use and disclose the information collected for similar purposes as
those described in this Privacy Policy.

AvidXchange may transfer information collected to service providers (including
affiliates acting in this capacity) who assist AvidXchange in providing the
Services or operating the Websites or AvidXchange’s business, such as data
hosting, data processing, analytics, billing and indexing provided that such
parties are obligated to keep this information confidential. These service
providers may be located in the United States or other countries.

For the avoidance of doubt, AvidXchange may use non-personal and
non-identifiable summarized, derived, or aggregate information in any manner to
the fullest extent permitted by applicable law, and nothing in this Privacy
Policy precludes or restricts AvidXchange’s use of such information.

6. HOW WE PROTECT YOUR PERSONAL INFORMATION

AvidXchange uses commercially reasonable technical, physical and organizational
security controls to protect loss, misuse and alteration of, and limit access
to, all non -public collected information about you on the Websites. Internally,
we employ measures designed to limit access to personal information about you to
employees whom we reasonably believe to come into contact with the information
for the purposes set forth in this Policy.  In addition, Registered Users are
required to access their account information through a user password. These
measures are designed to protect such personal information from unauthorized
persons when you are using the Websites. Unfortunately, data, including without
limitation e-mail and electronic communications, submitted over the Internet is
subject to the risk of being accessed by unauthorized third parties. No security
system is fail safe and AvidXchange cannot guarantee the information you provide
will never be obtained by unauthorized persons. By using any Website, you
acknowledge and accept this risk.

If you are a Registered User, maintaining the confidentiality of your user
password is your responsibility, and you should change your password regularly,
especially if you suspect confidentiality has been compromised.

7. FEATURE AND LINKS TO OTHER WEBSITES

The Websites may contain links to other websites controlled, offered or
maintained by third parties. These third party sites have separate and
independent privacy policies. Unless specifically indicated otherwise,
AvidXchange is not affiliated with these sites and AvidXchange makes no
representation and is not responsible for these sites or the contents contained
therein. Access and use of these sites is at your own risk. AvidXchange is not
responsible for the privacy practices or the content of these other websites.

9. UPDATES TO THE PRIVACY NOTICE

This Policy was last updated as of the Effective Date listed at the top of this
page.  AvidXchange reserves the right to modify or amend this Privacy Policy at
any time and without notice to you. If you disagree with the terms of this
Privacy Policy or any succeeding policy at any time, your sole remedy is to
terminate your use of the Websites and Services. Continued use of the Websites
or the Services constitutes your agreement to any Privacy Policy then in effect.
You may not modify this Privacy Policy in any manner whatsoever. The provisions
contained in the most current Privacy Policy supersede all previous policies,
provisions or statements regarding AvidXchange’s privacy practices. If
AvidXchange changes this Privacy Policy, it will post the revised Privacy Policy
on this page.

10. CHILDREN’S PRIVACY

The Websites are not directed to, and we do not knowingly collect any personal
information from, children under the age of 16. If you are under 16 years of
age, do not use or access the Websites at any time or in any manner.

If you believe that you may have information regarding a person under 13 that
you believe to have registered an account with, or otherwise provided personal
information via, the Websites, please contact us at legal@avidxchange.com.

11. GENERAL

Use of the Websites and Services, the interpretation of this Privacy Policy and
any related express or implied agreements will be governed by the laws of the
state of North Carolina without regard to any conflicts of law provisions of any
jurisdiction. The parties agree that any claims will be resolved on an
individual basis without resort to any form of class action and will not be
consolidated with the claims of any other parties. If any provision of this
Privacy Policy is held by a court of competent jurisdiction to be invalid or
unenforceable, this Privacy Policy shall be modified to reflect the intent of
the invalid or unenforceable provision to the greatest possible extent, with all
other provisions remaining in full force and effect.

Under the laws of some jurisdictions, you may be entitled to request disclosure
regarding how we share your Usage Information with third parties for direct
marketing purposes (“Information-Sharing Disclosure”). To the extent required by
applicable law, we will provide the Information-Sharing Disclosure to you upon

12. ADDITIONAL DISCLOSURES REGARDING CALIFORNIA PRIVACY RIGHTS

If you are a resident of California, you have additional rights pursuant to the
California Consumer Privacy Act of 2018 (the “CCPA”). This section describes
such additional rights and explains how to exercise them. Please note that if
you are submitting information to this site as an employee, owner, director,
officer, or contractor of another business and such submission occurs within the
context of your business evaluating AvidXchange or receiving products or
services from AvidXchange, the California legislature has determined that
sections A.1., A.2, and B do not apply to you at this time.

A: Your Rights

 1. Disclosure of Personal Information We Collect About You

You have the right to request that AvidXchange disclose certain information to
you about our collection and use of your personal information over the past 12
months. Once we receive and confirm your request, after appropriate
verification, we will disclose to you:

 * the categories of personal information we have collected about you;
 * the categories of sources from which the personal information is collected;
 * our business or commercial purpose for collecting personal information;
 * the categories of third parties with whom we share personal information, if
   any;
 * the specific pieces of personal information we have collected about you; and
 * the categories of personal information about you that we disclosed for a
   business purpose.

Please be aware that AvidXchange is not required to provide personal information
to a consumer more than twice in a 12-month period.

 2. Right to Deletion

You have the right to request that AvidXchange delete your personal information
that we collected from you, subject to certain exceptions. Once we receive and
confirm your request, we will delete (and direct our service providers to
delete) your personal information from our records, unless an exception applies
under the CCPA.

 3. Protection Against Discrimination

You have the right to not be discriminated against by AvidXchange because you
exercised any of your rights under the CCPA. This means unless otherwise allowed
we cannot, among other things, do the following as result of your exercise of
your CCPA rights:

 * deny services to you;
 * charge different prices or rates for services, including through the use of
   discounts or other benefits or imposing penalties;
 * provide a different level or quality of services to you; or
 * suggest that you will receive a different price or rate for services or a
   different level or quality of services.
