For and in consideration of ERS's acceptance of the claim, Client does hereby
assign to ERS, said claim, notes and accounts that are unpaid and due with
exclusive right to collect them, and authorize you full power to perform all
acts, including suit if necessary. To partially compensate you for work done on
accounts, where there is no recovery, and to offset cost losses when court costs
are advanced by ERS, any interest earned or accrued, that may be collected shall
be retained by ERS. This agreement shall apply to all claims, heretofore,
assigned and to all claims hereafter assigned. Client further warrants that
claims assigned to ERS are due and owing and any amounts added for interest,
late charges, collection fees or any other reason have been agreed to by
customer in writing or specifically by State law.
