Terms and Conditions for Customers and Providers                  April 2018

Introduction

These Standard Terms And Conditions contained herein on this webpage, shall govern your use of our websites, including all pages within these websites (collectively referred to herein below as “Website”). These Terms apply in full force and effect to your use of all Room Space Limited Websites. You must not use this or any of these Websites if you have any objection to any of these Standard Terms and Conditions.

All Room Space Limited Websites are not for use by any minors (defined as those who are not at least 18 years of age), and you must not use these Websites if you a minor.

Definitions

‘Customer’ shall mean any visitor viewing and utilizing the information and/or services provided on the Room Space Limited websites to source or secure serviced accommodation.

‘Provider’ means any persons, company or agent adding and offering property information, availability and/or details on the website including any details of rates, taxes, descriptions, images, videos and other information provided with the intention to attract rentals or ‘Reservation’ sales at their property.

‘RS’ Room Space Limited means TAS, Roomspace Serviced Apartments, Short-Let-Register, TAS Alliance, The Apartment Service and Complete Accommodation Solutions all of which are the trading names of Room Space Limited, a company registered in the UK COMPANY REG. NO. 1112378 whose registered office address is at 5-6 Francis Grove, London SW19 4DT, England, UK.

Room Space Limited provides details and information of extended stay hotels, apart-hotels, corporate housing services and serviced apartments for use by Customers. RS operates the websites at www.apartmentservice.com, www.roomspace.com, www.thetasalliance.com, www.completeaccommodationsolutions.com, www.short-let-register.co.uk  

‘Reservation’ is an agreement between the Customer and the Provider to purchase and for the provision of temporary accommodation on terms specified. Acknowledgement of any online transaction is made by RS to both the Provider and Customer by e-mail specifying agreed terms and full details of the Reservation.

‘Reservation Confirmation’ is a formal notice from RS of a rental agreement stating the Providers terms and conditions applicable to the rental agreement.

Terms of Use

RS acts solely as a property marketing and booking agent. Any agreement to use accommodation or other services offered and published online on any RS website is made between the Provider and the Customer by accepting the terms of the Provider. The information and data presented within these websites or other marketing material  is made available for information purposes only and is also offered free of charge to Customers unless where specifically stated. Information is kept by the Provider or the provider’s agent on www.apartmentservice.com through online access and although the information provided is routinely checked by RS for consistency and to quality control information, RS does not make any representation to the accuracy or currency of the information, and cannot accept liability for errors or omissions made by the Provider or any agent on his behalf. RS, however, will use is best efforts to maintain an audit trail of changes made by Providers in order to assist the Customer and Provider in resolving any reservation disputes regarding the quality or accuracy of any information provided. Information specified in any ‘Reservation Confirmation’ is taken from the current online information provided at the time by both the Provider and the Customer and will be deemed to be true, accurate and correct. The Provider and the Customer both agree to abide by any rates, terms or conditions agreed and noted at the time of the reservation process taking place Errors & Omissions  Excepted. Reservation Confirmations of all transaction details will automatically be made by RS by electronic e-mail advice as soon as the Reservation has been completed and any discrepancies found in the advice should brought to the attention of RS as soon as possible. RS will acknowledge receipt of any notification of an error or discrepancy and will advise the other party as soon as practicable in order to resolve the discrepancy. The information and services on www.apartmentservice.com are made available and on the understanding that you agree not to use the site for any purpose that is unlawful in relation to applicable laws or regulations or immoral. You further agree that you indemnify www.apartmentservice.com for any loss or damage or costs for incorrect use of the site or any breach of conditions mentioned herein.

Customer Terms

‘Customers’ understand and agree that:

1. By using these websites, they agree to the terms of use of the site and further understand and accept that a Reservations are contractual and legally binding agreements between the Customer and the Provider.

2. Reservation Confirmation advices will advise of any cancellation terms and charges applied by the Provider in the event that the reservation is cancelled.

3. The Reservation Confirmation advices and any subsequent amendment advices should be read and checked carefully and in particular regarding costs incurred for any changes to or cancellation of the reservation.

4. In proceeding with a reservation the Customer confirms that they have read and understood the implications of any cancellation or charges or fees made by the Provider or RS. Customers also note that the changing of details, such as arrival or departure dates or extra persons for instance, may incur a change to the rate initially booked but that these costs (unknown at the time of booking) cannot be advised at the time of booking. The Customer has the option to cancel their reservation subject to the terms advised if the amended terms or rates are not acceptable to them.

5. Amendments to all reservations will be made by contacting RS and confirmation notices of any amendments and resulting charges will be provided as soon as practically possible after the changes and costs have been confirmed with the Provider.

6. All cancellations must be made by contacting RS in writing and confirmation notices will be sent as soon as practically possible after checking if any charges are to be made by the Provider. Cancellation charges will be notified in all cases.

7. In all cases an administration charge of £25.00 plus VAT will be made by RS for all cancellations or amendments.


Provider terms

‘Providers’ agree that

1. They offer and provide details & information of their properties to visitors to the RS website and in RS’s affiliate programmes at their own discretion.

2. The correctness of any information is solely in their control and that they will not make any vague, incorrect or misleading statements regarding their offerings.

3. They represent and warrant that they have ownership or are a valid licensee of the copyright of the content and information described in the ‘Provider’ definitions above.

4. RS makes available tools for Providers to create and manage their web pages, participate in marketing initiatives, create a booking engine for both online bookings and for request booking business but that the content is the sole responsibility of the Provider in respect to accuracy and descriptions provided.

5. They agree to use their best efforts to resolve disputes where incorrect or inaccurate information provided by them has caused a loss or expense to any Customer.

6. They will also advise the Customer of the correct information and compensate the Customer for any shortfall to the extent of the inaccuracy and make every effort to provide or rectify any dispute.

7. Any amendment or update of information from time to time will not negate an error caused by incorrect information previously provided.

8. Providers warrant legal compliance to supply accommodations in their market for our temporary or short term guests in properties and apartments proposed to RS for rent and indemnify RS against all claims and losses resulting from misleading or false information supplied. Providers are required to complete a verification questionnaire contained within the user area of www.apartmentservice.com, accessed after logging in. It remains the Provider’s responsibility to complete and return the responses requested.

Providers who accept our confirmed booking, also confirm by this action their compliance to all of the required areas of verification. The Global Supply Chain team are available to assist Providers with any queries relating to this aspect

Rights Reserved

All usernames and passwords remain the property of RS and may be cancelled or suspended without notice or any liability to you or any other person, company or legal entity. RS reserves the right and has sole discretion to refuse, block or remove any content that is available via the service. RS also may, but have no obligation to, remove content and content which RS determine unsuitable in their sole discretion that is unlawful, libellous, immoral, defamatory, misleading, pornographic, obscene or unacceptable. RS does not warrant that the operation of the website will be uninterrupted or free or errors or omissions. See also our Privacy Policy 

You are expressly restricted from all of the following:

1. duplicating any Website material in any media;

2. selling, sublicensing and/or otherwise commercializing any Website material;

3. publicly performing and/or showing any Website material without prior written approval by RS ;

4. using this Website in any way that may be damaging to this Website, RS’s reputation, affect its performance or limit its reasonable use by others ;

5. using this Website in any way that impacts user access to this Website;

6. using this Website contrary to applicable laws and regulations, or in a way that causes, or may and cause, harm to the Website, or to any person or business entity;

7. engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this Website, or while using this Website;

Limitation of liability

In no event shall RS nor any of its officers, directors and employees, be liable to you for anything arising out of or in any way connected with your use of this Website, whether such liability is under contract, tort or otherwise, and RS, including its officers, directors and employees shall not be liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.

Indemnification

You hereby indemnify to the fullest extent RS from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney’s fees) arising out of or in any way related to your breach of any of the provisions of these Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

Governing Law & Jurisdiction

These Terms will be governed by and construed in accordance with the laws of England, and you submit to the jurisdiction of the courts located in England for the resolution of any disputes.

General Information


Any information that is collected and subsequently stored is used solely for the purpose of establishing the true identity and details of our clients and customers.


We are committed to ensuring that your information is secure. In order to prevent unauthorised access or disclosure, we have put in place suitable physical, electronic and managerial procedures to safeguard and secure the information we collect online.


Where the information is stored digitally, it is securely stored on our server(s) by means of maintained firewalls and password protection. Data is secure in transit and at rest (using https and database encryption). This includes, as well as other personal data items, the following information: postal or e-mail addresses, land & mobile telephone numbers, fax numbers and credit card details voluntarily supplied to us either online, verbally, by fax or by letter for the purpose of securing or paying for accommodation or other duly incurred charges.


This information will specifically be needed in order for us to:

· Provide the properties we represent with enough information in order to process and confirm any reservation requests or transactions;

· Deliver to our customers expedient confirmation of any business services requested or transacted both initially at the time of booking or subsequently in the event that there are any changes or alterations to reservation details (such as arrival dates or room changes) made either by us, the property booked or at our client customers’ request;

· Facilitate delivery of any printed material requested such as reports or brochures;

· Provide information by e-mail in the future with details of special offers or promotions that we consider to be of possible interest or useful to you and that you have elected to receive;

· Inform any third-party providers which you have selected to receive information about or from in the future;

· Supply information from reputable third-party suppliers we have a strategic marketing relationship with and we feel their services would be useful or interesting to you.


Client Profiles


At your own discretion, you may create an online CLIENT USER PROFILE, your own BUSINESS RULES and other ACCOUNT INFORMATION to manage and enable rapid execution of future online transactions and policies.


Information stored in this way is always shown online in the password protected USER AREA which you can access, delete or amend at any time. Management of any email lists you have subscribed to will also be shown here - you can add or remove yourself as required.


Your client USERNAME will always be your e-mail address and all password reminders will be sent to this address should you request them. Room Space Limited, however, does not accept any responsibility for the protection and security of access to your own e-mail service


PERSONAL DATA and GDPR


At the time of making a reservation request, you voluntarily create a personal or company profile for use by us in order to process reservation(s). This personal data is freely given to us and will be stored on our secure servers and used to research and enable a reservation to take place. You also have the option at this or any subsequent time to grant us permission to send you company information or marketing material that may interest you, but also have the option to easily opt out of this service at any time.


By adding information about you and your family or fellow travellers into this enquiry form, you understand that we will be referring to and storing this data and may pass on certain necessary elements to property suppliers in order to source and negotiate suitable accommodation options for you. By submitting this information on the enquiry form, you are also confirming your consent to this and that you have granted us your permission to use and store this data until such time as it is no longer required by us, or as required for any statutory or legal compliance reasons.

You further agree that Room Space Limited may store any additional information you provide at a later time in relation to the fulfilment of your accommodation needs including any further personal information you may be required to provide in order for Room Space Limited to verify identity, proof or method of payment or personal referencing in order to accept your reservation or rental agreement by property managers or operators.


You have the RIGHT TO BE FORGOTTEN by us at any time and may either visit our website and manage your own profile by logging in securely,or you may request us to advise what personal data or information we hold which we will provide to you in a reasonable time after your request. You may then ask us at your own discretion to delete this data or to forward it at you request which we will do as long as there are no legitimate reasons for us to keep it.


Because your data will most likely have been shared with third party suppliers, i.e. if you have made a booking or reservation, we will also request any third parties that they delete any of your personal information, subject also to any legitimate reasons for them to keep this.  


Marketing e-Mails


e-mails concerning promotions, special rates, customer satisfaction questionnaires, market research, surveys or newsletters will only be sent to you from time to time if you have elected to receive these.


All e-mails received which are not in respect to a specific reservation or specific requests you have made will always contain an option for you to update your mailing preferences either online at our website after secure login or to reply and opt out of any future contact by us or third parties if you have given us permission to share data.


To ensure complete removal from all our mailing lists you may send an e-mail request to privacy @ apartmentservice.com (please remove spaces before and after @) and we will check all lists held by us and with any third-party providers.


Credit Card information:


All Credit card payments made on-line are made through Sage’s PROTX service http://www.protx.com/. All information provided to PROTX is on their secure server and no credit card details are made available to Room Space Limited in any way using this method of payment


Credit card information given to Room Space Limited by other means such as by post, fax, digital document services  or verbally is done so voluntarily and Room Space Limited will keep any communications made in this way in a secure locked store which will only be accessible by members of Room Space Limited staff in the normal course of their duties to fulfil our duties and in accordance with any Statutory obligations. Any hard copies of credit card information and authorities will be kept only until such time that the obligations for payment are finalised.


Accessing our Website


When you access any pages on of our websites, we will not collect any personally identifiable details such as your name or e-mail address unless you have voluntarily and knowingly provided this information. We do collect information about which pages have been accessed by unique visitors for marketing purposes but this is confined to the IP number and HTTP header as well as the date and time of the request in order to provide the functionality of the online web services we offer.

When you log into your CLIENT USER PROFILE, or if you respond to an e-mail we sent to you that has a link you use to access our website, we will be aware of your visit and who you are based on the information you have provided in your CLIENT USER PROFILE.


Cookies


Cookies are used by us for improved functionality on our website – they are known as ‘session cookies’ and will be deleted when you close your browser. Session cookies save information regarding searches (such as dates) so that you do not have to re-enter information you have already input when changing pages or carrying out another search for example. Cookies are controlled by your browser settings so will vary according to the security levels you have preset, which are out of our control, but high levels of cookie restriction will affect the functionality of our website.


‘Permanent’ or ‘Persistent’ cookies are stored by us and used only in connection with CLIENT USER PROFILES to enable rapid population and improved functionality for regular clients or users. We also use Google analytics and they may store their own persistent cookies.
