(“Bridgestone”) and each dealer (“Dealer”) that accesses or uses the BFEntirenet site COPYRIGHT AND TRADEMARK * Dealer agrees to abide by any copyright notice or other restriction contained in any individual items of information, software, and other material (“content”) located on BFEntirenet. * BFEntirenet is copyrighted under United States Copyright laws. Except as expressly permitted in these Terms and Conditions, Dealer shall not reproduce, transmit, distribute, publicly display, publicly perform, upload, publish, or create a derivative work for BFEntirenet or any part thereof. * The trademarks Bridgestone, Bridgestone Americas Tire Operations, LLC, BFEntirenet, Dayton, Bridgestone Corporation and any other rules and logos displayed of BFEntirenet and trademarks or service marks. * All rights not expressly granted under these Terms and Conditions are reserved to and retained by Bridgestone. DEALER CONDUCT * Dealer may access, download, or copy Content located on BFEntirenet, for its internal business purposes only, provided that Dealer complies with these Terms and Conditions and maintains all copyright and other notices contained in such Content. In no event may dealer, directly or indirectly, sell or offer for sale any content located on BFEntirenet or upload, distribute, transmit, perform or otherwise publish such content in any other form or medium. * Dealer is authorized to use the Order Status system accessible via BFEntirenet solely to track the status of Dealer’s and Dealer’s customers’ orders and for no other purpose. Any other use of the Order Status System and information is strictly prohibited. * Dealer shall not permit others to use Dealer’s customer ID and/or password and shall notify Bridgestone of any known or suspected unauthorized use of dealer’s customer ID and/or password. Dealer is responsible for maintaining the confidentiality of its customer ID and password. Dealer shall be fully liable for all use of its customer ID and password, including any unauthorized use of the customer ID and/or password prior to Bridgestone’s receipt of notice from Dealer regarding such unauthorized use. Dealer shall comply with all federal, state, local and foreign laws, rules and regulations applicable to Dealer’s use of BFEntirenet. * Dealers shall not upload to, distribute, transmit or otherwise publish through BFEntirenet any content that is improper, intimidating, slanderous, likely to offend a reasonable person on the basis of his or her age, physical or mental disability, gender, race, religion, national origin, physical attributes or any other classification that could produce civil or criminal liability for either Dealer or for Bridgestone or its respective shareholders, employee, agents, officers, directors, affiliates or any similarly situated persons or entities, or any content that is libelous, threatening, defamatory, obscene, indecent, pornographic, abusive, or otherwise violates any law, rule or regulation or that contains viruses, or any other harmful properties, or use BFEntirenet for, or to further, any illegal purposes. * Dealer shall not upload to, distribute, transmit or otherwise publish through BFEntirenet any content containing any solicitations of funds, advertising, or solicitations for goods or services. * Dealer shall cause all Dealer Affiliates (defined below) to comply with these Terms and Conditions. * Dealer shall indemnify, defend and hold harmless Bridgestone under its respective shareholders, officers, directors, employees, agents and affiliates from any damages, liabilities, losses, claims and expenses (including reasonable attorneys’ fees) arising from Dealer’s violation of these Terms and Conditions or the violation of these Terms and Conditions by any employee or agent of Dealer or by any other person, firm or entity controlled by, controlling or under common control with Dealer (collectively, “Dealer Affiliates”), or any violation of these Terms and Conditions by any other person, firm or entity arising from the acts or omissions of Dealer or any Dealer Affiliate. RIGHTS OF BRIDGESTONE * Bridgestone shall have the right at any time to change or discontinue any aspect or feature of BFEntirenet, including, but not limited to, content and hours of availability. * Bridgestone shall have the right at any time to change or modify the terms and conditions applicable to Dealer’s use of BFEntirenet or any part thereof, or to impose new conditions. Such changes, modifications, additions, or deletions shall be effective immediately upon notice thereof, which may be given by means including but not limited to posting on BFEntirenet, or by electronic mail, or by other means by which dealer becomes aware thereof. Any use of BFEntirenet after such notice shall be deemed to constitute acceptance by dealer of such changes, modifications, additions, or deletions. * Bridgestone may, in its sole discretion, terminate dealer’s customer ID and/or password, or suspend dealer’s access to all or part of BFEntirenet, for any reason. * All Bridgestone products, materials, and information appearing on the BFEntirenet site are intended for United States dealers. The specific Bridgestone products shown may not be available for distribution or sale outside of the United States.
