FREQUENTLY ASKED QUESTIONS

Do you make anything when we exit?

Yes, we take what we call a “Brokers Commission”, similar to when a real estate
agent matches a buyer and a seller for a property. The retainer component of our
service allows us to provide you with the resources to grow, and the brokerage
commission is our compensation for successfully matching you with a buyer, and
helping you prepare all your exit documentation and pitch decks etc. The exact
amount differs from deal to deal, and is determined on a bespoke basis.

How does the exit strategy work?

We have a mailing list of people who have paid us to be on a waiting list.
Whenever our clients are ready to sell, we send out a blast to our list, and if
they are interested we send them a pitch deck and a video presentation prepared
by our M&A experts and financial analysts. From this process, there are
typically a few interested parties, and negotiations ensue. Once things are
wrapped up, we enter negotiation periods and ensure everything is done formally,
with our legal team.

How long does it take to exit?

We have some exits where we work with brands who are already ready to sell. We
simply connect them with our network of potential investors, and within 3 months
everything is said and done and the capital has hit our clients account. For
other brands, we take a longer process, where we install all growth systems, and
grow the company for anything from 6-36 months before looking at selling… and by
taking the extra time, the payout figure is considerably higher (I’m talking 10X
or more, just by delaying the gratification for a few short months)

What multiples can I see at exit?

Typical exit values are either based on current profits, or current revenues. We
see typical exits (if there is a full divestiture) of 1-5X Annual Revenues, or a
number between 5-20X Annual Profits. What end of the spectrum you are at really
depends on current growth trajectory, current revenue levels, growth potential,
competition… there ar ea lot of factors, but anything between the brackets above
is the types of massive multiples we are seeing with eCommerce. You could
potentially sell out for 2M if you’re pulling in 100k a month. This is how
powerful this model is when you build to sell.

Do I have to sell my brand?

No, you do not have to sell your brand. There are a few options You can
partially dilute yourself, selling a certain percentage of your business to a
sole investor, or group of investors. There are two options. Let’s say you
currently value your business at $1,000,000, and you would like to give away 30%
of your business. The investors can provide you with $300,000, and you structure
the deal so that certain amounts go towards growth capital and certain amounts
go towards your personal wealth. We call this “cash out financing”. Typically,
the founder will take some proportion of the investors money for themselves as a
reward for their hard work, and the remainder is allocated towards growth
capital. You can sell out the majority of your shares (i.e. over 70%) and then
remain as an executive staff member of the company and receive a salary plus a
certain profit share, which is determined at the final rounds of negotiations
You can sell out and just remain on the board of advisors, receiving a certain
amount of profit share, potentially with trailing buy-out income, along with the
lump sum, or a form of salary

How do you grow eCommerce companies?

We currently have clients in the range from $10,000 per month in revenue, all
the way up to $2,000,000 per month in revenue. We have all the templates and
growth systems from the more matured businesses, and can directly port them into
our clients accounts who are still in the early stages of growth of their
business. This includes, but is not limited to various customer acquisition
machines, JV outreach templates, employee internal SOPs, Ad Account structures,
Email Flows, Email Blast Sequences, conversion machines, accounting structures
for growth, and much much more. Shuffling paper and just doing “stuff” wont grow
your business, but implementing proven growth systems, and installing people to
manage it once the growth systems are built and put in place, will grow your
business. These activities will move the needle, and move it a lot. When you
work with eCom Brands, you will be assigned your personal 1-on-1 executive
eCommerce advisor/consultant who acts as your C-suite advisor, with specialty in
Marketing. In eCommerce, Marketing moves the needle to more growth and revenue,
and the other aspects of financial control, product development and operational
excellence feed into and allow the marketing machine to flourish, meaning more
profit for your business.

How much time do you spend on me per week?

We have a few components of our service. We have our community and ecosystem of
many eCommerce brands with the same objective in mind, to profitably grow, and
exit for a home-run. You will have 1-on-1 access to your personal executive
advisor who will be there with you every step of the way from A to Z, helping
you profitably and consistently grow and scale, by implementing our four key
growth machines. Their calendars are always open for you so you can book in and
speak with your personal advisor as much or as little as you like. We suggest at
absolute minimum, 1x 1hour calls per week, and are more than happy to expand our
service beyond this if your schedule allows. To ensure that our advisors time is
not split, each advisor only manages a select small group of clients to ensure
that there is no time or effort lost. We are not a typical agency, and do not
outsource anything. We prefer to think of ourselves as a partner within your
business, acting as an advisor on the board, with our number on speed dial, and
an open and direct line of communication throughout the entire journey. You will
have direct access with our companies internal team (through slack), where they
are highly responsive to any questions and help you with quite literally
anything you need on the digital aspect of your business. You will have access
to our group sessions with our founder in an open panel/mastermind setting. Some
true magic happens here through the power of collaboration.

How much is your service, and what is the fee?

It really depends on what works best for you. We have a few different services,
ranging from low 4 figures monthly, all the way up to multi-5 figures per month.
The more we do, the more we charge. We also look at our relationship like a
partnership, so we are happy to work at a lower rate if you are still in the
early growing stages with not much room for additional expenses. Our ultimate
goal is to help you grow your company, and help you hit your magic Exit number
in your head.
