you (“User Generated Content”), and as more specifically identified and
described in the language Fingerhut sent you to request use of your User
Generated Content.
ii. This is a Binding Contract
By replying/responding “yes” to the request to use your User Generated
Content, you allow Fingerhut to use your User Generated Content, and you
are entering an agreement with Fingerhut and agree to be bound by
Fingerhut’s Privacy Policy and Terms of Use, without limitation or
qualification. Fingerhut reserves the right to modify its Privacy Policy
and Terms of Use by posting new versions thereof, as well as the right to
provide additional notice of material changes, which modifications and
changes will be effective immediately.
Accordingly, you should review the Terms of Use each time you grant
permission or authorization to feature your User Content.
This section in no way limits or impacts the Limitation of Liability or
Enforcement of Terms of Use detailed below.
iii. License
You hereby grant to Fingerhut and its related companies, agents,
licensees, sublicensees, contractors, successors, legal representatives,
assigns, and third-party service providers, and their respective retail
partners, marketing or public relations agencies, and other affiliates
(the “Licensed Parties”) a worldwide, perpetual, irrevocable,
royalty-free, fully-paid, non-exclusive, transferable, sublicensable right
to use, publish, broadcast, post online, and copyright your (i) name,
voice, picture, portrait, and likeness (“Name” and/or “Likeness”) as such
Name and/or Likeness appears in or in connection with your User Generated
Content; and (ii) the User Generated Content in and in connection in any
manner to be determined in the Licensed Parties’ sole discretion,
including but not limited to on webpages and social media pages operated
by the Licensed Parties, in promotional emails and advertisements, and in
any and all other marketing, promotional and advertising initiatives, and
in any media now or hereafter known. The Licensed Parties may modify the
User Generated Content for formatting, navigational, integration or other
purposes, but such modifications will not materially distort such User
Generated Content.
No advertisement, promotional media, or other material in any media
containing your Name and/or Likeness related to the User Generated Content
need be submitted to you for any further approval for use by the Licensed
Parties, and the Licensed Parties shall be without liability to you for
any distortion or illusionary effect resulting from the publication of
your Name and/or Likeness.
You hereby release, discharge and agree to hold the Licensed Parties, and
any person acting on their behalf, harmless from any liability related in
any way to the Licensed Parties’ use of your User Generated Content.
The User Generated Content and any Name and/or Likeness that you submit is
deemed non-confidential and the Licensed Parties have no obligation to
maintain the confidentiality of any information, in whatever form,
contained in any submission, except pursuant to the Licensed Parties’
respective privacy policies.
By using this Site or the Services, you are consenting to the Licensed
Parties’ collection of any personal information you provide for the
Licensed Parties’ use and disclosure in connection with the use of your
User Generated Content as described herein and in the Fingerhut Privacy
Policy. If you do not agree to the collection, use and disclosure of your
personal information in this way, please do not use this Site or the
Services, otherwise provide the Licensed Parties with personal
information, and please reply or answer “no” to the request from Fingerhut
to use your content or via the platform on which your User Generated
Content appeared. Your personal information may be transferred to servers
located outside the country in which you live or to third parties in other
countries so that they may process personal information on the Licensed
Parties’ behalf. By using the Site or the Services or otherwise providing
the Licensed Parties with personal information, you agree to the foregoing

in accordance with these Terms of Use, the Privacy Policy, and applicable
data protection laws and regulations.
iv. Your Representations
You hereby agree, acknowledge, and warrant that:
i. You are 18 years of age or older;
ii. You are solely responsible for your User Generated Content;
iii. You own all rights in and to your User Generated Content and/or have
obtained appropriate rights and permissions from any and all other
persons and/or entities who own, manage or otherwise claim any rights
with respect to such User Generated Content;
iv. Fingerhut’s and the Licensed Parties’ use of your User Content as
described herein will not violate the rights, including but not
limited to copyright, trademark, patent, trade secret; privacy,
publicity, moral, proprietary or other rights, of any third party, or
any law, rule or regulation; and
v. The User Content is not libelous, defamatory, obscene, pornographic,
abusive, indecent, threatening, harassing, hateful, or offensive or
otherwise unlawful.
v. Miscellaneous
You agree that if Fingerhut does not exercise or enforce any legal right
or remedy which is contained in this section of the Terms of Use, (or
which Fingerhut has the benefit of under any applicable law), this will
not be taken to be a formal waiver of Fingerhut’s rights and that those
rights or remedies will still be available.
If any court of law, having the jurisdiction to decide on this matter,
rules that any provision of these Terms of Use are invalid, then that
provision will be removed without affecting the rest of the Terms of Use.

applicable law, in arbitration unless the arbitrator determines the claims
