We are pleased to introduce you to Urban Gateway Energy Capital, Ltd. (“UGEC”),
an investment company that commercializes disruptive, proven technologies in
Asia Pacific energy and urban infrastructure markets to achieve meaningful
climate impact and strong investor returns. UGEC has already successfully
deployed $2.8 million in capital to create, fund and build out three portfolio
companies, achieving a current value for UGEC investors estimated to be 11x
capital deployed, and with significant further valuation creation opportunity
ahead.

Currently, UGEC is raising up to $2 million in capital for continued growth and
expansion of its three portfolio companies. This is an exciting high-potential
investment opportunity.



Business Model

UGEC acquires proven technology solutions from around the world to deploy rapid
growth opportunities in billion-dollar vertical markets in Asia Pacific. The
firm then leverages its Asia-based operating team to launch portfolio companies
in the identified market segments and establishes product/market fit. UGEC then
hires management teams with proven track records operating and exiting similar
businesses to rapidly scale the portfolio companies. The firm also leverages its
global team’s networks and expertise to raise growth capital for its portfolio
companies to position them for growth and successfully exit.

Milestones Achieved

Over the past two years, UGEC has proven its business thesis, having
successfully acquired three technologies and built out three diverse climate
action driven portfolio companies in multi-billion-dollar market segments
related to Waste-to-Energy, Cooling Efficiency and Virtual Power. EnerWaste and
EnerCool now have their own management teams, have raised outside capital at the
portfolio company level and are positioned for significant growth, and EnerCloud
has entered the pilot phase. All three portfolio companies are Hong Kong based
with an initial focus on Greater China, and with plans to begin to expand to the
ASEAN region in 2023.

Experienced Team

UGEC’s global executive leadership and advisory board members have a long
history of successfully operating businesses, have achieved exits valued at over
$1 billion and have centuries of collective domain experience in Greater China
and Asia Pacific. This, combined with global access to foundational technologies
and capital raising networks, forms the backbone for delivering the firm’s
strategy. Strong Technology Pipeline. Third Sphere is a seed stage venture
capital fund and is one of Urban Gateway’s technology sourcing partners. The
founding principals of Third Sphere are collectively the second largest
shareholding group in UGEC. Third Sphere was ranked as the #1 ranked seed stage
climate venture capital fund in North America by Climate50.

Attractive Investment Opportunity

UGEC offers this opportunity to invest at very attractive terms, which includes
a 50% discount to UGEC’s estimated value based on its ownership interest in its
3 portfolio companies EnerWaste, EnerCool and EnerCloud.

● Raise Amount: Up to $2,000,000

● Series A Preferred Shares

● Pre-Money Valuation: $16,000,000

● Estimated Intrinsic Value of existing portfolio: $34,000,000

● 1X Non-Participating Preferred, Preemptive Rights, Information Rights

● Minimum investment: $75,000

● Investment Entity: Urban Gateway Energy Capital, Ltd. (“UGEC”), domiciled in
Cayman Islands and houses the investments in the three portfolio companies

● Use of funds: To fund further growth of these three portfolio companies

● Building on success to date, the principals of UGEC plan to raise a stand
alone fund in 2023, targeting a fund size of $100 million to expand on the
investment strategy. All Series A Preferred Investors in UGEC will receive a
preemptive right to invest in this separate fund.
