MANAGEMENT

Andrew Taitz, Founder, Chairman, and CEO

Andrew Taitz is the Founder, Chairman, and CEO of GVW Group, LLC, which
encompasses affiliated domestic and international operating companies in the
heavy-duty commercial vehicle manufacturing, distribution, engineering and IT
industries.

GVW Group continues to seek and invest in new advanced technology opportunities
that either support affiliates or would enable penetration of new markets for
which GVW Group brings unique value.

Consistent with all of Andrew Taitz’s efforts for almost three decades
(including his past investments and dispositions of Workhorse Custom Chassis and
Union City Body Co.), GVW Group™ companies seek the best people, who are then
empowered to create value for customers – often by doing things differently.

By understanding customers, their markets, and their true drivers of value and
sustained competitive advantages, GVW Group companies meet customer needs in
ways more fundamental and aligned toward forward-looking growth and
profitability.

Mr. Taitz and the GVW Group companies have also been industry leaders in
furthering and promoting sustainable, environment-friendly products and

Jeffrey Leeb, General Counsel

Jeffrey Leeb has been the General Counsel of GVW Group since joining the
organization in 2015. In this capacity, he supports and represents GVW Group and
its manufacturing, parts distribution, engineering, IT, and energy rebate
affiliate companies in connection with all legal, risk management, and
compliance matters.

Prior to joining GVW Group, Mr. Leeb was with three of Chicago’s largest law
firms, practicing primarily in areas including energy regulation, litigation,
investigations, corporate and banking transactions. He also held marketing and
sales strategy and planning positions with Walt Disney Parks and Resorts in
Orlando, Florida.

Mr. Leeb graduated from the University of Illinois (Urbana-Champaign) with a
B.S. in Accountancy. He received his J.D. from Northwestern University Pritzker
School of Law, and an M.B.A. from the University of Chicago Booth School of
Business (concentrations in Finance, Strategy and Entrepreneurship). He is also
a registered Certified Public Accountant in Illinois.

WORKHORSE CUSTOM CHASSIS

GVW launched Workhorse Custom Chassis in 1998, by acquiring the P-chassis assets
and intellectual property from General Motors. The company’s management team was
responsible for building a new 200,000 square foot manufacturing facility “from
the ground up”, and hired a staff of 300 managers and production workers – all
in the span of less than one year.

The company manufactured stripped chassis for the motor home, bus and commercial
vehicle segments. GVW’s management team developed a suite of sixteen new
products, growing its market share in the gas-powered motor home segment from
19% to over 65% in less than five years. After several years of increasing
EBITDA growth, GVW sold Workhorse to Navistar International in 2005.

UNION CITY BODY COMPANY

GVW acquired Union City Body Company (UCBC) in 1993. The company produced
aluminum walk-in van bodies for leading delivery companies such as Federal
Express, Frito Lay, and United Parcel Service.

GVW spent considerable time and resources to improve the product offering,
reduce operational costs, refine go-to-market strategies, and restructure the
business. UCBC jointly developed and launched the industry’s first successful
fully engineered and integrated step van truck in conjunction with Workhorse
Custom Chassis. GVW sold UCBC to Utilimaster Corporation in 2005

UPTIME PARTS

GVW acquired UpTime Parts from Transcom, a rollup of heavy-duty parts
distributors nationwide. GVW successfully integrated the OES service parts
business from its existing portfolio business into the acquired UpTime Parts
infrastructure. The company supplied replacement and aftermarket parts for the
recreational vehicle, heavy truck, medium truck, and bus after markets. GVW sold
Uptime Parts to Navistar International in 2005.

VORZA

Vorza was established with the intention of being focused on advanced technology
development and execution in the trucking industry, including but not limited to
Electric Vehicle, Fuel Cell, Advanced Driver-Assistance Systems (ADAS),
Connectivity, Autonomous Vehicle, and Artificial Intelligence in Trucking.

The company is designed to expand design and engineering services to specialty
vehicle manufacturers and other industries for various applications as well.
Vorza’s expertise is in the high tech sectors of software development, vehicle
technology, and AI.
