www.coagclinic.com, www.vadwatch.com, and other proprietary websites all owned and operated by Alere Home Monitoring Inc., d/b/a Acelis Connected Health Services or Standing Stone LLC, d/b/a Acelis Connected Health Technologies.
(collectively herein, “ACHS”). Your use of the Sites as an Authorized User of Subscriber as defined below, constitutes your acknowledgment and acceptance of these Terms of Use and your agreement to be bound by them. If you do not
agree to these Terms of Use, you will not be able to access the Sites. <br><br> ACHS has licensed access to and use of its web-based applications at the sites, including third-party applications, interfaces, and services
(collectively, the “System”) to individuals, such as you, and other of Subscribers’ certain hospitals, clinics, and patient self-testing organizations (each a “Subscriber” and collectively, “Subscribers”) pursuant to certain SaaS
Subscriptions Terms of ACHS agreed to by Subscriber (the “Subscription Terms”). Subscribers are then responsible for granting its professional or support staff employees or authorized third parties (each an “Authorized User”) access
to the System (the “Portal Service”). <br><br> YOU UNDERSTAND AND AGREE THAT THIS IS A SECURE SITE THAT REQUIRES A UNIQUE USER ID AND PASSWORD TO ACCESS. ANY UNAUTHORIZED OR ATTEMPTED UNAUTHORIZED ACCESS TO THIS SITE IS STRICTLY
PROHIBITED AND WILL BE PROSECUTED TO THE FULL EXTENT PERMITTED BY LAW. <br><br> A. Scope of Permitted Use<br> During the Term of the Subscriber’s subscription under the Subscription Terms and while you are authorized by Subscriber,
you may access and use the System as an Authorized User of Subscriber solely for its intended purpose in Subscriber’s business as a provider of health care or research-related services and in accordance with the Subscription Terms.
Any use of the System not expressly permitted by the Subscription Terms is prohibited. Without limiting the generality of the foregoing, you shall not: (i) reproduce (except as specifically set forth herein), download, modify,
create derivative works from, distribute, or attempt to reverse engineer, decompile, disassemble, or access the source code for, any component of the System; (ii) use the System, or any component thereof, in the operation of a
service bureau to support any party other than Subscriber; or (iii) use the System, or any component thereof, in any manner contrary to applicable federal, state or local laws or government regulations. <br><br> B. Subscriber
Responsibility for Independent Medical Judgment<br> As an Authorized User, you acknowledge and agree that the use of the System, including use of patient data delivered through the Portal Service, by a clinic or other Subscriber for
any purpose related to patient care cannot be controlled by ACHS and must not be substituted for the skill and judgment of a health care professional. You acknowledge and agree that ACHS is in no way responsible for any
pharmacological, medical, legal or similar information contained in, entered into, or used in connection with the System, including information entered by a patient through the Portal Service. The Subscriber, and not ACHS, shall be
solely responsible and liable for patients’ treatment and care, including all responsibility for personal or psychological injury or loss of life. <br><br> The System (but not the Portal Service) includes as part of its
functionality the ability for you to input and modify certain dosing algorithms. Any use of a dosing algorithm may affect the results generated by the System. ACHS expressly disclaims any liability or System support obligations for
any results that are derived from any such dosing algorithms input by an Authorized User. Without limiting the foregoing, the Subscriber shall also restrict use of any information generated or provided by products provided by third
party vendors (as incorporated into the System) in connection with the treatment of patients to a licensed healthcare professional directly connected with the Subscriber, either as an employee or an authorized affiliate; and then,
only under the supervision of, and reliance upon, the clinical discretion and judgment of a licensed physician. As between the Subscriber and such third party licensors, the Subscriber assumes full responsibility for ensuring the
appropriateness of using and relying upon the information in view of all attendant circumstances, indications, and contraindications. <br><br> C. Confidential Patient Information<br> All data provided by Subscriber and stored in the
System is owned by Subscriber or Subscriber’s patients. ACHS shall not use such data for any purpose other than fulfilling the requirements of the Subscription Terms or as otherwise permitted by the Subscription Terms. Through the
Subscription Terms, Subscriber has agreed that, from time to time, ACHS may use aggregated, anonymous (i.e., not personally identifiable) statistical data, concerning results derived from the use of the System, for ACHS’s
institutional business and marketing purposes, subject to any applicable legal limitations on the use thereof. Please see our Privacy Policy for more details. <br><br> Authorized User warrants that it will comply with all applicable
confidentiality and privacy laws and regulations with respect to patient medical information and any other confidential patient information required for Authorized User’s use of the Systems and disclosed by Authorized User to ACHS.
Authorized User acknowledges that personally identifiable data that is downloaded to a local machine, such as a printer, is outside of the scope of the System and Authorized User is responsible for use and protection of such
personally identifiable information. Authorized User agrees not to send personally identifiable data to ACHS via any unsecured means, including via unsecured (non-encrypted) email. <br><br> ACHS shall, until the expiration of four
(4) years after the furnishing of any services pursuant to the Agreement, and to the extent required by 42 U.S.C. § 1395x(v)(1)(1) and 42 C.F.R. § 420.300 et seq., provide the Secretary of the U.S. Department of Health and Human
Services or the Comptroller General, or their representatives, upon request, the Agreement and such books, documents and records as may be necessary to verify the nature and extent of the costs of the services rendered hereunder.
Authorized User shall maintain adequate records in connection with activity under the Agreement as required by applicable law. <br><br> D. Intellectual Property<br> ACHS or its third-party licensors are the sole owners of all right,
title and interest, including without limitation, all copyrights, patent rights and “know-how,” in and to the System and the Portal Service, and the ideas, procedures, processes, systems, methods of operation, and no such right,
title or interest shall pass to you or any Authorized User. The concepts that are embodied within the System and the Portal Service are trade secret information of ACHS or its licensor(s). The license granted hereunder is not a sale
of a copy of any component of the System or the Portal Service, and does not render you the owner of a copy of such products. Ownership of the System and the Portal Service and all components thereof shall at all times remain with
ACHS or its licensors. All content (including without limitation all text, designs, graphics and illustrations and all associated HTML, Java scripts and all other code) contained in the System and the Portal Service, including all
copyrights therein, is owned by ACHS. You shall not copy, publish, make any derivative use of, assign, transfer, duplicate, re-transmit or distribute any such content, including content provided by third party licensors, except as
expressly authorized under the Subscription Terms. ACHS reserves the right to terminate your access to the Portal Service at any time in its sole discretion. Upon termination or expiration of your course of treatment by your clinic
or other Subscriber, or at the direction of such Subscriber at any time, you will discontinue all use of the Portal Service. <br><br> E. Warranty and Limits of Liability <br> THE PORTAL SERVICE IS PROVIDED TO YOU “AS IS.” OTHER THAN
AS EXPRESSLY SET FORTH HEREIN, ALERE EXPRESSLY DISCLAIMS, AND YOU HEREBY EXPRESSLY WAIVE, ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
PARTICULAR PURPOSE, OR WARRANTIES AS TO ANY RESULTS TO BE OBTAINED FROM THE SYSTEM OR ANY USE OF THIRD-PARTY SOFTWARE OR INFORMATION OR RESULTS DERIVED THEREFROM. ALERE DOES NOT WARRANT ACCESS TO THE PORTAL SERVICE OR THAT ACCESS TO
THE PORTAL SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU MAY USE CERTAIN THIRD-PARTY SOFTWARE (INCLUDING WEB BROWSERS) OR HARDWARE IN CONNECTION WITH ACCESSING THE PORTAL SERVICE. ALERE MAKES NO WARRANTIES OR REPRESENTATIONS,
EXPRESS OR IMPLIED, AS TO THE QUALITY, CAPABILITIES, OPERATIONS, PERFORMANCE OR SUITABILITY OF SUCH THIRD-PARTY SOFTWARE OR HARDWARE. THE QUALITY, CAPABILITIES, OPERATIONS, PERFORMANCE AND SUITABILITY OF SUCH THIRD-PARTY SOFTWARE OR
HARDWARE LIE SOLELY WITH YOU AND THE VENDOR OR SUPPLIER OF SUCH THIRD-PARTY SOFTWARE OR EQUIPMENT, AS THE CASE MAY BE. EXCEPT AS EXPRESSLY PROVIDED UNDER THE SUBSCRIPTION TERMS, ALERE SHALL HAVE NO LIABILITY TO YOU WITH RESPECT TO
YOUR USE OF THE SYSTEM, PORTAL SERVICE OR OTHERWISE FOR CONSEQUENTIAL, EXEMPLARY, SPECIAL, DIRECT, INDIRECT, INCIDENTAL OR PUNITIVE DAMAGES, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES TO
ALL CAUSES OF ACTION OR CLAIMS IN THE AGGREGATE, INCLUDING WITHOUT LIMITATION TO BREACHS OF CONTRACT, BREACHS OF WARRANTY, INDEMNITY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATION, AND OTHER TORTS. THE LICENSE GRANTED IN THE
SUBSCRIPTION TERMS REFLECTS, AND IS PROVIDED IN RELIANCE UPON, THIS ALLOCATION OF RISK AND THE EXCLUSION OF CONSEQUENTIAL DAMAGES AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS OF USE. ALERE SHALL NOT BE LIABLE FOR ANY LOSS
OR DAMAGE ARISING OUT OF OR RELATING TO ACTS OR OMISSIONS OF ANY PROVIDER OF ONLINE ACCESS OR OTHER SERVICES TO YOU RELATING TO YOUR ACCESS TO AND USE OF THE SYSTEM HEREUNDER. ALERE’S SOLE AND AGGREGATE LIABILITY FOR ANY CLAIMS OF
ANY NATURE HOWSOEVER ARISING OUT OF OR UNDER THE AGREEMENT SHALL IN NO EVENT EXCEED THE AMOUNT OF THE SUBSCRIPTION AND LICENSE FEES PAID BY SUBSCRIBER TO ALERE. <br><br> F. Miscellaneous<br> Every provision of these Terms of Use
shall be construed, to the extent possible, so as to be valid and enforceable. If any provision of these Terms of Use so construed is held by a court of competent jurisdiction to be invalid, illegal or otherwise unenforceable, such
provision shall be deemed severed from Terms of Use, and all other provisions shall remain in full force and effect. These Terms of Use and performance hereunder shall be governed by the laws of the State of Delaware, without giving
effect to the principles of conflict of laws of such state. <br><br> ACHS may from time to time replace these Terms of Use with updated terms and conditions by (a) emailing or sending by mail to the Subscriber a copy of or webpage
link to the new terms and conditions at least 30 days in advance of the effective change; and (b) requiring Subscriber or its Users to click through and accept the new terms and conditions when next accessing the Site following the
effective date of such change.</span>

I. Web Site Terms of Use
These terms of use (the “Terms of Use”) governs use of the websites each a
“Site” and collectively, the “Sites” located at www.coagclinic.com,
www.vadwatch.com, and other proprietary websites all owned and operated by Alere
Home Monitoring Inc., d/b/a Acelis Connected Health Services or Standing Stone
LLC, d/b/a Acelis Connected Health Technologies. (collectively herein, “ACHS”).
Your use of the Sites as an Authorized User of Subscriber as defined below,
constitutes your acknowledgment and acceptance of these Terms of Use and your
agreement to be bound by them. If you do not agree to these Terms of Use, you
will not be able to access the Sites.
ACHS has licensed access to and use of its web-based applications at the sites,
including third-party applications, interfaces, and services (collectively, the
“System”) to individuals, such as you, and other of Subscribers’ certain
hospitals, clinics, and patient self-testing organizations (each a “Subscriber”
and collectively, “Subscribers”) pursuant to certain SaaS Subscriptions Terms of
ACHS agreed to by Subscriber (the “Subscription Terms”). Subscribers are then
responsible for granting its professional or support staff employees or
authorized third parties (each an “Authorized User”) access to the System (the
“Portal Service”).
YOU UNDERSTAND AND AGREE THAT THIS IS A SECURE SITE THAT REQUIRES A UNIQUE USER
ID AND PASSWORD TO ACCESS. ANY UNAUTHORIZED OR ATTEMPTED UNAUTHORIZED ACCESS TO
THIS SITE IS STRICTLY PROHIBITED AND WILL BE PROSECUTED TO THE FULL EXTENT
PERMITTED BY LAW.
A. Scope of Permitted Use
During the Term of the Subscriber’s subscription under the Subscription Terms
and while you are authorized by Subscriber, you may access and use the System as
an Authorized User of Subscriber solely for its intended purpose in Subscriber’s
business as a provider of health care or research-related services and in
accordance with the Subscription Terms. Any use of the System not expressly
permitted by the Subscription Terms is prohibited. Without limiting the
generality of the foregoing, you shall not: (i) reproduce (except as
specifically set forth herein), download, modify, create derivative works from,
distribute, or attempt to reverse engineer, decompile, disassemble, or access
the source code for, any component of the System; (ii) use the System, or any
component thereof, in the operation of a service bureau to support any party
other than Subscriber; or (iii) use the System, or any component thereof, in any
manner contrary to applicable federal, state or local laws or government
regulations.
B. Subscriber Responsibility for Independent Medical Judgment
As an Authorized User, you acknowledge and agree that the use of the System,
including use of patient data delivered through the Portal Service, by a clinic
or other Subscriber for any purpose related to patient care cannot be controlled
by ACHS and must not be substituted for the skill and judgment of a health care
professional. You acknowledge and agree that ACHS is in no way responsible for
any pharmacological, medical, legal or similar information contained in, entered
into, or used in connection with the System, including information entered by a
patient through the Portal Service. The Subscriber, and not ACHS, shall be
solely responsible and liable for patients’ treatment and care, including all
responsibility for personal or psychological injury or loss of life.
The System (but not the Portal Service) includes as part of its functionality
the ability for you to input and modify certain dosing algorithms. Any use of a
dosing algorithm may affect the results generated by the System. ACHS expressly
disclaims any liability or System support obligations for any results that are
derived from any such dosing algorithms input by an Authorized User. Without
limiting the foregoing, the Subscriber shall also restrict use of any
information generated or provided by products provided by third party vendors
(as incorporated into the System) in connection with the treatment of patients
to a licensed healthcare professional directly connected with the Subscriber,
either as an employee or an authorized affiliate; and then, only under the
supervision of, and reliance upon, the clinical discretion and judgment of a
licensed physician. As between the Subscriber and such third party licensors,
the Subscriber assumes full responsibility for ensuring the appropriateness of
using and relying upon the information in view of all attendant circumstances,
indications, and contraindications.
C. Confidential Patient Information
All data provided by Subscriber and stored in the System is owned by Subscriber
or Subscriber’s patients. ACHS shall not use such data for any purpose other
than fulfilling the requirements of the Subscription Terms or as otherwise
permitted by the Subscription Terms. Through the Subscription Terms, Subscriber
has agreed that, from time to time, ACHS may use aggregated, anonymous (i.e.,
not personally identifiable) statistical data, concerning results derived from
the use of the System, for ACHS’s institutional business and marketing purposes,
subject to any applicable legal limitations on the use thereof. Please see our
Privacy Policy for more details.
Authorized User warrants that it will comply with all applicable confidentiality
and privacy laws and regulations with respect to patient medical information and
any other confidential patient information required for Authorized User’s use of
the Systems and disclosed by Authorized User to ACHS. Authorized User
acknowledges that personally identifiable data that is downloaded to a local
machine, such as a printer, is outside of the scope of the System and Authorized
User is responsible for use and protection of such personally identifiable
information. Authorized User agrees not to send personally identifiable data to
ACHS via any unsecured means, including via unsecured (non-encrypted) email.
ACHS shall, until the expiration of four (4) years after the furnishing of any
services pursuant to the Agreement, and to the extent required by 42 U.S.C. §
1395x(v)(1)(1) and 42 C.F.R. § 420.300 et seq., provide the Secretary of the
U.S. Department of Health and Human Services or the Comptroller General, or
their representatives, upon request, the Agreement and such books, documents and
records as may be necessary to verify the nature and extent of the costs of the
services rendered hereunder. Authorized User shall maintain adequate records in
connection with activity under the Agreement as required by applicable law.
D. Intellectual Property
ACHS or its third-party licensors are the sole owners of all right, title and
interest, including without limitation, all copyrights, patent rights and
“know-how,” in and to the System and the Portal Service, and the ideas,
procedures, processes, systems, methods of operation, and no such right, title
or interest shall pass to you or any Authorized User. The concepts that are
embodied within the System and the Portal Service are trade secret information
of ACHS or its licensor(s). The license granted hereunder is not a sale of a
copy of any component of the System or the Portal Service, and does not render
you the owner of a copy of such products. Ownership of the System and the Portal
Service and all components thereof shall at all times remain with ACHS or its
licensors. All content (including without limitation all text, designs, graphics
and illustrations and all associated HTML, Java scripts and all other code)
contained in the System and the Portal Service, including all copyrights
therein, is owned by ACHS. You shall not copy, publish, make any derivative use
of, assign, transfer, duplicate, re-transmit or distribute any such content,
including content provided by third party licensors, except as expressly
authorized under the Subscription Terms. ACHS reserves the right to terminate
your access to the Portal Service at any time in its sole discretion. Upon
termination or expiration of your course of treatment by your clinic or other
Subscriber, or at the direction of such Subscriber at any time, you will
discontinue all use of the Portal Service.
E. Warranty and Limits of Liability
THE PORTAL SERVICE IS PROVIDED TO YOU “AS IS.” OTHER THAN AS EXPRESSLY SET FORTH
HEREIN, ALERE EXPRESSLY DISCLAIMS, AND YOU HEREBY EXPRESSLY WAIVE, ALL
WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF
TITLE, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR
WARRANTIES AS TO ANY RESULTS TO BE OBTAINED FROM THE SYSTEM OR ANY USE OF
THIRD-PARTY SOFTWARE OR INFORMATION OR RESULTS DERIVED THEREFROM. ALERE DOES NOT
WARRANT ACCESS TO THE PORTAL SERVICE OR THAT ACCESS TO THE PORTAL SERVICE WILL
BE UNINTERRUPTED OR ERROR-FREE. YOU MAY USE CERTAIN THIRD-PARTY SOFTWARE
(INCLUDING WEB BROWSERS) OR HARDWARE IN CONNECTION WITH ACCESSING THE PORTAL
SERVICE. ALERE MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, AS TO
THE QUALITY, CAPABILITIES, OPERATIONS, PERFORMANCE OR SUITABILITY OF SUCH
THIRD-PARTY SOFTWARE OR HARDWARE. THE QUALITY, CAPABILITIES, OPERATIONS,
PERFORMANCE AND SUITABILITY OF SUCH THIRD-PARTY SOFTWARE OR HARDWARE LIE SOLELY
WITH YOU AND THE VENDOR OR SUPPLIER OF SUCH THIRD-PARTY SOFTWARE OR EQUIPMENT,
AS THE CASE MAY BE. EXCEPT AS EXPRESSLY PROVIDED UNDER THE SUBSCRIPTION TERMS,
ALERE SHALL HAVE NO LIABILITY TO YOU WITH RESPECT TO YOUR USE OF THE SYSTEM,
PORTAL SERVICE OR OTHERWISE FOR CONSEQUENTIAL, EXEMPLARY, SPECIAL, DIRECT,
INDIRECT, INCIDENTAL OR PUNITIVE DAMAGES, EVEN IF IT HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION OR
CLAIMS IN THE AGGREGATE, INCLUDING WITHOUT LIMITATION TO BREACHS OF CONTRACT,
BREACHS OF WARRANTY, INDEMNITY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATION,
AND OTHER TORTS. THE LICENSE GRANTED IN THE SUBSCRIPTION TERMS REFLECTS, AND IS
PROVIDED IN RELIANCE UPON, THIS ALLOCATION OF RISK AND THE EXCLUSION OF
CONSEQUENTIAL DAMAGES AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS OF
USE. ALERE SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING OUT OF OR RELATING
TO ACTS OR OMISSIONS OF ANY PROVIDER OF ONLINE ACCESS OR OTHER SERVICES TO YOU
RELATING TO YOUR ACCESS TO AND USE OF THE SYSTEM HEREUNDER. ALERE’S SOLE AND
AGGREGATE LIABILITY FOR ANY CLAIMS OF ANY NATURE HOWSOEVER ARISING OUT OF OR
UNDER THE AGREEMENT SHALL IN NO EVENT EXCEED THE AMOUNT OF THE SUBSCRIPTION AND
LICENSE FEES PAID BY SUBSCRIBER TO ALERE.
F. Miscellaneous
Every provision of these Terms of Use shall be construed, to the extent
possible, so as to be valid and enforceable. If any provision of these Terms of
Use so construed is held by a court of competent jurisdiction to be invalid,
illegal or otherwise unenforceable, such provision shall be deemed severed from
Terms of Use, and all other provisions shall remain in full force and effect.
These Terms of Use and performance hereunder shall be governed by the laws of
the State of Delaware, without giving effect to the principles of conflict of
laws of such state.
ACHS may from time to time replace these Terms of Use with updated terms and
conditions by (a) emailing or sending by mail to the Subscriber a copy of or
webpage link to the new terms and conditions at least 30 days in advance of the
effective change; and (b) requiring Subscriber or its Users to click through and
accept the new terms and conditions when next accessing the Site following the
effective date of such change.

intended to be used as an assistance to health care providers in the collection,
analysis, management, and documentation for monitoring purposes, for chronic
disease states.
All clinical tools contained within the Acelis Connected Health eSuite are based
on standard clinical guidelines and recognized clinical practice. All clinical
tools are publicly available on sites external to the Acelis Connected Health
eSuite and such tools have been reproduced within our Acelis Connected Health
eSuite for convenience only. Health care providers should independently verify

Our website implements the ARIA attributes (Accessible Rich Internet
Applications) technique, alongside various behavioral changes, to ensure blind
users visiting with screen-readers can read, comprehend, and enjoy the website’s
functions. As soon as a user with a screen-reader enters your site, they
immediately receive a prompt to enter the Screen-Reader Profile so they can
browse and operate your site effectively. Here’s how our website covers some of
the most important screen-reader requirements:
1. Screen-reader optimization: we run a process that learns the website’s
components from top to bottom, to ensure ongoing compliance even when
updating the website. In this process, we provide screen-readers with
meaningful data using the ARIA set of attributes. For example, we provide
accurate form labels; descriptions for actionable icons (social media icons,
search icons, cart icons, etc.); validation guidance for form inputs;

of a button. Animations controlled by the interface include videos, GIFs,
and CSS flashing transitions.
4. Content highlighting – users can choose to emphasize essential elements such
as links and titles. They can also choose to highlight focused or hovered
elements only.
5. Audio muting – users with hearing devices may experience headaches or other
issues due to automatic audio playing. This option lets users mute the
entire website instantly.
6. Cognitive disorders – we utilize a search engine linked to Wikipedia and
Wiktionary, allowing people with cognitive disorders to decipher meanings of
phrases, initials, slang, and others.
7. Additional functions – we allow users to change cursor color and size, use a
printing mode, enable a virtual keyboard, and many other functions.
Assistive technology and browser compatibility
We aim to support as many browsers and assistive technologies as possible, so
our users can choose the best fitting tools for them, with as few limitations as
possible. Therefore, we have worked very hard to be able to support all major
systems that comprise over 95% of the user market share, including Google
Chrome, Mozilla Firefox, Apple Safari, Opera and Microsoft Edge, JAWS, and NVDA
(screen readers), both for Windows and MAC users.
