Industrial Services Business INDUSTRIAL SERVICES BUSINESS ("ISB") -------------------------------------------------------------------------------- Based in the Midwest, ISB provided services to its clients throughout North America. ISB provides services ranging from communications, audio visual, controls and power for greenfield projects to complete electrical services for its industrial clients. Clients and industries served included agricultural, alternative energy, automotive, consumer goods, food processing, office furniture, and pharmaceutical companies. Secondary Contract Packager SECONDARY CONTRACT PACKAGER ("SCP") -------------------------------------------------------------------------------- Based in the Midwest, SCP provides packaging services to some of the world's largest pharmaceutical and food & beverage companies. Ellison Bakery* ELLISON BAKERY* ("EB") -------------------------------------------------------------------------------- Based in Fort Wayne, Indiana, EB is a leading manufacturer of cookie, snack bar, crunch and inclusion product, and other products for the industrial market, food service industry, and retail and private label space. * Investment made by an affiliate of CCH or one of its principals. (“UCC”) is a Sparta, Michigan based leading provider of telecommunications construction and splicing since 1974 throughout the state of Michigan. UCC’s services include all aspects of buried and aerial placement of fiber optic cable as well as splicing. The Company’s customers include incumbent and local exchange carriers, wireless carriers, municipal networks, private companies. UCC’s quality and satisfaction ratings are among the highest in the industry. Mission Design & Automation ("Mission") is a leading intelligent automation integrator located in West Michigan. Mission believes that integrity and dedication to customer success is what has fostered meaningful relationships with their diverse customer base since 2004. Mission designs, builds, and integrates custom intelligent automation solutions for a variety of industries including food & beverage, medical device, transportation and automotive, consumer goods, and more. INVESTMENT CRITERIA FOR MEMBER COMPANIES -------------------------------------------------------------------------------- We are interested in control investment opportunities with the following characteristics: REVENUE Companies with revenues in excess of $10 million where there are growth opportunities. HISTORY OF STRONG CASH FLOWS Normalized EBITDA between $1-8 million (no size requirement for add-ons). SPECIAL SITUATION Businesses that are currently unprofitable, if management can show the ability to generate pro forma positive earnings in an acceptable range. LOCATION For platform investments, the company should be headquartered within 90 minutes of Grand Rapids, Michigan; however, those businesses may have international operations or other facilities across North America. In the event of an add-on to a current member company, geographic location is less important. INDUSTRY FOCUS Open to investments in industries including niche manufacturing, food & beverage, transportation, medical device, infrastructure, -value-added distribution and B2B service businesses. OPPORTUNITY Other situations that may not fit the above, but have a compelling investment thesis. Capital uses include ownership transition of founder or generational family businesses, management buyouts, corporate carve-outs, growth capital and recapitalizations. He has been directly involved in private investments since 1995 upon joining Huizenga Group. His experience includes serving as Chief Financial Officer and as an operating partner, treasurer or president for many companies in diverse industries with revenues ranging from $5 to over $200 million of revenues as well as deal sourcing, evaluation, structuring, and negotiation of final terms of transactions for platform and add-on investments. Michael spent nearly 10 years at Deloitte serving Midwest based middle market clients with audit and related attest functions. He has negotiated transactions and agreements supporting transactions in North America, Europe and Asia. Michael has served in a board capacity for National Heritage Academies, Grand Rapids Civic Theater, and the Michigan Chamber of Commerce. He earned his Bachelor's Degree in Accounting from Aquinas College in 1985 and his CPA certification in 1987. He has been directly involved in private investments since 2007, including nearly seven years with a Midwest based family office, Huizenga Group, last three years with a lower middle market investment bank, Charter Capital Partners. Jason is involved in deal sourcing, evaluation, structuring, and negotiation of final terms of transactions for platform and add-on investments. Prior to his time with Huizenga Group, he spent 10 years in corporate banking serving Midwest based middle market clients with acquisition financings and other debt financings.
