JOB DETAILS

FortisAlberta Inc. is a fully regulated electric distribution utility located in
Alberta, Canada. The Alberta Utilities Commission provides oversight and
approval of the Company’s terms and conditions of service, including the rates
charged to customers. The Company serves more than 570,000 residential, farm,
commercial and industrial customer sites in a service area spanning the central
and southern regions of the province. FortisAlberta’s reputation as a local
leader in electric distribution system planning and operations in rural areas is
built on the Company’s commitments to operational excellence, customer service
and innovation. The geographical extent and characteristics of FortisAlberta’s
service area position the Company to play a leading role in the interconnection
of alternative and renewable generation, as part of North America’s ongoing
energy transition.

FortisAlberta currently owns and operates electric distribution assets with a
value of approximately CDN$3.8 billion, generating regulated revenues of
approximately CDN$590 million, annually.

FortisAlberta Inc. is a wholly owned subsidiary of Fortis Inc. (NYSE: FTS; XTSE:
FTS), a utility holding company based in St. John’s, Newfoundland and Labrador.
The Fortis Group of Companies includes gas and electric distribution utilities
and transmission utilities situated in Canada, the United States, and the
Caribbean.

Opportunity

FortisAlberta’s Board of Directors is comprised of ten members, six of whom are
independent. The Company’s governance structure also incorporates an Audit, Risk
and Environment Committee and a Governance and Human Resources Committee.

The Company’s Board and Committees meet quarterly in Calgary, Alberta, or the
surrounding area, and occasionally at various locations throughout
FortisAlberta’s service area. The Company’s Board of Directors provides
governance oversight of the Company’s operations and offers strategic advice to
FortisAlberta’s Executive Leadership Team to support the achievement of the
Company’s financial and operational objectives. The Board of Director’s key
areas of oversight include:

 * Strategic Planning and Risk Management
 * Company Reputation
 * Human Resources and Culture
 * Financial Reporting and Controls
 * Sustainability, including Environment, Social and Governance (ESG)
 * Corporate Compliance
 * Audit, Risk and Environment Committee; and Governance and Human Resources
   Committee mandates

FortisAlberta is currently recruiting to fill two (2) director positions as part
of the Company’s normal course succession planning. FortisAlberta directors are
appointed annually and may serve for a maximum term of ten years or until the
year that they attain 72 years of age. The Company requests that prospective
candidates be prepared to commit to a full 10-year term of service, if possible,
to preserve continuity of Board membership and enable orderly succession
planning.

FortisAlberta is seeking candidates who have 7 to 10 years of senior management
or executive-level professional experience in one or more of the following
areas, as well as prior experience serving as a director of a publicly traded
entity:

 * Regulated Industries (e.g., gas and electric utilities, telecom, pipelines)
 * Financial Reporting and Financial Planning
 * ESG Policy and Planning
 * Business Development and Strategic Business Planning
 * Policy Development and Advocacy
 * Human Resources and Culture
 * Information Technology & Digital Fluency, including familiarity with
   AI/Machine Learning and Cybersecurity
 * Communications and Marketing, including Digital Media

In addition to the foregoing, the possession of a Chartered Professional
Accountant (CPA) designation will be considered a strong asset.
