<p>A traditional construction contract defines the work to be accomplished and leaves the means and methods of construction to the discretion of the contractor. It is not unusual, however, for a project owner to specify the use of
particular equipment it considers necessary to properly accomplish the task. In federal contracting, this is permissible so long as the specified equipment is “minimally sufficient,” mitigating the restraint on competition.</p>
<p> </p>
<p>The Court of Federal Claims addressed a situation in which an agency stopped specifying minimally sufficient equipment in order to increase bid competition. The agency knew the low bidder intended to use less capable equipment but
said nothing. The equipment proved insufficient for the task, and the agency terminated the contract for default. The contractor claimed the agency had breached the contract by withholding superior knowledge.</p>
<p> </p>
<p>The other case in this issue involved the designation of certain public restrooms adjacent to a job site for the exclusive use of construction personnel, which the project owner continued to maintain. A construction worker slipped
and fell in a designated restroom. A New York appeals court was asked if the designated restroom had become part of the job site over which the construction manager had control and responsibility.</p>

<p>When there is a dispute over the pricing of changed or extra work, there is a temptation for contractors or subcontractors to exert leverage where they can. Yet most contracts and subcontracts require adherence to directives and
the expeditious prosecution of the work, while reserving claim rights as necessary. How much leverage can a party actually exert?</p>
<p> </p>
<p>In a recent case, a prime contractor accused its structural steel subcontractor of “slow-walking” the shop drawing process in an effort to exert pressure in a dispute over the pricing of changed work. The sub responded that the
prime was not making full payment of its invoices. The steel work was on the front end of the project schedule’s critical path. An Illinois appeals court was asked to determine which party had breached the subcontract.</p>
<p> </p>
<p>The second case in this issue involved a price adjustment clause in a fixed-price contract. An upward adjustment would result in a contract price that exceeded the limits of the contractor’s state license. A South Carolina court
had to decide whether the contract was enforceable by the contractor.</p>

<p>The third case deals with the use of alternative dispute resolution (ADR) procedures at the federal Civilian Board of Contract Appeals. Does the board have authority to compel participation in mediation over the objection of a
party? Or is mutual consent always required for the use of ADR procedures at the board?</p>

<p>Pricing claims for lost productivity or inefficiency caused by delay or disruption to the construction schedule can be challenging. It is not simply a matter of documenting direct and indirect costs. There must be a methodology. A
flawed method can result in an unpersuasive claim—or worse.</p>

<p>A contractor on a federal project recently employed an “inefficiency ratio,” which used actual days of work as the numerator and baseline scheduled days as the denominator. The problem was that the numerator had been knowingly
overstated and the denominator knowingly understated, inflating the value of the contractor’s claim. The Court of Federal Claims called this “patently deceitful” and allowed the government to recover under the False Claims Act.</p>
<p> </p>
<p>The other case in this issue involved a sole shareholder’s diversion of corporate funds to his personal use, leaving insufficient funds to complete a construction contract. A Pennsylvania court was asked to decide whether the
individual could be held liable to the project owner for interfering with his own company’s construction contract. </p>

Volume: 20, Issue: 4 - 02/28/2022 EDITOR'S NOTES A traditional construction contract defines the work to be accomplished and leaves the means and methods of construction to the discretion of the contractor. It is not unusual, however, for a project owner to specify the use of particular equipment it considers necessary to properly accomplish the task. In federal contracting, this is permissible so long as the specified equipment is “minimally sufficient,” mitigating the restraint on competition. The Court of Federal Claims addressed a situation in which an agency stopped specifying minimally sufficient equipment in order to increase bid competition. The agency knew the low bidder intended to use less capable equipment but said nothing. The equipment proved insufficient for the task, and the agency terminated the contract for default. The contractor claimed the agency had breached the contract by withholding superior knowledge. The other case in this issue involved the designation of certain public restrooms adjacent to a job site for the exclusive use of construction personnel, which the project owner continued to maintain. A construction worker slipped and fell in a designated restroom. A New York appeals court was asked if the designated restroom had become part of the job site over which the construction manager had control and responsibility. GOVERNMENT SPECIFICATION WITHHELD SUPERIOR KNOWLEDGE OF NEEDED EQUIPMENT The government repeatedly specified equipment it considered minimally sufficient for maintenance dredging in a particular waterway. When the government switched to a performance-based specification, which was silent on the equipment issue, it withheld superior information from the contractor, affecting the price and performance of the work. CONSTRUCTION MANAGER’S CONTROL OVER AREA MADE IT PART OF JOB SITE At the direction of the project owner, a construction manager designated certain public restrooms, owned by the project owner, for the exclusive use of construction personnel. The resulting control over the area made the construction manager responsible for safety conditions in the designated restrooms, effectively becoming part of the job site. Volume: 20, Issue: 3 - 02/15/2022 EDITOR'S NOTES When there is a dispute over the pricing of changed or extra work, there is a temptation for contractors or subcontractors to exert leverage where they can. Yet most contracts and subcontracts require adherence to directives and the expeditious prosecution of the work, while reserving claim rights as necessary. How much leverage can a party actually exert? In a recent case, a prime contractor accused its structural steel subcontractor of “slow-walking” the shop drawing process in an effort to exert pressure in a dispute over the pricing of changed work. The sub responded that the prime was not making full payment of its invoices. The steel work was on the front end of the project schedule’s critical path. An Illinois appeals court was asked to determine which party had breached the subcontract. The second case in this issue involved a price adjustment clause in a fixed-price contract. An upward adjustment would result in a contract price that exceeded the limits of the contractor’s state license. A South Carolina court had to decide whether the contract was enforceable by the contractor. The third case deals with the use of alternative dispute resolution (ADR) procedures at the federal Civilian Board of Contract Appeals. Does the board have authority to compel participation in mediation over the objection of a party? Or is mutual consent always required for the use of ADR procedures at the board? SUB WITHHELD SHOP DRAWINGS WHILE NEGOTIATING CHANGE ORDER PRICING A subcontractor slowed the production of shop drawings while attempting to negotiate a price increase for changed work. This was a breach of the subcontract. The terms and conditions of the prime contract had not been incorporated into the subcontract, so a provision calling for time-and-materials compensation for disputed work did not apply. PRICE ADJUSTMENT CLAUSE CAUSED CONTRACTOR LICENSING VIOLATION A contractor licensing statute set a maximum amount of “total construction cost” the contractor could perform. Where a contract stipulated a fixed price at the licensing limit and authorized a 5% upward price adjustment, the contract was unenforceable by the contractor. ALTERNATIVE DISPUTE RESOLUTION NOT MANDATORY AT CIVILIAN BOARD The Civilian Board of Contract Appeals did not have authority to compel a federal agency to engage in mediation with a contractor. While applicable federal statutes clearly contemplate the use of alternative dispute resolution methods, the use is not mandatory and it requires the consent of both parties. Volume: 20, Issue: 2 - 01/31/2022 EDITOR'S NOTES Pricing claims for lost productivity or inefficiency caused by delay or disruption to the construction schedule can be challenging. It is not simply a matter of documenting direct and indirect costs. There must be a methodology. A flawed method can result in an unpersuasive claim—or worse. A contractor on a federal project recently employed an “inefficiency ratio,” which used actual days of work as the numerator and baseline scheduled days as the denominator. The problem was that the numerator had been knowingly overstated and the denominator knowingly understated, inflating the value of the contractor’s claim. The Court of Federal Claims called this “patently deceitful” and allowed the government to recover under the False Claims Act. The other case in this issue involved a sole shareholder’s diversion of corporate funds to his personal use, leaving insufficient funds to complete a construction contract. A Pennsylvania court was asked to decide whether the individual could be held liable to the project owner for interfering with his own company’s construction contract. MANIPULATED “INEFFICIENCY RATIO” RESULTED IN FALSE CLAIM A contractor’s “inefficiency ratio” manipulated both the numerator and the denominator to create a higher number to be applied to the contractor’s cost pool. This was a knowing and intentional overstatement of the contractor’s site condition claim, for which the contractor was liable under the False Claims Act. COMPANY OWNER LIABLE FOR INTERFERENCE WITH COMPANY CONTRACT The president and sole shareholder of a construction company was not acting in his corporate capacity when he diverted corporate funds to his personal use. The individual and the corporation were not one and the same.
