This Certificate Cloud Services Agreement is entered into as of the date of the
last signature below ("Effective Date") by and between Accredible and Customer
(each as defined below). Each Customer and Accredible may be individually
referred to as a “Party” and together referred to as the “Parties”. Accredible
shall provide the Services described herein for the Initial Term in accordance
with the terms and conditions of this Agreement.
“Accredible”: EdInvent, Inc., dba Accredible, a U.S. Delaware corporation with
its principal place of business at 800 West El Camino Real, Suite 180, Mountain

“Customer”: Professional Engineers Ontario an Ontario licensing and regulating

Agreement Terms and Details:
Additional Orders. During the term of this Agreement, Customer may add recipient
seats at the above unit price, subject to a 1000 unit order minimum. Any
additional orders will be added via an addendum signed by both Parties.
Discount. Customer is receiving a one-time discount on the Connect Plan and on
Premium White Labeling for signing on or before June 28, 2024. Customer is
receiving a one-time rollover of unused Retroactive Recipient Seats from
previous Agreement to be used within this Agreement.
Service Start Date. Services will begin on
(the "Start Date").
Agreement Length. 12 months from the Effective Date of this Agreement ("Initial
Term").
Payment Terms. All payments of fees and charges are due net thirty (30) days
from the date of invoice.
Agreement Terms. This Agreement shall include (i) this Certificate Cloud
Services Agreement, (ii) the terms and conditions attached below, and (iii) any
other attachments, exhibits, addenda, and amendments hereto (together, the
"Agreement").
