        <h1>Terms of Use for PeopleDoc’s E-Signature</h1>
        <h2>PREAMBLE:</h2>
        <p>PeopleDoc has developed a secure solution for the dematerialization of HR procedures, including the use of electronic signatures for certain documents (“Service”).</p>
        <p>You must first confirm that:</p>
        <ul>
          <li>You have read and understood the Terms of Use for PeopleDoc’s E-Signature (“Terms of Use”) ;</li>
          <li>You have obtained all necessary information prior to using the Service;</li>
          <li>You have all the necessary skills and access rights to access and use the Service in optimal conditions;</li>
          <li>You have been informed of the purpose and objectives of this document, which constitutes an agreement on evidence according to the applicable law.</li>
        </ul>
        <h2>1. Definitions</h2>
        <dl>
          <p>The terms defined below shall be understood by you to have the following meanings:</p>
          <dt>You</dt>
          <dd>any person who uses the Service and has been previously identified by an employer (“Employer”), a PeopleDoc Customer;</dd>
          <dt>Signature portal</dt>
          <dd>online space which can only be accessed by the user,someone who is asked to log in in order to electronically sign documents;</dd>
          <dt>Authentication SMS or Authentication e-mail</dt>
          <dd>SMS or e-mail containing a temporary single-use code which is sent to the userísyour mobile terminal to enable authentication;</dd>
          <dt>Third-party certifier</dt>
          <dd>provider of electronic certification services for the purposes of electronically signing digital documents;</dd>
          <dt>Evidence file</dt>
          <dd>a set of elements which can be used to show that an electronic action or exchange did indeed take place;</dd>
          <dt>Time countermark</dt>
          <dd>piece of data which links the representation of another piece of data to a particular time, expressed in UTC, thereby establishing the proof that said data existed at that particular moment.</dd>
        </dl>
        <h2>2. Enforceability</h2>
        <p>2.1. These Terms of Use can be enforced on you by virtue of your acceptance in electronic format. Usage of the Service is understood as a reiteration of your consent to the terms herein.</p>
        <p>2.2. The Terms of Use displayed online takes precedence over all earlier printed versions. PeopleDoc reserves the right to amend theseis Terms of Use in a way that it deems necessary and useful.</p>
        <p>2.3. These Terms of Use may change in accordance with: (i) the legal context; (ii) or technical developments; and/or (iii) third-party certifier related change.</p>
        <p>2.4. Usage of the Service following an update of the Terms of Use is understood as a reiteration of your consent to the terms herein.</p>
        <h2>3. Agreement on evidence</h2>
        <p>These Terms of Use constitute an agreement on evidence according to the applicable law.</p>
        <h2>4. Duration and Effective date</h2>
        <p>This Terms of Use shall take effect once you have accepted them, and shall apply throughout the duration of usage of the Service.</p>
        <h2>5. Identification</h2>
        <p>5.1. You recognize and agree that the nature of all information provided by the Employer or future Employer satisfy the requirement concerning your identification. The Employer is a PeopleDoc customer and the commercial relationship
          between the employer and PeopleDoc is governed beside this Terms of Use.</p>
        <p>5.2. The information needed to identify you shall be communicated by the Employer, who alone takes responsibility for entering the following information:</p>
        <ul>
          <li>surname and first name(s);</li>
          <li>mobile telephone number (optional);</li>
          <li>email address;</li>
        </ul>
        <p>5.3. The Employer must ensure that the information provided reflects the truth and, where necessary, must verify the exactitude of this information based on documentary evidences provided in advance by you.</p>
        <p>5.4. You recognize that the information provided by the Employer cannot be rejected, except where proof can be provided of its inadmissibility.</p>
        <h2>6. Authentication</h2>
        <p>6.1. Authentication consists in verifying your identity as an user of the Service. You recognize and agree that you could be authenticated in respect of the applicable law by clicking on the link received via email and entering the
          temporary single-use verification code received as an Authentication SMS or an Authentication e-mail. Entering the temporary single-use verification code received as an Authentication SMS or an Authentication e-mail is a way of making sure
          that you are in possession of the mobile telephone for which the corresponding number was provided by the Employer.</p>
        <p>6.2. PeopleDoc ensures the authentication for the electronically signed documents according to the applicable law if the Authentication SMS or an Authentication e-mail is activated.</p>
        <p>6.3. If the mobile telephone number provided by the Employer is not valid, you will not receive the temporary verification code and may not be able to electronically sign the documents sent to you by email unless corrective action is taken
          by the Employer.</p>
        <p>6.4. You agree to alert the Employer as soon as possible in the event that you lose their mobile or change your mobile telephone number.</p>
        <h2>7. Data integrity, Durability, and Perenniality</h2>
        <p>7.1. Data integrity refers to a characteristic of information which has not undergone any destruction, alterations or modification, whether intentional or accidental. Durability refers to the indelible reproduction of the original, which
          results in an irreversible modification of its format. Documents electronically signed by the parties are stored in conditions that guarantee their durability and perenniality.</p>
        <p>7.2. In order to satisfy the data integrity requirement, PeopleDoc stores electronically signed documents in its electronic archiving system in accordance with the applicable standards.</p>
        <p>7.3. The information relating to the signature of a document is stored within the electronically signed document itself.</p>
        <p>7.4. You recognize and agree that the storage of electronically signed documents is sufficient to satisfy the requirement of integrity, durability and perenniality.</p>
        <h2>8. Archiving</h2>
        <p>PeopleDoc stores electronically the signed documents using its archiving solution in accordance with the law requirements.</p>
        <h2>9. Timestamping</h2>
        <p>9.1. Timestamping makes it possible to certify the date and time of file creation and issuance and the receipt of information of any kind.</p>
        <p>9.2. The effect of electronically signing documents is an evidence file generated by PeopleDoc or the third-party certifier, which uses time countermarks to confirm the date and time at which a given document was signed.</p>
        <p>9.3. The evidence file generated by the third-party certifier is kept for archiving by the third-party certifier and recovered in some cases by PeopleDoc.</p>
        <p>9.4. You recognize that the evidence file generated by the third-party certifier and archived by the third party certifier and/or recovered in some cases by PeopleDoc confirms the date and time at which documents were signed, regardless of
          their legal status.</p>
        <h2>10. Traceability</h2>
        <p>10.1. PeopleDoc stores some of your connection and navigation data within the Service.</p>
        <p>10.2. You recognize and agree that the connection and navigation data stored by PeopleDoc make it possible to establish accurately all operations carried out within the Service; and agree that these data have probative force.</p>
        <p>10.3. Connection and navigation data are stored by PeopleDoc for a duration of six months, in the absence of any specific legal obligation.</p>
        <p>10.4. These data may be communicated by PeopleDoc based on a justified request sent by registered letter with notification of receipt, in the event of a dispute and based only on a decision by a competent judicial body.</p>
        <h2>11. Electronic signatures</h2>
        <p>11.1. An electronic signature involves the use of a reliable identification procedure guaranteeing the link between it and the deed with which it is associated. The electronic signature is made possible by electronic certificates that are
          provided and/or hosted by a third-party certifier.</p>
        <p>11.2. Your electronic signature is produced by the third-party certifier using an electronic certificate which it generates at the time of signing. Your electronic signature is integrated into the electronically signed document itself.</p>
        <p>11.3. You recognize and agree that the certificates used to sign documents of any kind via the Service provide a sufficient level of reliability to identify the signatory.</p>
        <p>11.4. Subject to the identification made by the employer, the Service comply with the advanced electronic signature requirements according to the European Regulation n°910/2014 of July 23, 2014 «&nbsp;eIDAS&nbsp;».</p>
        <h2>12. Data Privacy</h2>
        <p>12.1. Data collected in the context of providing the Service shall be subject to data processing intended to (i) offer a secure solution for the dematerialization of HR procedures and (ii) offer the use of electronic signatures for certain
          documents.</p>
        <p>12.2. By accepting these Terms of Use, You consent to have your personal data collected, transmitted, processed and stored for the purposes of providing this Service. You can find out more about PeopleDoc's data protection and privacy
          practices in the PeopleDoc Services Privacy Policy available at <a href="https://www.people-doc.com/legal/services-data-privacy-policy">https://www.people-doc.com/legal/services-data-privacy-policy</a></p>
        <p>12.3. Generally, You are entitled to access, change, rectify or delete any of your data. You may object to the processing of this data, by providing legitimate reasons. You may also give specific instructions on how You would like your
          rights to be exercised after your death.</p>
        <p>12.4. To exercise your rights and obtain access to your personal data, You may write directly to <a href="mailto:privacy@people-doc.com">privacy@people-doc.com</a> or to PeopleDoc SAS, 53 rue d’Hauteville, 75010 Paris or any other postal
          address which may substitute it during the applicable term of the Terms of Use.</p>
        <p>12.5. In any event, You must provide a valid proof of identity such as a copy of an identity card, a passport or a driver’s license. PeopleDoc requires this information in order to confirm that it is communicating with You and You alone.
        </p>
        <p>12.6. PeopleDoc undertakes to take any and all useful precautions in order to ensure the security of Documents and, in particular, to prevent them from being damaged, distorted or disclosed to unauthorized people. PeopleDoc subjects itself
          to regular audits and has obtained certifications (including ISO 27001) to guarantee that the design and operations of the Service comply with the strictest protection measures.</p>
        <p>12.7. PeopleDoc will, to the best of its ability, (i) comply with the following obligations and (ii) ensure compliance to the following regulations on the part of its staff: </p>
        <ul>
          <li>To not make any copies of your personal data, except as necessary for the fulfilment of these Terms of Use;</li>
          <li>To not use your personal data for any purposes other than those specified in these Terms of Use;</li>
          <li>To not disclose your personal data to any third parties whatsoever, irrespective of whether these are public or private persons, individuals or legal entities;</li>
          <li>To take any and all useful measures to avoid all fraudulent use of your personal data during the applicable term of these Terms of Use. </li>
          <li>To take any useful security measures, particularly concerning hardware security, to ensure the safekeeping and integrity of your personal data during the applicable term of these Terms of Use. </li>
        </ul>
        <p>12.8. PeopleDoc undertakes to inform You of any security breach having a direct impact on the processing of personal data. This notification shall be sent promptly upon discovery of any such security breach.</p>
        <h2>13. Trackers</h2>
        <p>13.1. When you are using the Service, information may be recorded or read on your terminal using cookies, based on the choices selected in your browser.</p>
        <p>13.2. We use web analysis services that use "cookies", text files that are saved on your computer and analyze the use of a site. Information about your use of this site (including your IP address) generated by the cookie is transferred and
          stored on a server.</p>
        <p>13.3. These services use this information to evaluate your use of the Services to compile reports on the site activities for PeopleDoc. Such services may also transfer such information to third parties, to the extent legally specified or
          to the extent that third parties process such data. These services will not connect your IP address to any other data recorded by them.</p>
        <p>13.4. By using the Services, you agree and consent to the processing of Data collected about You by these services in the manner described above, and for the purposes described above. You can counter the registration and collection of data

        <p>13.5. PeopleDoc therefore undertakes to get your prior consent, in accordance with legal provisions, before setting up any tracker which requires your prior knowledge and agreement.</p>
        <h2>14. Sub-processing</h2>
        <p>14.1. You agree that in its capacity as Data Processor, PeopleDoc is authorized to sub-process part of the Services, following the procedure and information provided here:

        <p>14.2. In this event, PeopleDoc remains obliged the execution by the sub-processor of all of the commitments described in these Terms of Use.</p>
        <h2>15. Limitation</h2>
        <p>Except in the case of provisions of public order to the contrary, there is a limitation on legal actions between the parties of two years from the time of the initial claim made by registered letter with notification of receipt.</p>
        <h2>16. Applicable law</h2>
        <p>These Terms of Use are governed by England and Wales law. This applies both to substantive and procedural rules, regardless of the place in which substantive or subsidiary obligations are executed.</p>

TERMS OF USE FOR PEOPLEDOC’S E-SIGNATURE


PREAMBLE:

PeopleDoc has developed a secure solution for the dematerialization of HR
procedures, including the use of electronic signatures for certain documents
(“Service”).

You must first confirm that:

 * You have read and understood the Terms of Use for PeopleDoc’s E-Signature
   (“Terms of Use”) ;
 * You have obtained all necessary information prior to using the Service;
 * You have all the necessary skills and access rights to access and use the
   Service in optimal conditions;
 * You have been informed of the purpose and objectives of this document, which
   constitutes an agreement on evidence according to the applicable law.


1. DEFINITIONS

The terms defined below shall be understood by you to have the following
meanings:

You any person who uses the Service and has been previously identified by an
employer (“Employer”), a PeopleDoc Customer; Signature portal online space which
can only be accessed by the user,someone who is asked to log in in order to
electronically sign documents; Authentication SMS or Authentication e-mail SMS
or e-mail containing a temporary single-use code which is sent to the userísyour
mobile terminal to enable authentication; Third-party certifier provider of
electronic certification services for the purposes of electronically signing
digital documents; Evidence file a set of elements which can be used to show
that an electronic action or exchange did indeed take place; Time countermark
piece of data which links the representation of another piece of data to a
particular time, expressed in UTC, thereby establishing the proof that said data
existed at that particular moment.


2. ENFORCEABILITY

2.1. These Terms of Use can be enforced on you by virtue of your acceptance in
electronic format. Usage of the Service is understood as a reiteration of your
consent to the terms herein.

2.2. The Terms of Use displayed online takes precedence over all earlier printed
versions. PeopleDoc reserves the right to amend theseis Terms of Use in a way
that it deems necessary and useful.

2.3. These Terms of Use may change in accordance with: (i) the legal context;
(ii) or technical developments; and/or (iii) third-party certifier related
change.

2.4. Usage of the Service following an update of the Terms of Use is understood
as a reiteration of your consent to the terms herein.


3. AGREEMENT ON EVIDENCE

These Terms of Use constitute an agreement on evidence according to the
applicable law.


4. DURATION AND EFFECTIVE DATE

This Terms of Use shall take effect once you have accepted them, and shall apply
throughout the duration of usage of the Service.


5. IDENTIFICATION

5.1. You recognize and agree that the nature of all information provided by the
Employer or future Employer satisfy the requirement concerning your
identification. The Employer is a PeopleDoc customer and the commercial
relationship between the employer and PeopleDoc is governed beside this Terms of
Use.

5.2. The information needed to identify you shall be communicated by the
Employer, who alone takes responsibility for entering the following information:

 * surname and first name(s);
 * mobile telephone number (optional);
 * email address;

5.3. The Employer must ensure that the information provided reflects the truth
and, where necessary, must verify the exactitude of this information based on
documentary evidences provided in advance by you.

5.4. You recognize that the information provided by the Employer cannot be
rejected, except where proof can be provided of its inadmissibility.


6. AUTHENTICATION

6.1. Authentication consists in verifying your identity as an user of the
Service. You recognize and agree that you could be authenticated in respect of
the applicable law by clicking on the link received via email and entering the
temporary single-use verification code received as an Authentication SMS or an
Authentication e-mail. Entering the temporary single-use verification code
received as an Authentication SMS or an Authentication e-mail is a way of making
sure that you are in possession of the mobile telephone for which the
corresponding number was provided by the Employer.

6.2. PeopleDoc ensures the authentication for the electronically signed
documents according to the applicable law if the Authentication SMS or an
Authentication e-mail is activated.

6.3. If the mobile telephone number provided by the Employer is not valid, you
will not receive the temporary verification code and may not be able to
electronically sign the documents sent to you by email unless corrective action
is taken by the Employer.

6.4. You agree to alert the Employer as soon as possible in the event that you
lose their mobile or change your mobile telephone number.


7. DATA INTEGRITY, DURABILITY, AND PERENNIALITY

7.1. Data integrity refers to a characteristic of information which has not
undergone any destruction, alterations or modification, whether intentional or
accidental. Durability refers to the indelible reproduction of the original,
which results in an irreversible modification of its format. Documents
electronically signed by the parties are stored in conditions that guarantee
their durability and perenniality.

7.2. In order to satisfy the data integrity requirement, PeopleDoc stores
electronically signed documents in its electronic archiving system in accordance
with the applicable standards.

7.3. The information relating to the signature of a document is stored within
the electronically signed document itself.

7.4. You recognize and agree that the storage of electronically signed documents
is sufficient to satisfy the requirement of integrity, durability and
perenniality.


8. ARCHIVING

PeopleDoc stores electronically the signed documents using its archiving
solution in accordance with the law requirements.


9. TIMESTAMPING

9.1. Timestamping makes it possible to certify the date and time of file
creation and issuance and the receipt of information of any kind.

9.2. The effect of electronically signing documents is an evidence file
generated by PeopleDoc or the third-party certifier, which uses time
countermarks to confirm the date and time at which a given document was signed.

9.3. The evidence file generated by the third-party certifier is kept for
archiving by the third-party certifier and recovered in some cases by PeopleDoc.

9.4. You recognize that the evidence file generated by the third-party certifier
and archived by the third party certifier and/or recovered in some cases by
PeopleDoc confirms the date and time at which documents were signed, regardless
of their legal status.


10. TRACEABILITY

10.1. PeopleDoc stores some of your connection and navigation data within the
Service.

10.2. You recognize and agree that the connection and navigation data stored by
PeopleDoc make it possible to establish accurately all operations carried out
within the Service; and agree that these data have probative force.

10.3. Connection and navigation data are stored by PeopleDoc for a duration of
six months, in the absence of any specific legal obligation.

10.4. These data may be communicated by PeopleDoc based on a justified request
sent by registered letter with notification of receipt, in the event of a
dispute and based only on a decision by a competent judicial body.


11. ELECTRONIC SIGNATURES

11.1. An electronic signature involves the use of a reliable identification
procedure guaranteeing the link between it and the deed with which it is
associated. The electronic signature is made possible by electronic certificates
that are provided and/or hosted by a third-party certifier.

11.2. Your electronic signature is produced by the third-party certifier using
an electronic certificate which it generates at the time of signing. Your
electronic signature is integrated into the electronically signed document
itself.

11.3. You recognize and agree that the certificates used to sign documents of
any kind via the Service provide a sufficient level of reliability to identify
the signatory.

11.4. Subject to the identification made by the employer, the Service comply
with the advanced electronic signature requirements according to the European
Regulation n°910/2014 of July 23, 2014 « eIDAS ».


12. DATA PRIVACY

12.1. Data collected in the context of providing the Service shall be subject to
data processing intended to (i) offer a secure solution for the
dematerialization of HR procedures and (ii) offer the use of electronic
signatures for certain documents.

12.2. By accepting these Terms of Use, You consent to have your personal data
collected, transmitted, processed and stored for the purposes of providing this
Service. You can find out more about PeopleDoc's data protection and privacy
practices in the PeopleDoc Services Privacy Policy available at
https://www.people-doc.com/legal/services-data-privacy-policy

12.3. Generally, You are entitled to access, change, rectify or delete any of
your data. You may object to the processing of this data, by providing
legitimate reasons. You may also give specific instructions on how You would
like your rights to be exercised after your death.

12.4. To exercise your rights and obtain access to your personal data, You may
write directly to privacy@people-doc.com or to PeopleDoc SAS, 53 rue
d’Hauteville, 75010 Paris or any other postal address which may substitute it
during the applicable term of the Terms of Use.

12.5. In any event, You must provide a valid proof of identity such as a copy of
an identity card, a passport or a driver’s license. PeopleDoc requires this
information in order to confirm that it is communicating with You and You alone.

12.6. PeopleDoc undertakes to take any and all useful precautions in order to
ensure the security of Documents and, in particular, to prevent them from being
damaged, distorted or disclosed to unauthorized people. PeopleDoc subjects
itself to regular audits and has obtained certifications (including ISO 27001)
to guarantee that the design and operations of the Service comply with the
strictest protection measures.

12.7. PeopleDoc will, to the best of its ability, (i) comply with the following
obligations and (ii) ensure compliance to the following regulations on the part
of its staff:

 * To not make any copies of your personal data, except as necessary for the
   fulfilment of these Terms of Use;
 * To not use your personal data for any purposes other than those specified in
   these Terms of Use;
 * To not disclose your personal data to any third parties whatsoever,
   irrespective of whether these are public or private persons, individuals or
   legal entities;
 * To take any and all useful measures to avoid all fraudulent use of your
   personal data during the applicable term of these Terms of Use.
 * To take any useful security measures, particularly concerning hardware
   security, to ensure the safekeeping and integrity of your personal data
   during the applicable term of these Terms of Use.

12.8. PeopleDoc undertakes to inform You of any security breach having a direct
impact on the processing of personal data. This notification shall be sent
promptly upon discovery of any such security breach.


13. TRACKERS

13.1. When you are using the Service, information may be recorded or read on
your terminal using cookies, based on the choices selected in your browser.

13.2. We use web analysis services that use "cookies", text files that are saved
on your computer and analyze the use of a site. Information about your use of
this site (including your IP address) generated by the cookie is transferred and
stored on a server.

13.3. These services use this information to evaluate your use of the Services
to compile reports on the site activities for PeopleDoc. Such services may also
transfer such information to third parties, to the extent legally specified or
to the extent that third parties process such data. These services will not
connect your IP address to any other data recorded by them.

13.4. By using the Services, you agree and consent to the processing of Data
collected about You by these services in the manner described above, and for the
purposes described above. You can counter the registration and collection of

13.5. PeopleDoc therefore undertakes to get your prior consent, in accordance
with legal provisions, before setting up any tracker which requires your prior
knowledge and agreement.


14. SUB-PROCESSING

14.1. You agree that in its capacity as Data Processor, PeopleDoc is authorized
to sub-process part of the Services, following the procedure and information
provided here: https://www.people-doc.com/legal/sub-processors

14.2. In this event, PeopleDoc remains obliged the execution by the
sub-processor of all of the commitments described in these Terms of Use.


15. LIMITATION

Except in the case of provisions of public order to the contrary, there is a
limitation on legal actions between the parties of two years from the time of
the initial claim made by registered letter with notification of receipt.


16. APPLICABLE LAW

These Terms of Use are governed by England and Wales law. This applies both to
substantive and procedural rules, regardless of the place in which substantive
or subsidiary obligations are executed.
