TERMS OF USE

Before using any RSA Conference LLC (“RSAC”) website (“Website”), please read
these Terms of Use (“Terms”) carefully as they govern your access to and use of
the Website. THE WEBSITE IS AVAILABLE FOR YOUR ACCESS AND USE ONLY ON THE
CONDITION THAT YOU AGREE TO THE TERMS SET FORTH BELOW AS THESE TERMS ARE A LEGAL
AGREEMENT BETWEEN YOU AND RSAC. IF YOU DO NOT AGREE TO ALL THE TERMS, DO NOT
ACCESS OR USE THE WEBSITE. The Website is only for persons over the age of legal
majority who can form legally binding agreements under applicable law. If you do
not meet this qualification, you are not permitted to access or use the Website.

MODIFICATION

RSAC reserves the right to revise these Terms at any time, in its sole
discretion, without notice to you, by updating these Terms. You should revisit
this page from time to time to determine what terms govern your use of the
Website. If you continue to use the Website after any revisions are made, you
have accepted those changes. You agree that you do not have any rights in or to
the Website and that RSAC has no liability to you if the Website is discontinued
in whole or in part, or your ability to access the Website is terminated, or any
content posted on the Website is deleted.

INTELLECTUAL PROPERTY AND USE RESTRICTIONS

All intellectual property rights associated with the Website, including
trademarks and copyright, are the sole property of RSAC or other third parties
that licensed their material to RSAC, and such rights are protected by U.S. and
international copyright law and convention. Subject to these Terms, RSAC grants
you a limited, revocable, nonexclusive right to access and use the Website and
the materials and information on the Website (“RSAC Content”) for personal,
noncommercial use only, and you agree not to alter, copy, disseminate,
redistribute, or republish any RSAC Content without the prior written consent of
RSAC. This right shall terminate automatically if you breach any part of these
Terms. Upon termination, you must immediately destroy any RSAC Content in your
possession or control.

Unauthorized use of RSAC Content may violate copyright, trademark, privacy,
communications, or other laws. You are responsible to RSAC for your unauthorized
use of RSAC Content. Other than as stated above, you must not:

 * Use the Website or RSAC Content for any purpose or in any manner that is
   unlawful or prohibited by these Terms;
 * Use the Website to solicit any activity that is illegal or may infringe upon
   the rights of others;
 * “Mirror” or “frame” any RSAC Content on any other device without RSAC’s
   written permission;
 * Use the RSAC Content to benchmark any RSAC Content against any other person’s
   or entity’s products, services, or information; or
 * Use the RSAC Conference logo or any other RSAC trademark as a “hot” link to
   any part of the Website without RSAC’s prior written consent.

If you believe that your work has been copied in any way without your

use of the Website and is part of these Terms. Please review the Privacy
Statement and related information about your privacy and RSAC’s use of your
information. You acknowledge and agree that you are responsible for:

 * Protecting any account and password information applicable to your use of the
   Website;
 * Restricting the use and access to your computer, smartphone, or other device
   used to access the Website; and
 * Any activity that occurs under your account due to your failure to protect
   such information.

COMMUNICATIONS

When you use the Website, you may communicate with RSAC or its subcontractors.
You agree to receive electronic communications related to your use of the
Website. RSAC may communicate with you by email or by posting notices on the
Website, and unless otherwise indicated, notices are effective on the date that
RSAC emails or posts them. You agree that all such communications meet any legal
rule that require communications be in writing.

RSAC Content may be subject to U.S. export control and economic sanctions laws
and regulations and may also be subject to the export laws of the country where
you reside.

The Website may contain links to third-party websites and resources. These links
are provided solely as a convenience to you, and not as an endorsement by RSAC
of the content provided. RSAC is not responsible for the availability of the
links or content of the sites. If you decide to click on a link, you do so at
your own risk. Your access and use of any linked site is subject to the policies
and terms and conditions of that site. RSAC HAS NO CONTROL OVER THE THIRD-PARTY
SITES AND ACCEPTS NO RESPONSIBILITY FOR THEM AND DISCLAIMS ANY AND ALL LIABILITY

You agree to take full responsibility for your use of the Website. RSAC provides
the Website and all RSAC Content on an “as is” and “as available” basis.
Specifically, RSAC:

 * Makes no representations or warranties of any kind;
 * Disclaims all warranties, including warranties of merchantability, fitness,
   accuracy, non-infringement, or operation; and
 * Does not guarantee that the Website and RSAC Content will be free of errors
   or defects.

LIMITATION OF LIABILITY

Except where prohibited by law, RSAC is not liable for any incidental, indirect,
direct, special, exemplary, punitive, or consequential damages, under any legal
theories (including negligence), even if RSAC knew of the possibility of such
damages. RSAC is not liable for loss of data or profits arising from your use of
or inability to use the Website or the RSAC Content. 

INDEMNIFICATION

You agree to indemnify, defend, and hold RSAC and its agents, employees, and
licensors harmless from and against every third-party claim and expense,
including reasonable attorneys’ fees and costs, related in any way to your use
of the Website or your violation of these Terms.

MISCELLANEOUS

 * These Terms do not create any legal relationship between you and RSAC.
 * RSAC’s failure to enforce a right does not mean that RSAC has waived that
   right.
 * If a court or other tribunal finds any provision of these Terms
   unenforceable, RSAC will change that provision only to the extent necessary
   to make it enforceable. Other Terms will remain in full force and effect.
 * Any interpretation of these Terms will look at fair meaning, and ambiguities
   must not be construed for or against any party.
 * RSAC may assign its rights under these Terms, but you may not do so.
 * These Terms, together with any other terms that you agree to when using the
   Website, comprise the entire agreement between RSAC and you about your use of
   the Website.
 * These Terms supersede any prior agreements with RSAC about using the Website
   and its content.

GOVERNING LAW; DISPUTE RESOLUTION

You agree that the laws of the state of New York will govern any claim or
dispute relating to these Terms, the Website, RSAC Content, your access to and
use of the Website, or any combination of these items (the “Dispute”), without
regard to conflicts of laws principles. Before you or RSAC file any lawsuit
regarding a Dispute, the parties will attempt to resolve the Dispute through
negotiation or mediation, which shall be confidential. If the parties are unable
to resolve the Dispute within thirty (30) days, the parties will be free to
pursue all remedies available at law or equity. Notwithstanding the foregoing,
each party has the right to seek a temporary restraining order, preliminary
injunction, or other equitable relief from a court of competent jurisdiction to
preserve the status quo, prevent irreparable harm, or avoid the expiration of
any applicable limitation periods.

ACCEPTABLE USE POLICY

Please read this acceptable use policy (“AUP”) before using the RSA Conference
LLC (“RSAC”) websites as the AUP governs your use of the websites. The goal of
the AUP is to foster responsible use of RSAC’s websites by our customers and
others (“Users”). By using the RSAC websites, Users consent to be bound by the
terms of this AUP. RSAC reserves the right to modify this AUP in its discretion
at any time. Modifications will be effective when posted and Users are expected
to check this page from time to time to take notice of any changes RSAC makes,
as they are legally binding on each User. Use of the RSAC websites after
modifications are made constitutes acceptance of the modifications. RSAC
WEBSITES ARE ONLY FOR PERSONS OVER THE AGE OF LEGAL MAJORITY WHO CAN FORM
LEGALLY BINDING AGREEMENTS UNDER APPLICABLE LAW. IF USER DOES NOT MEET THIS
QUALIFICATION, USER IS NOT PERMITTED TO ACCESS OR USE THE RSAC WEBSITES.

SUSPENSION; TERMINATION

If RSAC determines that any User has violated any portion of this AUP, RSAC may
terminate the User’s use of the websites. RSAC will suspend service for
violation of the AUP on the most limited basis as RSAC determines is reasonably
practical under the circumstances to address the underlying violation. RSAC will
attempt to notify User prior to suspending service for violation of the AUP
(which may be via email or any other notification). However, RSAC may suspend
service without notice if RSAC becomes aware of a violation of this AUP or any
applicable law or regulation that exposes RSAC to criminal or civil liability,
or that exposes RSAC or any third party to harm. Harm may include, but is not
limited to, risk of having one or more IP addresses placed on blacklists. RSAC
may take any further action as RSAC deems appropriate under the circumstances to
eliminate or preclude repeat violations. RSAC is not liable for any type of
damages that Users or third parties may suffer resulting in whole or in part
from RSAC's exercise of its rights under this AUP. This exclusion of liability
does not include RSAC's direct liability for death or personal injury caused by
RSAC’s negligence, or any liability that RSAC cannot exclude or limit by law.

PROHIBITED CONDUCT

In General

Users may only use the RSAC websites for their intended purpose. Users must not
use the RSAC websites for any unlawful purposes.

Inappropriate Content

Users must not use the RSAC websites to transmit, distribute, or store content:
(a) in violation of any applicable law or regulation, including export or
encryption laws or regulations; (b) that may adversely affect the RSAC websites
or other RSAC Users; or (c) that may expose RSAC to criminal or civil liability.

Users must not use the RSAC websites to transmit, distribute, or store material
that is inappropriate, as reasonably determined by RSAC, or material that is
obscene (including child pornography), defamatory, libelous, threatening,
abusive, hateful, racially or ethnically offensive, harassing, humiliating to
other people (publicly or otherwise), or otherwise objectionable. To be
absolutely clear, Users must not store (either permanently or temporarily),
process, or transmit through any of the RSAC websites, pornographic content of
any kind.

Intellectual Property Rights

Material accessible through or contained within the RSAC websites may be subject
to protection under privacy, data protection, or confidentiality laws and may
contain intellectual property rights owned by RSAC or third parties. The
intellectual property may include, but is not limited to, copyright, patents,
trademarks, trade names, trade secrets or other proprietary information. Users
must not use the RSAC websites in any manner that would infringe, dilute,
misappropriate, breach, or otherwise violate any of these rights or laws. Users
are responsible for ensuring that they have all necessary rights and licenses
for all content that they place on the RSAC websites. Users must fully indemnify
RSAC with respect to any claims by third parties brought against RSAC based on
an allegation that User failed to comply with its obligations under this AUP.

Malicious Content and Conduct

Users must not use the RSAC websites to transmit, distribute, or store material
or conduct activities that may contain malicious content, be harmful to or
interfere with the RSAC websites or any third party's networks, systems,
services, or websites, including, but not limited to, flooding, mail bombing, or
denial of service attacks. Malicious content includes, but is not limited to,
viruses, worms, and Trojan horses. Users are prohibited from violating or
attempting to violate the security of the RSAC websites or the computers,
accounts, or networks of another party. Users are also prohibited from any
activity considered a precursor to attempted security violations, including, but
not limited to, any form of scanning, probing, or other testing or
information-gathering activity. Inappropriate activity may result in civil or
criminal liability. RSAC has the right to investigate such activity, and may
involve and cooperate with law enforcement authorities in prosecuting Users
involved in such activity.

Fraudulent and Misleading Content

Users must not use the RSAC websites to transmit or distribute material
containing fraudulent offers for goods or services, or any advertising, or
promotional, or other materials that contain false, deceptive, or misleading
statements, claims, or representations, or which does not comply with any
applicable advertising laws or standard business practice. Users must not use
the RSAC websites to mask their true identity or to pretend to be someone or
something that they are not.

Collecting Personal Information

Users must not use the RSAC websites to collect, process, or store, or attempt
to collect, process, or store, personal data relating to any third parties in
violation of applicable law. If Users collect third party personal data, then
Users must comply at all times with applicable data protection laws and
regulations.

Email and Unsolicited Messages

Users must not use the RSAC websites to transmit unsolicited e-mail messages,
including, without limitation, unsolicited bulk email ("spam"), or emails
intended to harass or annoy others. Further, Users must not use the service of
another provider to send spam to promote a website hosted on or connected to the
RSAC websites.

Responsibility for Content

RSAC has no responsibility for any User-provided content or content that User
may access on or through the RSAC websites. RSAC is not obligated to monitor or
exercise editorial control over that content. If RSAC becomes aware that any
content may violate this AUP, expose RSAC to civil or criminal liability, or
both, then RSAC may block access to that content and suspend or terminate access
of the RSAC websites to any User creating, storing, or disseminating such
material. RSAC has the right to cooperate with legal authorities and third
parties in any investigation of alleged wrongdoing.



REPORTING VIOLATIONS

RSAC requests that any person who becomes aware of a violation of this AUP
reports this information to RSAC by email to privacy@rsaconference.com. RSAC may
take any appropriate action as it reasonably deems appropriate in its sole
discretion in respect of such violations.

Notification of Copyright Infringement Concerns

If any User believes that its copyrighted work has been copied and is accessible
on the RSAC websites in a way that constitutes copyright infringement, please
send a notice to:

Notices must include each of the following:

 1. The electronic or physical signature of the owner of the exclusive right
    that is allegedly infringed, or the electronic or physical signature of
    someone authorized to act on the owner’s behalf;
 2. Identification of the copyrighted work claimed to have been infringed, or,
    if multiple copyrighted works at a single online site are covered by a
    single notification, a representative list of such works at that site;
 3.  Identification of the material, claimed to be infringing or to be the
    subject of infringing activity, for which disabling of access or removal is
    sought, and information reasonably sufficient to permit RSAC to locate the
    material;
 4. If the infringement claimed is by reason of intermediate and temporary
    storage, or caching, of material, include also a statement confirming that
    the infringing material has been removed from the originating site or access
    to it has been disabled or that a court has ordered that the material be so
    removed or that access to such material be disabled;
 5. If the infringement claimed is by reason of referring or linking Users to an
    online location containing infringing material or infringing activity, by
    using information location tools, then, instead of the identification under
    paragraphs (3) or (4), provide identification of the reference or link, to
    the claimed material or activity, that is to be removed or access to which
    is to be disabled, and information reasonably sufficient to permit RSAC to
    locate that reference or link;
 6. Information reasonably sufficient to permit RSAC to contact you, such as an
    address, telephone number, and, if available, an electronic mail address at
    which you may be contacted;
 7. A statement that you have a good faith belief that use of the material in
    the manner complained of is not authorized by the copyright owner, its
    agent, or the law; and,
 8. A statement that the information in the notification is accurate, and under
    penalty of perjury, that you are authorized to act on behalf of the owner of
    an exclusive right that is allegedly infringed.
