Woodbridge Capital (Woodbridge) is a leading Australian and New Zealand
Investment Manager and alternative (non-bank) lender specialising in finance
across Commercial Real Estate (CRE), Build to Rent (BTR) and Agriculture – with
an ESG integrated investment process and philosophy.

Woodbridge is led by Managing Director and Chief Investment Officer, Andrew
Torrington and brings a team of property professionals together with a 30-year
track record in property finance and lending, real estate investment,
development and construction. Team members have been involved in the deployment
and management of over $5 billion of loans in Australia and New Zealand over the
past 10 years with zero loan impairments.

The Woodbridge Private Credit Fund (the Fund) is an Australian open-ended,
unregistered, unit trust. The Fund provides wholesale investors with direct and
indirect exposure to secured Australian and New Zealand real estate loans across
CRE, BTR and Agriculture – with an ESG integrated investment process and
philosophy. All loans in the portfolio have a valuation prepared by an
independent, qualified and registered valuer.

WHY INVEST

STABLE MONTHLY INCOME WITH LOW CAPITAL VOLATILITY

As the terms of loans are agreed up front, the Fund is expected to pay a
predictable and stable monthly income to investors with low capital volatility.

PROTECTION AGAINST INFLATION

Because the loan rates the Fund charges are typically linked to the bank bill
swap rate, rising interest rates will cause investor returns to increase,
providing a hedge against inflation.

EXPERIENCED TEAM

Team members have been involved in the deployment and management of over $5
billion of loans in Australia and New Zealand over the past 10 years with zero
loan impairments.

NO EXPOSURE TO HIGH-RISK LOANS

The Fund does not provide exposure to high-risk loans such as mezzanine finance,
second mortgage or preferred equity. It also does not include agriculture loans
backed by commodities such as water, livestock, timber or cropping.

A GROWING OPPORTUNITY

The Australian and New Zealand private credit market is worth an estimated $500
billion of which banks currently have a 90% market share. Market dynamics and
regulatory changes have seen Australian and New Zealand banks materially reduce
their exposure to real estate financing, creating an opportunity in the lending
market. This opportunity stems from a lack of competition, resulting in
increased returns for the provision of senior debt while risk remains manageable
due to the strong structural demand for property and moderate loan leverage.
