BRITE™ TERMS OF USE



1. ACCEPTANCE OF TERMS OF USE

These Terms of Use, which include our Privacy Policy and End User License
Agreement ("EULA") govern your use of our services, including all features and
functionalities, and all content and software associated therewith (the
"Service"). By using, visiting, or browsing the BRITE website ("BRITE"), you
accept and agree to be bound by these Terms of Use. If you do not agree to these
Terms of Use, you should not use the services provided through BRITE, including
our website and user interfaces.



These Terms of Use govern your use of the Service and you should read them
carefully. The Service is provided by Angus Performance Advisors, LLC d/b/a
Angus Analytics ("APA").



2. CHANGES TO TERMS OF USE

APA reserves the right, from time to time, with or without notice to you, to
change these Terms of Use, including the Privacy Policy and EULA, in our sole
and absolute discretion. The most current version of these Terms of Use can be
reviewed by visiting our website and clicking on "Terms of Use" located at the
bottom of the pages of BRITE. The most current version of the Terms of Use will
supersede all previous versions.





3. TERM OF AGREEMENT

The term of this Agreement shall be as set forth in your BRITE Service Agreement
or, in the event no such BRITE Service Agreement between your company and APA
exists, month to month. Notwithstanding any other provision of this Term of Use,
we reserve the right to terminate or restrict your use of our service, without
notice, for any violation of these Terms of Use or your BRITE Service Agreement.





4. BILLING

The provisions of this section 4 apply only to BRITE users who have not entered
into a BRITE Service Agreement separately setting forth billing terms. By
enrolling and commencing to use the Services, you are expressly agreeing that we
are authorized to charge you an annual fee at the then current rate, and any
other charges you may incur in connection with your use of the Service to the
Payment Method you provided during registration (or to a different Payment
Method if you change your account information). Please note that prices and
charges are subject to change without notice. As used in these Terms of Use,
"billing" shall indicate either a charge or debit, as applicable, against your
Payment Method. The fee will be billed upon electronic agreement to this Terms
of Use and each term thereafter unless and until you cancel in accordance with
this Terms of Use. We automatically bill your Payment Method each term on the
calendar day corresponding to the commencement of your enrollment, for the term
following.. For certain Payment Methods, the issuer of your Payment Method may
charge you a foreign transaction fee or related charges. Check with your bank
and credit card issuers for details. WE DO NOT PROVIDE REFUNDS OR CREDITS FOR
ANY PARTIAL-TERM.





5. HOW OUR SERVICE WORKS

BRITE is an online subscription service providing analytical reports based upon
data supplied by you and other customers to the service. In order to collect the
data from you, APA will supply you with an interface box which will be connected
to your network and will cull data from various databases and other applications
connected or resident on your computer network. In order to utilize the Service,
you must have a computer with a high-speed internet connection and a web-browser
which supports the BRITE user interface.



We reserve the right in our sole and absolute discretion to make changes from
time to time and without notice regarding how we operate our service. Any
description of how our service works should not be considered a representation
or obligation with respect to how the service will always work. We are
constantly making adjustments to our service and often these adjustments are not
completely captured within these Terms of Use.

BRITE' software is developed by, or for, APA and is designed to enable review of
content from BRITE. This software may vary by computer and software application,
and functionalities may also differ between computers and software. This
software is licensed to you by APA pursuant to these Terms of Use and the terms
of EULA and solely for the purpose of using the Service and for no other purpose
whatsoever. WE DO NOT WARRANT THE PERFORMANCE OF THIS SOFTWARE, INCLUDING ITS
CONTINUING COMPATIBILITY WITH OUR SERVICE. Please refer to the Disclaimers of
Warranties and Limitations of Liability set forth in these Terms of Use. You may
not copy or reproduce the software nor may you decompile, reverse engineer,
disassemble, modify or creative derivative works of any of the software, or any
portion thereof. Any unauthorized use of the software is strictly prohibited and
APA reserves the right to not provide or discontinue the software (including
updates) to you at any time and to discontinue the ability to access the Service
through such software at any time, without prior or any notice.

END USER LICENSE AGREEMENT: BY USING OUR SERVICE, YOU ACKNOWLEDGE AND AGREE (1)
TO THE BRITE SOFTWARE END USER LICENSE AGREEMENT FOUND HERE AS SUCH MAY BE
AMENDED OR ADDED TO FROM TIME TO TIME AND (2) TO RECEIVE, WITHOUT FURTHER NOTICE
OR PROMPTING, UPDATED VERSIONS OF THE BRITE SOFTWARE AND RELATED THIRD-PARTY
SOFTWARE. IF YOU DO NOT ACCEPT THE FOREGOING TERMS, DO NOT USE OUR SERVICE.

We do not warrant that any of the software used and or licensed in connection
with our Service will be compatible with other third party software nor do we
warrant that operation of our Service and the associated software will not
damage or disrupt other software or hardware. Please refer to the Disclaimers of
Warranties and Limitations of Liability set forth in these Terms of Use.



6. IP ADDRESS AUTHORIZATION

By enrolling in the Service you hereby authorize APA to secure your IP address
from your current back office accounting system vendor or any other vendor, and
you authorize your back end accounting system vendor or any other vendor, to
release such information to APA, to allow the interface device to access data on
your network and to transmit the data in accordance with the Privacy Policy to
the Service.





7. PASSWORDS

The Account Administrator has access and control over the internal security of
the Service account. The Account Administrator's control is exercised through
use of the Account Administrator's password and therefore to maintain exclusive
control, the Account Administrator should not reveal the password to anyone. In
addition, if the Account Administrator wishes to prohibit others from contacting
customer service and potentially altering the Account Administrator's control.
The Account Administrator may add additional users to the subscription, for
access to the Service, but the Account Administrator will be responsible for all
access on the Account.



BY SHARING ACCOUNT ACCESS, THE ACCOUNT ADMINISTRATOR AGREES TO BE RESPONSIBLE
FOR ASSURING THAT ANYONE ACCESSING THE SERVICE COMPLIES WITH THE TERMS OF USE
AND SUCH ACCOUNT ADMINISTRATOR SHALL BE RESPONSIBLE FOR THE ACTIONS OF THAT
PERSON.



8. DISCLAIMERS OF WARRANTIES AND LIMITATIONS ON LIABILITY

THE SERVICE, INCLUDING BRITE AND USER INTERFACES, AND ALL CONTENT AND SOFTWARE
ASSOCIATED THEREWITH, OR ANY OTHER FEATURES OR FUNCTIONALITIES ASSOCIATED WITH
THE SERVICE, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT
WARRANTY OF ANY KIND. WE AND OUR LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES
OF ANY KIND WITH RESPECT TO THE SERVICE, BRITE AND USER INTERFACES, AND ALL
CONTENT AND SOFTWARE ASSOCIATED THEREWITH. APA DOES NOT GUARANTEE, REPRESENT, OR
WARRANT THAT YOUR USE OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, AND
YOU AGREE THAT APA MAY ELIMINATE OR OTHERWISE MODIFY ANY OR ALL ASPECTS OF THE
SERVICE, INCLUDING FEATURES, WITHOUT COMPENSATION OR NOTICE TO YOU. APA
SPECIFICALLY DISCLAIMS LIABILITY FOR THE USE OF APPLICATIONS, THE SERVICE AND
SOFTWARE (INCLUDING THEIR CONTINUING COMPATIBILITY WITH OUR SERVICE). Without
limiting the foregoing, we and our licensors assume no liability or
responsibility for any of the following: (i) errors or omissions in the content
delivered by the Service or on BRITE or user interfaces; (ii) recommendations or
advice of customer service; (iii) any failure or interruption in the
availability of the Service and/or website or user interfaces, (iv) delivery and
or display of any content contained on BRITE, user interfaces, or otherwise
through the Service; and (vii) any losses or damages arising from the use of the
content provided on BRITE, user interfaces, or otherwise through the Service
itself, including any losses or damages arising from downloading of related
software, downloading and/or use of any other software.. TO THE EXTENT ALLOWABLE
BY LAW, WE AND OUR LICENSORS DISCLAIM ALL REPRESENTATIONS AND WARRANTIES,
INCLUDING, FOR EXAMPLE, WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. In addition, we do not
represent or warrant that the information accessible via our site is accurate,
complete or current. We do not represent or guarantee that your use of the
Service will be free from interruption, loss, corruption, attack, viruses,
interference, hacking, or other security intrusion and we disclaim any liability

DIRECTORS, OFFICERS, EMPLOYEES OR LICENSORS BE LIABLE (JOINTLY OR SEVERALLY) TO
YOU FOR PERSONAL INJURY OR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL
DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA
OR PROFITS, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSS,
WHETHER OR NOT ADVISED OF THE POSSIBILITY OF DAMAGE, AND ON ANY THEORY OF
LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE
SERVICE, BRITE AND USER INTERFACES, AND ALL CONTENTS AND SOFTWARE ASSOCIATED
THEREWITH, OR OTHERWISE RELATED TO THE SERVICE, INCLUDING ANY OPTICAL MEDIA
DISCS, FEATURES OR FUNCTIONALITIES ASSOCIATED THEREWITH. IN NO EVENT SHALL OUR
TOTAL LIABILITY TO YOU FOR ALL DAMAGES FOR LOSSES ARISING FROM THE USE OR
INABILITY TO USE THE SERVICE, INCLUDING OUR WEBSITE AND USER INTERFACES, AND ALL
CONTENT AND SOFTWARE ASSOCIATED THEREWITH (OTHER THAN AS MAY BE REQUIRED BY
APPLICABLE LAW IN CASES INVOLVING PERSONAL INJURY) EXCEED THE AMOUNT OF ONE
MONTH'S FEE. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED
REMEDY FAILS OF ITS ESSENTIAL PURPOSE. IF ANY APPLICABLE AUTHORITY HOLDS ANY
PORTION OF THIS SECTION OR OTHER SECTIONS OF THESE TERMS OF USE, INCLUDING ANY
PORTION OF THE PRIVACY POLICY OR THE EULA, TO BE UNENFORCEABLE, THEN THOSE
PORTIONS DEEMED UNENFORCEABLE SHALL BE SEVERED AND THE TERMS OF USE SHALL BE
ENFORCED ABSENT THOSE PROVISIONS AND ANY LIABILITY WILL BE LIMITED TO THE
FULLEST POSSIBLE EXTENT PERMITTED BY APPLICABLE LAW.



9. COPYRIGHT

The Service, including all content included on BRITE and user interfaces, or
delivered as part of the service, including data compilations, and software, are
the property of APA or its licensors and are protected by United States and
international copyright, trade secret or other intellectual property laws and
treaties. The compilation of all content and any software or other materials
provided by BRITE and user interfaces, or in connection with the Service are the
exclusive property of APA and its licensors and are protected by the copyright
and trade secret laws in the territories in which the Service operates and by
international treaty provisions. Content shall not be reproduced or used without
express written permission from APA or its licensors. You agree not to
decompile, reverse engineer or disassemble any software or other products or
processes accessible through the Service, not to insert any code or product or
manipulate the content of the Service in any way, and not to use any data
mining, data gathering or extraction method. APA reserves the right to terminate
your service hereunder if APA, in its sole and absolute discretion, believes
that you are in violation of Service software restrictions, restrictions against
copying or other unauthorized copying or use of our proprietary content in
violation of the copyrights of APA and its licensors. The use of the Service is
solely for your use and may not be shared with any person or entity not employed
or otherwise formally affiliated with you.





10. BRITE SERVICE DEVICE

APA shall provide you with a device ("BRITE Service Device") which shall connect
to your computer network for the purpose of obtaining data in accordance with
the terms of this Term of Use, the Privacy Policy and End User License
Agreement. This BRITE Service Device shall at all times remain the property of
APA and you shall have no right, title and/or claim to the BRITE Service Device.
In the event that APA or you terminate your BRITE Service then you shall return
the device, in working condition, and with no alterations, to APA, postage
pre-paid within thirty (30) days of the last date of service to 10 Canal Street,
Suite 219, Bristol, PA 19007. You shall be responsible for all costs of return
and shall bear any loss until such device is received by APA. In the event that
the device is not received by APA within thirty (30) days of the date of
termination of the Service than you expressly authorize APA to charge your
Payment Method for Five Hundred ($500.00) Dollars.





11. PAYMENT DISPUTES

The provisions of this section 11 apply only to BRITE users who have not entered
into a BRITE Service Agreement separately setting forth payment dispute
resolution. In the event that request for payment under the terms of this Term
of Use or any other terms of agreement between you and APA are rejected or
remain unpaid by your Payment Method, you agree that APA may file a lawsuit
against you in any state or federal court located in the Commonwealth of
Pennsylvania to recover any and all fees and other costs due APA under this Term
of Use or any other agreement between you and APA and that APA may recover in
this matter any and all costs including attorney's fees and costs of collection.
You agree that service of process by mail according to the Rules of Court for
the Commonwealth of Pennsylvania shall be valid and binding service upon you for
the purpose of filing an action to collect any monies due APA.





12. GOVERNING LAW

These Terms of Use shall be governed by and construed in accordance with the
laws of the Commonwealth of Pennsylvania without regard to conflict of law's
provisions. If any provision or provisions of these terms shall be held to be
invalid, illegal, unenforceable or in conflict with the law of any jurisdiction,
the validity, legality and enforceability of the remaining provisions shall not
in any way be affected or impaired thereby, and shall remain in full force and
effect. You agree to the exclusive jurisdiction of the Court of the Commonwealth
of Pennsylvania located in Bucks County, Pennsylvania for any dispute between
you and APA. You agree that any dispute arising under this Term of Use or any
other document between you and APA must be brought exclusively in the Court of
Common Pleas of Bucks County located in Doylestown, Buck County in the
Commonwealth of Pennsylvania and you agree to the sole and exclusive
jurisdiction of this Court.





13. CLASS ACTION LIMITATION

YOU AND APA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS
INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED
CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and APA agree
otherwise, the Court may not consolidate more than one person's or entity's
claims with your claims, and may not otherwise preside over any form of a
representative or class proceeding.





PRIVACY POLICY



This Privacy Policy explains our policy regarding the collection, use,
disclosure and transfer of your information by the Angus Performance Advisors,
LLC's Family of Companies (such Family of Companies shall specifically include
Angus Partners, LLC d/b/a Angus Energy) (collectively "APA") , through BRITE
Services. As we update and expand our services, this policy may change, so
please refer back to it periodically. By accessing our website or otherwise
using our service, you consent to our information practices.



1. COLLECTION AND USE OF INFORMATION

We receive and store information, including personal information, about you and
your customers. This information is gathered in a number of ways, including when
you enter it on our website and from interactions by you with our service
including devises supplied by us and connected to your computer network.
Personal information is information that can be used to uniquely identify your
customer. Non-personal information is information that does not permit direct
association with your customer. We may collect, use, transfer and disclose
non-personal information for any purpose. You can choose not to provide personal
information we may request of you, but, in general, most of the personal

information is reasonably necessary to (a) satisfy any applicable law,
regulation, legal process, or enforceable governmental request, (b) enforce
applicable terms of use, including investigation of potential violations
thereof, (c) detect, prevent, or otherwise address illegal or suspected illegal
activities, security or technical issues, or (d) protect against harm to the
rights, property or safety of APA, its users or the public as required or
permitted by law. In connection with any reorganization, restructuring, merger
or sale, or other transferring of assets we reserve the right to transfer
information, including personal information, provided that the receiving party
agrees to respect your personal information in a manner that is consistent with
our privacy policy.





3. COOKIES AND OTHER TECHNOLOGIES

To Enhance our Service: As you interact with our service, we and our service
providers may place cookies on your system. Cookies are small pieces of data
that are sent to your browser from a web server and stored on your system for
record keeping purposes. In general, cookies can make the Internet more useful

send to us through the registration and sign up process. Unfortunately, no

guarantee the security of your information and cannot assume liability for

interfaces, or providing information to us through any means, you agree that we
can communicate with you electronically regarding security, privacy, and
administrative issues relating to your use of the BRITE Service.

that your assent to the Terms of Use and Privacy Policy subsequent to any
changes made following your initial consent as well as, your use of the BRITE
website or continued use of our Service after our posting of changes to this
policy, means that you agree to be bound by such changes. The most current
version of this Privacy Policy can be reviewed by clicking on "Privacy Policy"
located at the bottom of the pages of the BRITE website. The most current
version of the Privacy Policy will supersede all previous versions.





6. TRANSFER OF INFORMATION AND INTERNATIONAL USERS

Given that the Internet is a global environment, using the Internet to collect
and process information necessarily involves the transmission of data on an
international basis. Therefore, by using the BRITE Service, you acknowledge and
consent to the transfer of your information outside your country of residence to
any country (including the United States) where we have facilities or engage
third parties (including but not limited to payment processors, cloud service or
other IT providers, and other companies that provide services to us). You
understand that the countries to which we may transfer information may not have
as comprehensive a level of data protection as in your country.

SERVICE ("SERVICE "), YOU ACKNOWLEDGE AND AGREE THAT (1) YOU HAVE READ THIS END
USER LICENSE AGREEMENT ("LICENSE AGREEMENT"); (2) YOU UNDERSTAND IT; (3) YOU ARE
BOUND BY THE TERMS OF THIS LICENSE AGREEMENT; AND (4) YOU MAY RECEIVE, WITHOUT
FURTHER NOTICE OR PROMPTING, UPDATED VERSIONS OF THE SOFTWARE. IF YOU DO NOT
AGREE TO THE FOREGOING, YOU AGREE THAT YOU DO NOT HAVE A LICENSE TO, AND YOU

1. GENERAL

This License Agreement contains details regarding your limited right and license
to use the Software solely in connection with your use of the Service. This
License Agreement is between you and APA and not any other party. The Software
contains material that is protected by copyright and other applicable
intellectual property laws in the U.S. and other territories and by
international treaty provisions. The Software is licensed, not sold or given, to
you by APA for use only under the terms of this License Agreement and all rights
not specifically granted to you herein are reserved to APA and to any third
party with ownership rights in software and documentation used in the Software.
You may not remove any proprietary notice of APA or any other party from any
copy of the Software or documentation. The rights granted under the terms of
this License Agreement include any software upgrades that replace and/or
supplement the original Software. APA reserves the right, from time to time,
with or without notice to you, to change the terms of this License Agreement in
our sole and absolute discretion. The most current version of this License
Agreement will supersede all previous versions. Your use of the Software after
changes are made means that you agree to be bound by such changes. As such, you
should review the License Agreement periodically.





2. PERMITTED USE/RESTRICTIONS

    2.1 Grant of Limited License. APA grants you (which, for purposes of this
License Agreement, shall include members of your organization or entity and for
whom you will be responsible hereunder) a non-exclusive, limited, personal and
nontransferable license, subject to and conditioned on your compliance with the
restrictions set forth in this License Agreement, to use the Software, in object
code form only, provided to you by or on behalf of APA in connection with your
use of the Service.
    2.2 The license granted above includes the right to use any documentation
provided by the Software for the sole purpose of using the Service, provided
that (i) access is authorized by only the number of users enrolled in
subscription; (ii) the Software may NOT be modified; (iii) all copyright notices
are maintained on the Software; and (iv) you agree to be bound by all the terms
of this License Agreement.
    2.3 The Software is only for your own use and may not be supplied to any
other person or entity for profit or for the benefit or any other person or
entity.
    2.4 As a condition of the limited license for the Software granted to you in
this License Agreement, except as and only to the extent expressly permitted in
this License Agreement or by applicable law which cannot be waived by this
License Agreement, you may NOT:

(a) publish, display, disclose, rent, lease, modify, loan, distribute or create
derivative works based on the Software or any part thereof;
     (b) copy, decompile, reverse engineer, disassemble, translate, adapt or
otherwise reduce the Software to human readable form;
     (c ) attempt to create the source code from the object code of the
Software;
     (d) transmit or make the Software available over a network where it could
be used by multiple computers at the same time;
     (e) take any action that will infringe on the intellectual property or
other proprietary rights of APA or any third party software provider; and
     (f) sublicense or assign the Software;

    2.5 No ownership rights. You have no ownership rights in any Software.
Rather, you have a limited license to use the Software as long as this License
Agreement remains in effect. Ownership of the Software and all intellectual
property rights therein shall remain at all times with APA and/or its licensors.
Any other use of the Software by any other person, business, corporation,
government or any other entity is strictly prohibited and is a violation of this
License Agreement.





3. THIRD PARTY CONTENT/THIRD PARTY SOFTWARE

There are software programs contained within the Software that have been
licensed to APA by third parties. The term "Software" as used herein shall refer
to such third party software except where the term Software refers expressly to
the ownership or other specific rights of APA. The same terms and conditions,
including all limitations and restrictions, set forth in this License Agreement
apply to each third party software program contained in the Software.





4. CONSENT TO USE OF DATA

The Software, including any interface device supplied by APA may provide the
Service with limited access to your computer network, application software or
data. Among other things, the Software may provide the Service with information
related to your customer data, inventory, service and other such information as
unique identifiers, your operating system, existing software, amount of
available storage space and internet connectivity, and your interaction with the
Software. This information will, among other things, enable the Service to
provide its service to you and other subscribers and to help APA enhance and
improve the Software and the Service. Information obtained by APA, through the
Service, will be treated in accordance with our Privacy Policy.





5. EXPORT LAW ASSURANCES

You may not use or otherwise export or re-export the Software except as
authorized by United States law and the laws of the jurisdiction in which the
Software was legally obtained or authorized by APA. In particular, but without
limitation, the Software may not be exported or re-exported (a) into (or to a
national or resident of) any U.S. embargoed countries or (b) to anyone on the
U.S. Treasury Department's list of Specially Designated Nationals or the U.S.
Department of Commerce Denied Person's List or Entity List. By using the
Software, you represent and warrant that you are not located in any such country
or on any such list.





6. US. GOVERNMENT END USERS

The Software and related documentation are "Commercial Items", as that term is
defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and
"Commercial Computer Software Documentation", as such terms are used in 48
C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R.
§12.212 or 48 C.F.R. §227.7202-1 through §227.7202-4, as applicable, the
Commercial Computer Software and Commercial Computer Software Documentation are
being licensed to U.S. Government end users (a) only as Commercial Items and (b)
with only those rights as are granted to all other end users pursuant to the
terms and conditions herein. Unpublished-rights are reserved under the copyright
laws of the United States.





7. TERMINATION

This License Agreement is effective until terminated. Your rights under this
License Agreement are terminable by APA at any time without notice. Further,
this License Agreement will terminate if APA finds that you have violated any of
the terms of this License Agreement. No waiver of any breach of any provision of
this License Agreement by APA shall constitute a waiver of any prior, concurrent
or subsequent breach of the same or any other provisions hereof, and no waiver
shall be effective unless it is made in writing and is signed by an authorized
representative of APA. All provisions relating to confidentiality, proprietary
rights, and nondisclosure shall survive the termination of this License
Agreement. Your ability to use the Service is subject to your system
compatibility with our Software as such requirements may change from time to
time. Compatibility of system requirements with the Software is your
responsibility. Upon the termination of this License Agreement, you shall cease
all use of the Software and the Service and destroy all copies, full or partial,
of the Software that you may have downloaded hereunder.





8. DISCLAIMER OF WARRANTIES AND LIMITATIONS ON LIABILITY

The Software is provided "AS IS." The Disclaimers of Warranties and Limitations
of Liability set forth in the Terms of Use expressly apply to this License
Agreement, the Software and the use of the Software. We do not warrant that
defects in the Software will be corrected.
