Details about the draft and important upcoming events are shared below. Second Draft RFPs PSHC has made several adjustments to the OASIS+ acquisition strategy based on stakeholder feedback received in response to the first draft RFPs released in November 2022. The second draft RFPs incorporate these adjustments. A cover letter highlighting the changes from the first to second draft RFPs is included and you are encouraged to review it prior to reading the drafts themselves. Please note that the second draft RFPs are for informational purposes only. The updated draft RFPs posted on SAM.gov contain all sections of the solicitation and qualification matrices for the Total Small Business and Unrestricted vehicles. The qualification matrices for all proposed socioeconomic vehicles that will be included when the final RFPs are released will mirror the Total Small Business qualification matrices. The agency intends to release the final RFP in Q2 FY23. Industry Q&A In addition to the second draft RFP, PSHC posted a portion of the questions and answers in response to the first draft RFP. The remaining Q&As will be posted before Industry Day. The responses are provided in this linked spreadsheet and on SAM.gov. The questions and answers are sorted by common themes to make it easier for stakeholders to navigate. Responses shared here are considered market research and are subject to change. Industry Day PSHC is planning to host a pre-solicitation virtual Industry Day event that will focus on sharing information about sections of the draft RFPs and highlighting important topics before the final RFPs are released in Q2 FY23. The questions range from using GSA’s professional services and human capital contracts, to finding information on our GSA.gov web pages; accessing systems including eBuy and GSA Advantage and getting a professional services or human capital contract. The “You Asked” series answers some of your common professional services and human capital acquisition related questions. Each month we will include a question for industry and one for the federal acquisition community. Have a question you want us to answer? Email pshc@gsa.gov -------------------------------------------------------------------------------- Industry Question: When a MAS vendor under Professional Services acquires other MAS vendors that have several years left on their GSA contract(s), are those contracts then merged together as one, or do they remain separate for any period of time? When a GSA MAS contract holder “acquires” another GSA MAS contract, this is usually completed via a novation. GSA will not allow the same contractor to hold multiple GSA MAS Schedule contracts; they will have to be consolidated. After novation, the firm would need to complete a modification and move over any needed Special Item Numbers (SIN) and/or labor categories from one contract to the other contract. The correct terminology is the surviving contract (with the newly moved items) and the non surviving contract. In most cases, the non surviving contract is canceled once the SINs and items from the non surviving contract are added to the surviving contract. The only time a non surviving contract is left open is if there are any open Blanket Purchase Orders (BPA) issued against it. If this is the case, the non surviving contract would be left open until the last day of the BPA with the caveat the firm cannot do any new work against the non surviving contract outside the BPA. If there are no open BPAs then the non surviving contract will be canceled and all new work must be completed via the surviving contract. This has no impact on open/uncompleted task orders issued against the non surviving contract as they can still be completed after the non surviving contract is canceled in accordance with Federal Acquisition Regulation Clause 52.216-22 Indefinite Quantity. This clause allows up to 60 months for completion of task orders issued against the non surviving contract prior to its cancellation. Buying Agency Question: Where can I obtain more information on the contract closeout process? Contract closeout is an important part of the acquisition process. Contract closeout occurs when a contract has met all the terms of a contract and all administrative actions have been completed, all disputes settled, and final payment has been made. This includes those administrative actions that are contractually required; i.e. property, security, patents and royalties. Timely and proper contract closeout: * Ensures all invoices are paid * Reduces the burden on industry * Mitigates risking losing funds to interest payments * Ensure agencies remain compliant with the Prompt Payment Act (5 CFR Part 1315 ) * Deobligates remaining funds * Creates archived contract files in accordance with FAR 4.805 * Reduces the number of open contract files needing management GSA’s Office of Professional Services and Human Capital Categories has published a Contract Closeout Quick Reference Guide. Below is additional information for OASIS contractors and buying agencies. What has changed? The rule, which becomes effective December 19, 2022, finalizes the SBA’s 2019 interim final rule (RIN 3245–AH17) that adjusted monetary-based industry size standards for inflation and includes three interim final actions: First, SBA adds an additional 13.65% inflation increase to the monetary small business size standards. Second, this rule adjusts three program-specific monetary size standards to account for inflation: 1. The size standards for sales or leases of government property, 2. No, the OASIS Program will not execute a contract modification at the Master Contract Level to adopt the change. The period of performance for OASIS SB expires on December 19, 2024. All options to extend the master contract were exercised prior to May 2, 2022, when the Final Rule regarding Small Business Size Standards (13 CFR Part 121) became effective. At the time of master contract award and option exercise, all NAICS codes in each pool shared the same small business size standard, which shall remain in effect for the remainder of the period of performance of OASIS. The size status of OASIS SB contractors at the time of option exercise and/or on-ramping award will generally remain in effect for all task orders issued against the IDIQ throughout the remainder of the period of performance, unless an order-level rerepresentation is requested by the Ordering Contracting Officer (OCO). Note that task orders must be solicited and awarded prior to the OASIS SB term expiring (December 19, 2024) and may extend cumulatively up to five (5) years afterwards until December 19, 2029. How will the change affect GSA eLibrary and OASIS marketing materials/training? Also, the OASIS Buyers Guidance and Resources page states: "All codes/exceptions in a pool share a common small business (SB) size standard." If a federal agency requests that a company recertify at the Task Order level, will that request be evaluated against the former size standard or the newly adopted size standard? IAW FAR 16.505(b)(9) Small business states that ordering contracting officers (OCOs) at the task order level may rely on the contractor’s existing small business and socio-economic status under the OASIS contract. Additionally, IAW 13 CFR 121.404 (g) Effect of size certification and recertification states that a concern that represents itself as a small business and qualifies as small at the time it submits its initial offer (or other formal response to a solicitation), which includes price, is generally considered to be a small business throughout the life of that contract. While not encouraged, should a federal agency request a company recertify at the task order level, the company would be evaluated against the most current SBA size standard. What steps does the agency take if a company recertifies at the Task Order level due to merger, sale or acquisition when a novation is not required? IAW 13 CFR 121.404 (g)(2) and FAR 19.301-2(b)(2) states that in the case of a merger, sale, or acquisition, where contract novation is not required, the contractor must, within 30 days of the transaction becoming final, recertify its small business size status to the procuring agency, or inform the procuring agency that it is other than small. If the contractor is other than small, the agency can no longer count the options or orders issued pursuant to the contract, from that point forward, towards its small business goals. What steps does the agency take if a company re-certifies due to the exercise of an option at the task order level? The exercise of an order level option does not trigger a FAR 52.219-28 rerepresentation. Rerepresentation occurs at the master contract level, not the order level (unless the OCO requests it as a condition of the task order solicitation).
