WHO WE ARE

Unifund was founded in 1972 and is a federally incorporated property and
casualty insurance company, headquartered in St. John's NL, Canada. It
specializes in personal home and automobile insurance and has been a pioneer of
many innovations for the benefit of consumers.

Unifund Assurance Company and Unifund Claims Inc are wholly owned by The Johnson
Corporation, a Canadian holding company controlled by Intact Financial
Corporation. The various provincial government insurance departments and
applicable rate review boards regulate Unifund’s market conduct and rates, and
the Office of the Superintendent of Financial Institutions Canada (OSFI)
regulates its solvency. Unifund is a member of the Insurance Bureau of Canada
and participates in the General Insurance Ombudservice and the Ontario
Automobile Insurance Ombudsman system.

In some locations, Johnson Inc. operates under trade names, including

WHAT WE DO

Unifund is managed by its affiliated company, Johnson Inc., under a Managing
Agency Agreement (MAA). Johnson Inc. is paid on a commission basis for managing,
underwriting, processing and other necessary services, as well as through fees
for certain claims services. All policies of Unifund are sold through insurance
representatives licensed by the various provincial licensing authorities.
Unifund Assurance Company is the primary underwriter of personal lines property
and casualty insurance policies distributed by Johnson Inc. and its
subsidiaries, including Assurance Goguen Champlain Inc. and Cummings Cossitt
Insurance Ltd.

Johnson Inc. through its subsidiaries and affiliates is compensated for selling
policies by commissions included in the overall rates set out in the MAA. The
MAA is reviewed to ensure fair market terms and conditions under the provisions
of the Federal Insurance Company Act. Those procedures are supervised by the
Conduct Review Committee of Unifund's Board of Directors. All members of that
committee are independent and unaffiliated directors.

Unifund does not provide any loans or financing to any agent, broker or other
licensed intermediary or representative. Effective 2005, Unifund does not pay
any form of contingency or profit commission.

Unifund Claims Inc. (UCI) is also wholly owned by The Johnson Corporation. It is
licensed as an insurance adjusting company in the jurisdictions where it
operates.

UCI offers adjustment services for home and auto claims for policies
underwritten by UAC.
