In 1995, serial entrepreneur Brad Offerdahl sold his 3rd business and realized
there was a need for a professional firm to help the main street business owner
that doesn’t have $50,000,000 in sales and a board of directors running the
company. 

Brad realized that he could transform his real-world knowledge into a business

 * Review Comparable Sales

Alignment Meeting

Viking will:

 * Explain the methodology of our valuation and findings (Your Benefit: you now

 * Explain how we will build a profile on your business
 * Explain how we will market your business
 * Explain meeting buyers, tours, offers, due diligence, closing
 * Ensure our team and you align with next steps
 * Answer and address your questions and concerns

Marketing (Confidential)

Viking will:

 * Confidentially market the business on our website and digital business media
 * Indirect and direct outreach to qualified buyers
 * Create a Confidential Information Memorandum (CIM) for presentation to
   qualified buyers (Business Profile Questionnaire)

Buyer Management
Viking will:
 * Respond to buyer inquiries
 * Receive completed NDA, financial statement and resume/bio from the buyers
 * Conduct buyer interviews to educate on process and pre-qualify them
 * Create a Confidential Information Memorandum (CIM) for presentation to
   qualified buyers (Business Profile Questionnaire)
 * Schedule buyer/seller introduction calls/meetings/tours

Selling

Viking will:

 * Provide pre-offer due diligence request to buyer
 * Encourage the buyer to act in a timely fashion
 * Explain to the buyer how to create an offer to purchase
 * Review the buyer’s offer
 * Review the seller’s and buyer’s positions
 * Explore ways to reach an agreement on price and terms

Due Diligence

Viking will:

 * Negotiate: closing documents; training & transition; allocation of proceeds
   from work-in-progress; and non-compete agreement
 * Create a secured data room for file sharing
 * Work together with seller and buyer to collect, gather, and analyze due
   diligence information
 * Review and execute ‘authorization to close’ document

Closing

Viking will:

 * Review closing instructions with closing attorney
 * Distribute draft of closing documents to buyer and seller
 * Negotiate any final changes in closing documents
