Terms and Conditions for Renewable Passes

These terms and conditions for Renewable Passes govern your purchase and use of
a renewable pass, which is (the “Program” or “Renewable Pass”) offered by Uber
Eats UK Limited (“Uber” or “we”). Participation in the Program is subject to
these terms and conditions for Renewable Passes, which are expressly
incorporated into and made a part of the General Terms of Use (the “Terms of
Use” and together with these terms and conditions, the "Renewable Pass Terms").
Capitalized terms not defined in these Renewable Pass Terms will have the
meaning set forth in the Terms of Use.

By participating in this Program you are agreeing to these Renewable Pass Terms.
If you do not agree to these Renewable Pass Terms, do not participate in
the Program.

If you purchase a Renewable Pass: (a) Uber may provide you with discounted
delivery services as part of the Pass Benefits (as defined below) and (b) the
provision of benefits other than discounted delivery services, are intended only
as ancillary benefits to promote the Renewable Pass and increase provision of
delivery services by Uber (“Pass Benefits”). Uber and/or its affiliates do not
supply goods. Where ancillary Pass Benefits include other services or goods
which may comprise discounts to services provided by Uber or promotions on goods
or services offered by third parties, Uber may provide a promotion on these,
provided always such benefits and promotions offered under the Program are
offered on an "as available" basis, contingent upon Third Party Providers’
availability to provide the services or goods and other contingencies which may
impact availability of some benefits at certain times and places. You may not be
able to use your Pass Benefits with all Third Party Providers.

1. How Renewable Passes Work

You may receive an offer in-app or by email for specific monthly or annual
renewable benefits and discounts that can be applied on Uber app or Uber Eats
app (“Uber App”) purchases (“Offer”). Each Offer will include important details
and terms, such as where and when a Renewable Pass may be used, the Pass
Benefits, the cost of the Renewable Pass (“Pass Rate”), and the billing interval
(“Billing Cycle”). Please refer to your Offer for details before purchasing the
Renewable Pass. When you buy a Renewable Pass you agree to have your selected
payment method charged every Billing Cycle on a recurring basis, and you agree
to these Renewable Pass Terms, as well as the specific terms of the Offer.
Offers are limited and subject to change.

2. Duration and Frequency of Charges

When you purchase a Renewable Pass, you authorize Uber and its affiliates to
charge the Pass Rate for your first Billing Cycle to your selected payment
method on the date of purchase, which will activate your Pass. By default (and
with prior notice to the extent required by applicable law), Renewable Passes
will automatically renew at the beginning of each Billing Cycle, and you
authorize Uber and its affiliates on a continuing basis to automatically charge
the Pass Rate to your default payment method or any other eligible payment
method saved in your wallet for such Billing Cycle. You may add multiple payment
methods to your wallet, and you agree when you add a payment method to your
wallet, Uber may store and charge that payment method for the collection of your
Membership Rate or any other services you may purchase from Uber. If you do not
want your Renewable Pass to automatically renew, you can cancel your Renewable
Pass in accordance with Section 3 of these Renewable Pass Terms. Uber Credit is
not accepted as a payment method for auto renewals. Except where prohibited
under applicable law, any charges made pursuant to this clause are
non-refundable. The Pass Rate includes value added tax.

If your Default Payment Method is declined for any reason (such as expiration or
insufficient funds), you authorize Uber to charge another payment method in your
wallet. If no other payment method is saved in your Uber wallet, Uber may prompt
you for a new payment method. If all eligible payment methods in your wallet are
declined, you must provide us with a new eligible payment method or your
Renewable Membership may be canceled. If declined, Uber may also retry to charge
your Default Payment Method or any other payment method in your wallet over the
course of your billing cycle to help you get back to enjoying the benefits of
your membership. Uber reserves the right to terminate your Renewable Membership
with no further charges to you if Uber is unable to collect payment from you.
Uber and/or its parent, subsidiaries and/or affiliates are not responsible for
any fees charged by the cardholder's bank including, but not limited to,
overdraft fees, insufficient funds fees, interest charges, foreign exchange
fees, cross border fees, and other penalties levied by the cardholder's bank.
Any charges made to your selected payment method will be done in your
local currency.

3. Canceling Your Renewable Pass

You may cancel your Renewable Pass within the Uber App up to 48 hours prior to
your next scheduled payment to avoid further charges. To do this, go to the
membership hub section in the Uber App (“Membership Hub”). If you are less than
48 hours prior to your next scheduled payment, please contact support to cancel,
either by clicking here or by navigating to support in the Uber App or the Uber
Eats App.

If you cancel your Renewable Pass, you will still have access to your Pass
Benefits until the end of the current Billing Cycle, except where you have a
free trial, in which case your access to your Pass Benefits will end upon
cancellation. Except where prohibited under applicable law, all payments are
non-refundable and non-transferable, and will not be refunded on a pro-rata
basis for any cancellation initiated during a Billing Cycle (except as set out
below under the heading “Cooling-off Period”). Please use help.uber.com to
report any unauthorized charges within 60 days. Uber is not responsible for
overdraft fees that may be incurred.

Cooling-off Period

In addition to your rights to cancel set out above, you have the right to cancel
your Renewable Pass during the “cooling-off period”, which is the time period of
14 days from: (i) if you are using a free trial, the date that your free trial
commences; or (ii) if you are not using a free trial, the date that you
initially purchase the Renewable Pass; or (iii) the date that the Renewable Pass
automatically renews, if your Renewable Pass Billing Cycle is annual. If you
cancel your Renewable Pass during the cooling-off period, you will be entitled
to a refund of the Pass Rate you have paid for the relevant Billing Cycle
(unless you have received a free trial, in which case you will not have paid the
Pass Rate and therefore no refund will be payable). To exercise your right to
cancel during the cooling-off period, please contact support, either by clicking
here or by navigating to support in the Uber App or the Uber Eats App.

4. Pausing Your Renewable Pass

Occasionally, you may want to pause your Renewable Pass. Pausing your Renewable
Pass is a great way to take a temporary break and easily resume your Pass
Benefits without the hassle of signing up again.

You may pause your Renewable Pass for a specific time period (“Paused State”) if
you are not on a free trial or a partner-sponsored offer at the time of the
pause. When you pause your Renewable Pass, your Paused State will begin once
your current Billing Cycle ends. Once your Paused State expires, you will be
charged the Pass Rate and your Renewable Pass will automatically renew for the
next Billing Cycle. You must pause at least forty eight (48) hours before your
billing day to avoid being charged for the next Billing Cycle.

You can pause your Renewable Pass up to four (4) times per calendar year. During
the Paused State, you will not be charged the Pass Rate and the Pass Benefits
will not apply. You also will not receive any member-specific promotions.

5. Promotions and Offers

Combining Promotions

Unless otherwise specified in the terms and conditions of other promotions
offered by Uber or third parties, Uber (in its sole discretion) may permit Pass
Benefits to be combined with other promotions. To the extent Uber has permitted
Pass Benefits to combine with other promotions, you can view which promotions
apply in the checkout screen for an order prior to placing such order.

Geographic Scope of Promotions

Pass Benefits are limited to the country in which you purchase your Renewable
Pass (your “Pass Country”). If you travel outside of your Pass Country, your
Pass Benefits may not apply to any Uber App purchases made while outside of your
Pass Country.

Queued Offers

If you are currently using an offer that applies to your Pass Rate, your next
queued offer (if available) will start when your current offer ends, as long as
your Renewable Pass has not been terminated or canceled. For offers tied to your
payment card, that card must still be valid and on your account when the related
offer starts. For offers tied to your employer, you must still be employed by
that employer at the time the offer starts.

6. Free Trial

Uber and/or third parties authorized by Uber (“Authorized Partners”) may offer
some users a free trial or other promotional subscriptions in relation to a
Renewable Pass. Such trials or promotional subscriptions are subject to these
Renewable Pass Terms except as otherwise stated in your Offer. Only one trial or
promotional subscription is available per user. Free trial eligibility is
determined by Uber at its sole discretion and Uber may limit such eligibility or
duration to prevent free trial abuse. If you have a free trial and you cancel
your free trial, your access to Pass Benefits will end upon cancellation.
Certain limitations may exist with respect to combining a free trial with any
other offers.

For some trials or promotional subscriptions, Uber requires you to provide your
payment details to start the trial or promotional subscription. BY PROVIDING
SUCH DETAILS YOU AGREE THAT AT THE END OF YOUR APPLICABLE FREE TRIAL OR
PROMOTION PERIOD, YOUR RENEWABLE PASS WILL AUTOMATICALLY RENEW AND YOU WILL BE
CHARGED THE PASS RATE STATED IN YOUR OFFER AT THE BEGINNING OF EACH BILLING
CYCLE UNTIL YOU CANCEL YOUR RENEWABLE PASS. IF YOU DO NOT WANT THIS CHARGE, YOU
MUST CANCEL THE APPLICABLE TRIAL OR PROMOTION BEFORE THE END OF THE TRIAL OR
PROMOTION IN ACCORDANCE WITH SECTION 3 ABOVE.

Promotional subscriptions for Renewable Pass that are offered or provided by
Authorized Partners may be subject to additional terms and conditions, which
will be presented at the time of the offer by the Authorized Partner. Depending
on the terms of your promotion or offer, the Authorized Partner may manage
aspects of your Renewable Pass, including but not limited to, payments and
cancellation. Check with the Authorized Partner for additional information.

7. Uber One credits 

One benefit of your Renewable Pass is that you will receive a percentage of what
you spend on eligible rides as credits in your Uber Wallet (“Uber One credits”).
Uber One credits provided as a benefit in connection with your Renewable Pass
shall expire consistent with any applicable expiration date shown in your
Membership Hub. The expiration dates shall be determined at Uber's
sole discretion.

Any Uber One credits earned in connection with your Renewable Pass shall be
calculated as a percentage of the final fare as it appears in your itemized
receipt and earned exclusive of any tolls, surcharges, and any other fees (as
determined by Uber in its sole discretion). Uber One credits will be
automatically applied to eligible rides as a discount, and to eligible orders as
a promotion. Further, Uber One credits will not be earned on the amount of the
discount resulting from the application of existing Uber One credits. Uber One
credits earned on a particular trip cannot be applied to the same trip.

Upon termination or cancellation of your Renewable Pass, your Uber One credits
shall expire at the end of that Billing Cycle.

8. Uber One Students

In Uber’s sole discretion, Uber may offer a category of the Renewable Pass to
students (“Uber One Student”). Uber One Student subscriptions may be offered at
a discounted price on either a monthly or annual basis to qualifying students
who are currently enrolled at an accredited college or university. Potential
Uber One Student members must pass the verification requirements and may be
required to provide documentation so that Uber may verify their eligibility for
the plan. Uber contracts with a third party, SheerID, for verification services.
Please see SheerID’s Terms of Services for additional information. Uber One
Student members must reverify their eligibility annually. If an Uber One Student
member fails reverification, they will be converted to a full priced annual or
monthly plan, depending on the type of Uber One Student in which they were
previously enrolled (e.g., if you had an Uber One Students monthly plan, you
will revert to standard monthly plan). Without notice and in its sole
discretion, Uber may add to, or replace, such third party verifier, so long as
such replacement does not materially alter the verification process. Uber One
Student members may be offered other distinct discounts or promotional offers in
Uber’s sole discretion. Similarly, Uber One Student members may be excluded from
certain promotional offers, including those offered by third-party partners.

9. Changes to Renewable Passes

Uber reserves the right to modify or stop offering Renewable Pass, change Pass
Rates or Pass Benefits, at any time in its sole discretion. In the event Uber
increases the Pass Rate of a Renewable Pass, we will provide you with thirty
(30) days prior notice via email before such changes take effect. All changes
will be effective upon your next Billing Cycle, but if you do not agree with the
price change, you have the right to reject the new Pass Rate and may avoid these
charges by canceling your Renewable Pass according to the instructions in
Section 3 above.

Uber may terminate your Renewable Pass at our discretion without notice. If that
happens, Uber will give you a pro-rated refund based on charges already applied
to your current billing period. We will not give any refund for termination
related to conduct that we determine, in our sole discretion, violates these
Renewable Pass Terms, any applicable law, or involves fraud or misuse of the
Renewable Pass. Uber, at its discretion, may terminate your Pass effective at
the end of your billing cycle by providing you notice of such termination. If
that happens, you will have access to your Pass Benefits until the end of your
then-current billing cycle but your Pass will not auto-renew.

10. Changes to Renewable Pass Terms

Uber reserves the right to modify these Renewable Pass Terms. If we make
material changes to the Renewable Pass Terms while you have an active Renewable
Pass, we will notify you either in the Renewable Pass section of the applicable
Uber App and/or via email. Revised Renewable Pass Terms become effective at the
beginning of the next Billing Cycle and your continued use of a Renewable Pass
constitutes your acceptance of the revised Renewable Pass Terms. If you are not
willing to agree to the revisions, you may cancel your Renewable Pass in
accordance with Section 3 above.

11. Transfer of Rights

Uber's rights and obligations under the Program may be assigned or transferred
by Uber to any other related or unrelated entity at any time, and performances
shall be the responsibility of that entity.

12. Limitation of Liability

Any liability of Uber arising from the Renewable Pass and/or these Renewal Pass
Terms shall be limited in accordance with Clause 9 of the Terms of Use.

13.  Disclaimer

We provide the Program “as is” and “as available.” The Program may be subject to
limitations, delays, and/or other problems inherent to the use of the internet
and electronic communications and are not guaranteed to be available or error
free at all times. Uber may from time to time request information from you to
confirm your identity before renewing your Renewable Pass. Uber may delay your
access to Renewable Pass until you comply with this information request. The
Program and all the information accessible through it are provided for
information purposes only on an "as is" and "as available" basis. We, our
information providers and their agents make no warranties, representations, or
guarantees of any kind, express or implied, including but not limited to,
accuracy, currency, or completeness, the operation of the Program, the
information, materials, content, availability, and products. Renewable Passes
and these Renewable Pass Terms are provided by Uber and do not modify the
contractual relationships among or between the individuals and entities that use
Uber’s technology to offer goods or services, and Uber or any Uber affiliates,
except as expressly set forth herein. To the extent permitted by law, we exclude
all warranties and disclaim all liability for any act or omission by you or any
third party.
