This Order Form shall govern to the extent of any conflict with the Agreement. * The above prices do not include any sales, use or VAT taxes. TRANSFER PRICING ESSENTIAL SUPPORT Effectively manage your worldwide compliance activities with a cloud-based repository of your company’s transfer pricing documentation, in addition to relevant regulatory updates. Exactera will implement your SaaS by setting up your legal entity structure for the fiscal year per the Order Form. Baseline templates to describe standard functions, risk and assets are available as part of essential support. Customer will be provided with unlimited online software training and support, and Exactera will check-in with you on a monthly basis. Pursuant to the Order Form, Customer may also choose to include the Masterfile template, which provides the OECD structure, as well as country-specific additions to the Masterfile template. Please note that country-specific additions are only available if Customer has opted to include the country-specific local documentation module. STATEMENT OF WORK FOR TRANSFER PRICING SUPPORT SERVICE PACKAGES In addition to Transfer Pricing Essential Support, pursuant to the Order Form, Provider will perform services for the number of intercompany transactions and fiscal year(s) per the Order Form based on the selected Support Service Package: Transfer Pricing Plus (“TP+”) or Transfer Pricing Complete (“TPC”). Intercompany transactions include the transfer of tangible goods, intangible goods, provision of services, recharge of costs, or engaging in financial transactions between two legal entities belonging to the same group over the course of a tax year. * Passthrough recharges can be included in the narrative at no charge. * Transactions can define the counterparty as “Affiliates”, if the tested party is the one defined entity involved in the Affiliate transaction. However, if this transaction needs to be included in the local study for the beneficiary, each transaction between provider and beneficiary will need to be counted as individual transactions. * Any transactions for which Customer has never prepared Transfer Pricing Studies in the past must be prepared under the Transfer Pricing Complete Service Package. * If Customer has elected to include the Masterfile in the Order Form, the service of producing a Masterfile is equivalent in fees to the updating one intercompany transaction. TRANSFER PRICING PLUS (TP+) The Transfer Pricing Plus support package includes the collection and preparation of the transfer pricing documentation for each jurisdiction, confirmation of a functional analysis previously prepared by (or for the benefit of) Customer for each listed transaction, performance of benchmark searches that meet local regulations using databases currently available to Exactera, and performance of the economic analysis for each listed transaction. TRANSFER PRICING COMPLETE (TPC) The Transfer Pricing Complete package will include the scope of work listed under the Transfer Pricing Plus support package and: * One hour (1) of functional interviews for every transaction requiring a customized functional analysis. Customer may request additional functional interview hours (if needed) for additional fees to be discussed and agreed upon with your Account Manager prior to engagement. * Audit support, which includes assisting in the preparation of the response to tax authority inquiries into the transfer pricing study and providing supporting workpapers as needed. Further, we would be able to conduct new benchmarking if needed to support the inquiry. Audit support will be provided to customers that are in good financial standing with Exactera. * Advisory support, which includes inquiries and discussions with our team of transfer pricing experts. Any advisory support required as written, formal communication will be considered out of scope. DELIVERABLES (TRANSFER PRICING REPORTS) Provider will prepare and generate loan analyses for the listed transactions. Provider will produce the number of deliverables as outlined on the Order Form. Additional country modules and/or deliverables can be included for additional fees during the term of the license, as needed. ROLES AND RESPONSIBILITIES The transfer pricing reports depend on information and data provided by Customer to Provider. As such, Provider is not responsible for the accuracy or completeness of the information provided by or on behalf of the Customer. Customer will be responsible for assisting with coordination of functional interviews within its organization and providing data where necessary. The timing of deliverables is dependent on receipt of information, and if the information to complete the documentation is not received 60 days prior to the end of the license term, Customer will forfeit rights to the deliverables. Provider will deliver draft reports when reports are considered substantially complete. Substantially complete reports may not contain finalized financial information from the Customer. Customer will have 15 days to review and finalize the report. Provider will allow Customer up to one round of edits or commentary for each report. Upon implementation of edits and commentary or lack of response from Customer within the specified time period, Provider will issue final report to Customer. Customer will continue to have access to edit and modify report directly in the SaaS, with training and technical support as needed.
