If any part of this EULA is found by any court or other competent authority to be invalid, unlawful or unenforceable, then such part shall be severed from the rest of this EULA, which shall continue to be valid and enforceable to the fullest extent permitted by law. Changes to this EULA We may change this EULA at any time by updating these pages. Your use of the Talent Platform will be subject to any such changes once they are made and your continued use of the Talent Platform after such changes are made constitutes your acceptance of this EULA as modified. If you do not agree to such changes, you should not use the Talent Platform. Availability Where you have breached this EULA and/or our Acceptable Use Policy, we may without notice, suspend the provision of all or any part of the Talent Platform to you and/or to block your access to or use of the Talent Platform. We may withdraw or amend any part of or the entire Talent Platform without notice. We may suspend access to the Talent Platform periodically to carry out maintenance (scheduled or otherwise) or for any other reason at any time. Monitoring To preserve the integrity of the Talent Platform, in the interests of security and to detect fraud and other crimes, we may monitor all communications, including web and email traffic, into and out of domains connected with the use of the Talent Platform. Such monitoring includes, but is not limited to, checks for viruses and other malignant code, criminal activity and traffic or content which breaches our policies. We may also not deliver any communication that breaches our policies. Also, we may, in the interest of security and also to help us to improve our service to you, monitor and/or record communications (whether over the internet, telephone or otherwise) between you and us. All recordings are our sole property. Use of the Talent Platform is at your own risk We will make reasonable efforts to ensure that all information provided by us on the Talent Platform is reasonably accurate in all material respects at the time of its inclusion. However, we do not warrant or represent that all or any information contained on or accessed through the Talent Platform will be accurate, complete or up to date or meet your specific requirements. Further, we do not provide any guarantee about the accuracy, functionality or performance of any third party software, content or equipment used in connection with the Talent Platform. We reserve the right, in our sole discretion, to correct any errors or omissions in any portion of the Talent Platform and to make any changes to the Talent Platform at any time. We reserve the right in our sole discretion to edit or delete any documents, information or other content on the Talent Platform. We do not represent or warrant that the Talent Platform will be error-free, free of viruses or owner harmful components, or that defects will be corrected. Limit of Liability To the fullest extent permissible by law, we exclude and disclaim all warranties, terms, conditions and representations that might otherwise be implied by law and/or otherwise in relation to the Talent Platform. Our total aggregate liability to you arising out of or related to this EULA (whether such liability arises in contract, tort or otherwise and whether such losses are foreseeable or not) shall not exceed £1,000. Nothing in this EULA shall exclude our liability for: (a) death or personal injury arising through our negligence; (b) fraudulent misrepresentation; and/or (c) anything else that cannot be excluded or limited by us under the law. We shall not be liable under this EULA for any indirect, special, incidental or consequential damages whether based on breach of contract, breach of warranty, tort (including negligence) or otherwise, even if we have advised of the possibility of such damages. Security It is your sole responsibility to: 1. Undertake reasonable and appropriate precautions against any computer virus or other destructive materials or elements; and 2. Ensure that your computers and your access to the Talent Platform are adequately secured against any unauthorised users and that you keep usernames, identification codes and passwords confidential. Your use of the Talent Platform You warrant, represent and undertake: 1. Any content, information or material you contribute or upload to the Talent Platform (“Contribution”) is true, fair and accurate; 2. Any Contribution complies with the content standards set out below; 3. You will use all reasonable care and skill in using the Talent Platform; 4. You will act in good faith in using the Talent Platform; and 5. You will comply with our reasonable instructions in using the Talent Platform. You may not use the Talent Platform or permit others to use the Talent Platform: 1. In any way (including via electronic means) and for any purpose which is unlawful, defamatory or libelous, offensive, abusive, indecent, menacing or threatening or in any way breaches any intellectual property rights, proprietary rights, any other third party rights or obligations of confidence; or 2. To cause annoyance, inconvenience or needless anxiety to any other person or in any other way which is in violation of any applicable law or regulation in any jurisdiction in the world; or 3. To introduce a virus or other disruptive material or element or otherwise disrupt or impair the Talent Platform or any communication service. You shall defend, indemnify and hold harmless us, our directors and employees against all claims, damages, costs, liabilities and expenses (including without limitation legal costs) arising out of or related to your breach of this EULA and/or our Acceptable Use Policy. You are wholly responsible for the use of the Talent Platform by any person using your computer and you must ensure that any such person complies with this EULA and our Acceptable Use Policy. We reserve the right to disable any user name, identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with this EULA. When using the Talent Platform, you must, at all times, comply with the provision of our Acceptable Use Policy. License You hereby grant to us a royalty-free, irrevocable, non-transferable, non-exclusive license to use any Contribution and any personal information submitted to the Talent Platform for any purpose related to or connected with the Talent Platform. Links to the Talent Platform Neither you nor any other party may use any part of the Talent Platform on any website, or link any website to the Talent Platform, without our prior written permission. Neither you nor any other party may, without our prior written permission, deep link to, frame, spider, harvest or scrape the content of the Talent Platform (“Content”) or otherwise access the Content for any purposes, or use any machine, electronic, web-based or similar device to read or extract the Content by machine based or automated means. From the Talent Platform we may provide information or hyperlinks to websites or pages provided by other parties. Your use of other parties’ sites will be subject to their own terms and conditions. You should read them. If you decide to visit any third party site, you do so at your own risk. We are not responsible for the content, accuracy or opinions expressed in such websites. Links do not imply that we or the Talent Platform is/are affiliated or associated with such sites. Intellectual Property Rights Unless otherwise stated, we are the owner or the licensee of all intellectual property rights (including, without limitation, copyright, database rights, design rights, patents and trademarks) in the Content (other than any Contribution or content uploaded by our other clients). The Content is protected by copyright laws and treaties around the world, and other intellectual property rights. All such rights are reserved. “CHEMISTRY”, and any names and logos that are used in the Talent Platform are our (registered) trademarks or those of the relevant licensor and all rights and benefits in them vest in us or the relevant licensor. We also expressly reserve all rights in and to the domain name associated with the Talent Platform and all other related service marks, trading names or other trademarks relating to our products and services. Other trademarks, products and company names mentioned on the Talent Platform may be trademarks of their respective owners or licensors and the rights in such marks are expressly reserved to the respective owners or licensors. You may print, copy, download or temporarily store extracts from the Talent Platform for your personal, non-commercial, use. You must not modify the paper or digital copies of any extract contained on or obtained from the Talent Platform in any form and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. Any other use is prohibited unless you first get our written permission. Without limiting the above, unless you first get our written consent, you may not reproduce, modify, adapt, transmit, publish, broadcast, create derivative works of, store, archive or in any way exploit any of the Content. In particular, neither you nor any other party may do any of the following acts without prior written consent from us: 1. ACCEPTABLE USE POLICY General AHK Recruitment Limited (trading as ‘Chemistry’) has developed a web based, Software as a Service (SaaS), application (“Talent Platform”) that enables users to participate in assessment, performance review and behavioral analysis (“Service”). This Acceptable Use Policy (together with the documents and materials referred to in it) sets out the terms under which you may access and use our Service and the Talent Platform and/or Content. “Content” for the purposes of this policy means all pages, screens, layouts, information and materials included in or accessible through the Talent Platform including any content available in any email or through any services or in relation to the online services we provide. Your action in accessing and/or using the Talent Platform means that you accept and agree to abide by, all the terms in this Acceptable Use Policy, which supplements our End User License Agreement. Please carefully read these terms. This Acceptable Use Policy applies to all users of the Talent Platform. Prohibited Actions You may access and use the Talent Platform and/or Content only for lawful purposes. You may not access or use our Services, the Talent Platform and/or Content: 1. In any way that breaches any applicable local, national or international law or regulation; 2. In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect; or 3. For the purpose of harming or attempting to harm minors in any way. You shall not: 1. Send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards as set out below; 2. Transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam); 3. Knowingly transmit any data, send or upload any material that contains viruses, trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware. You also agree: 1. Not to reproduce, duplicate, copy or re-sell any part of Content in contravention of the End User License Agreement; 2. Not to access without authority, interfere with, damage or disrupt: 1. the Talent Platform or any part of it; 2. the Content or any part of it; 3. any equipment or network on which Content is stored; 4. any software used in the provision of Content and/or the Talent Platform;or 5. any equipment or network or software owned or used by any third party. Content Standards These content standards apply to any and all material which you contribute or upload to the Talent Platform by using the Services, including data (“Contributions”). You must comply with the spirit of the following standards as well as the letter. The standards apply to each part of any Contribution as well as to its whole. We may, at our sole discretion, run manual or automatic systems to determine compliance with this Acceptable Use Policy (e.g. scanning and logging of email and scanning and logging of web traffic). By subscribing to the Services we provide, you are deemed to have granted permission for such monitoring. Contributions must: 1. Comply with applicable law in the UK and in any country from which they are posted. Contributions must not: 1. Contain any material which is defamatory of any person or body corporate; 2. Contain any material which is obscene or inflammatory; 3. Promote sexually explicit material; 4. Promote violence; 5. Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; 6. Infringe any copyright, database right, trade mark, patent or other intellectual property right of any other person or body corporate; 7. Be likely to deceive any person; 8. Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidentiality; 9. Promote any illegal activity; 10. Be threatening, abusive or invade another's privacy; 11. Be used to misrepresent your identity or affiliation with any person; 12. Give the impression that they emanate from us, if this is not the case; or 13. Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse. Suspension and Termination We will determine, in our discretion, whether there has been a breach of this Acceptable Use Policy through your use of our Services, the Talent Platform and/or Content. When a breach of this policy has occurred, we may take such action as we deem appropriate. Failure to comply with this Acceptable Use Policy may constitute a material breach of the End User License Agreement (as applicable) and may result in our taking all or any of the following actions: 1. Immediate, temporary or permanent withdrawal of your right to use the Talent Platform and/or Content and/or the Services we provide to you; 2. Immediate, temporary or permanent removal of any posting or material uploaded by you; 3. Issue of a warning to you; 4. Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach; 5. Further legal action against you; or 6. Disclosure of such information to law enforcement authorities that we consider (in our reasonable discretion) necessary. We exclude liability for actions taken in response to breaches of this Acceptable Use Policy to the fullest extent permitted by law. The responses described in this policy are not limited, and we may take any other action we deem appropriate. Changes to the Acceptable Use Policy We may revise this Acceptable Use Policy at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are legally binding on you. Some of the provisions contained in this Acceptable Use Policy may also be superseded by provisions or notices published elsewhere on the Talent Platform. PRIVACY POLICY TALENT PLATFORM PRIVACY POLICY The Chemistry Group Limited, trading as “Chemistry”, of 7 Swallow Place, London, W1B 2AG (“us”, “we” or “our”) is committed to protecting the personal information that you supply or which may be collected while you use our Talent Platform (“Talent Platform”) (i.e. any personal information which may be used to identify you, such as your telephone number, home address or email address) (“Personal Information”). This privacy policy only relates to the Talent Platform and does not extend to your use of the Internet or any software platform outside of this Talent Platform (“Privacy Policy”). This Privacy Policy as amended from time to time describes the type of Personal Information collected and ways in which your Personal Information may be used. By using the Talent Platform, you accept the terms of this Privacy Policy and you consent to the use of your Personal Information in accordance with this Privacy Policy. All your Personal Information shall be used in accordance with the Data Protection Act 1998 (“Act”). Please therefore refer to your employer’s (or prospective employer’s) privacy policy and/or employment data protection policy for further details as to how your Personal Information may be used. What Personal Information do we collect? We will collect the Personal Information which you are required to provide to us during the registration process and that which you are required to provide for the purposes of completing any of the tools made available to you on the Talent Platform. By submitting Personal Information via the Talent Platform in an on-line document, email or otherwise, you consent to our use of the Personal Information for the purpose(s) for which it was provided and/or otherwise in accordance with the Privacy Policy in effect at the time of submission, and for any additional purposes that are notified to you and/or which you consent to (as applicable) before, or at the time of, submitting Personal Information. We may also use your Personal Information including, without limit:- * information provided by you using online psychometric tools; * information provided by you in your behavioural event interview (BEI) with a Chemistry consultant; * information that you provide by filling in forms on the Talent Platform; * information about your computer including, where available, your IP address, operating system and browser type; * details of your visits to the Talent Platform and the pages and resources that you access; in the following ways:- * to comprise your 'Chemistry Profile'; * to contribute towards an assessment of the likelihood that you will be able to meet and/or adapt to the demands of a particular work-related role or challenge; * to anonymise, aggregate and analyse profile data at a future date in order to provide additional insights and benchmarks to your employer and/or other employers that will enable them to better understand the relative capabilities and potential of their employees; * to provide your profile data to your employer as and when requested at a future date where you have completed your Chemistry Profile in the past (usually within the last couple of years). The purpose of such requests may be consistent with the purpose described above, albeit that the context may have changed, such as the nature of the role or challenge in question; * to ensure that content from this Talent Platform is presented in the most effective manner for you and your computer; * to provide you with information or services that you request from us; * to notify you about changes to our services and to update your Personal Information. You may refuse to provide certain Personal Information; however the failure to provide requested Personal Information may result in your inability to use certain features on the Talent Platform. Unfortunately, the transmission of information via the Internet or any software platform is not completely secure. So, whilst we will use reasonable efforts to protect your Personal Information, we cannot ensure the security of the Personal Information which you transmit to the Talent Platform. Any transmission is at your own risk. Once we have received your Personal Information we will use strict procedures and security features to prevent unauthorised access, but we cannot absolutely guarantee it will always be kept completely secure because of the nature of the Internet and software platforms.
