agree that this Site shall be deemed a passive website that does not give rise
to personal jurisdiction over Checkmarx, either specific or general, in
jurisdictions other than New York.

Limitation of Claims

You agree that regardless of any statute or law to the contrary, any claim or
cause of action arising out of or related to use of the Services or the
Agreement must be filed within one (1) year after such claim or cause of action
arose or be forever barred.

Waiver and Severability

The failure of Checkmarx to exercise or enforce any right or provision of this
Agreement shall not constitute a waiver of such right or provision. If any of
the provisions of this Agreement are held invalid, unenforceable, or void by a
court or other tribunal of competent jurisdiction, the parties nevertheless
agree that the court should endeavor to give effect to the parties’ intentions
as reflected in the provision, and the other provisions of the Agreement remain
in full force and effect.

Amendments

We may amend this Agreement at any time by posting the amended terms on the
Site. Your continued use of the Site or Services shall constitute your consent
to any changes made. If you do not agree to the new or different terms, you
should not use the Site or the Service. This Agreement may not be otherwise
amended.
