earthquakes, fire, floods, storms, natural disasters, explosions, acts of God,

TRANSFER AND ASSIGNMENT

through a third party, this Agreement or any of its associated interests,
rights, or obligations without the prior written consent of American Stock
Review. However, members of the American Stock Review Lifetime (“American Stock
Review Members”) may assign this Agreement without the need for prior written
consent, provided that such members notify us in writing before the assignment
takes effect. Any attempt to assign in contravention of this provision shall be
deemed null and void and without any legal effect. American Stock Review
reserves the right to assign its rights and obligations under this Agreement and
may involve subcontractors or agents in fulfilling its duties and exercising its
rights hereunder without notifying you or obtaining your consent. Where
applicable, this Agreement is binding on the parties and shall benefit their
respective successors and permitted assigns.

AGENCY DISCLAIMER

This Agreement explicitly states that it does not establish an agency,
employment, partnership, joint venture, franchise, or any other similar or
special relationship between you and American Stock Review. Neither party has
the authority to assume obligations, make representations, warranties, or
commitments on behalf of the other party or its affiliates, whether implied or
expressed, or to bind the other party or its affiliates in any manner. The

NON-BENEFICIARY CLAUSE

or implicitly, to confer upon or provide any person other than yourself with
