1. SCOPE

1.1 These Standard Terms and Conditions (hereinafter: “T&Cs“) apply to any and
all use of services offered on www.SkinBid.com and as processed by SkinBid ApS
of Denmark (hereinafter: “SkinBid”), this being an internet auction marketplace
for selling and buying of skins through legal transactions conducted and
concluded by and between users on the marketplace and also by and between users
with SkinBid.

1.2 Additional terms that deviate from these Terms and Conditions are not valid
unless SkinBid expressly requires accept of these or agrees to them. it is
possible that for certain special services additional conditions apply, where
this is the case, these will be provided separately and prior to use.


2. SPECIFICATION OF SERVICES, INTERNET MARKETPLACE

2.1 SkinBid makes an internet auction marketplace available on which users are
able to offer, sell and purchase digital items from e-games, so-called “Skins”
through auctions. SkinBid mediates orders between sellers and buyers.

2.2 The buyer and SkinBid (as the Merchant of Record) shall enter into an
agreement relating specifically to the processing of a transaction on completion
of a sales contract between the seller and buyer. SkinBid does not become a
contractual partner of the contract concluded between the seller and buyer via
SkinBid’s platform. Users must consent to the standard terms and conditions of
Adyen N.V. prior to payment processing. Adyen N.V. shall act as the payment
service provider for the agreement by processing the payment transaction.


3. REGISTRATION AND VERIFICATION OF IDENTITY

3.1 The prerequisite for using SkinBid’s auction marketplace is the opening of a
user account. The registration for the use of the platform is free of charge.

3.2 Only Natural persons with full legal capacity who are at least 18 years old
and solvent companies may register as users. It is expressly prohibited to
register a user account for third parties without their consent, as well as the
multiple use of different member accounts by one user. SkinBid reserves the
right to make admission dependent on the submission of suitable proof KYC
(identity card, passport, excerpt from the commercial register, trade license,
official permits or approvals) or to request such KYC in the course of using
SkinBid’s services.

3.3 SkinBid requests certain data in the process of registering a user account
as described in 3.2 and this has to be provided in full and truthfully by the
user. The user must update SkinBid on any changes to the submitted documentation
as and when this occurs throughout the course of using SkinBid’s services. This
concerns in particular changes of address as well as the fact of abandonment of
the business or freelance activity as well as insolvency or liquidation of the
company. A user account is non-transferable.

3.4 In cases of doubts over the identity of a user, or where additional KYC is
required by statutory law, SkinBid is entitled to require further appropriate
KYC documentation from a user, in order to establish the users identity and to
prevent fraud. The submission of KYC belonging to another person or indeed any
third party is expressly prohibited.

3.5 The use of or cooperation or linking of different accounts controlled by the
same user is expressly forbidden. Equally so, the use of several accounts
controlled by the same person or sharing accounts with other persons is not
permitted.

3.6 SkinBid reserves the right to make the use of the service dependent on
certain conditions such as the verification of identity and/or the number of
positive or negative evaluations of sales contracts between users.

3.7 Following suitable notification, SkinBid may close and delete inactive and
incomplete user accounts. IN such cases, the user will be given a period to
complete or re-activate the account first. In case of deletion, the services
provided by SkinBid will be terminated in accordance with legal requirements.


4. COLLECTION OF DATA

4.1 The collection of user data serves the purpose of being able to provide a
secure, professional, efficient and legal internet auction marketplace. SkinBid
collects and processes user data in accordance with the statutory provisions.
Such data requested for transactional purposes shall be forwarded to Adyen N.V.
in accordance with these T&C’s and statutory provisions.

4.2 All information on data protection and data security can be found in the
Data Privacy Policy.

4.3 We reserve the right to technically edit offers and other contents of users
for the purpose of improved presentation.


5. POSTING OF CONTENTS

5.1 The user grants to SkinBid transferable, simple, spatially and temporally
unrestricted rights of use to the content posted by the user on SkinBid.com to
the extent necessary for the operation of the online platform.

5.2 The users must at all times ensure that any and all content posted does not
violate legal requirements and statutory provisions and is free from third-party
rights.

5.3 The posting of content other than skins is not permitted on SkinBid.

5.4 The user grants to SkinBid the right to place posted content in the
marketplace and to make any necessary copies of the content (storage on the
servers, etc.). In addition, the user grants to SkinBid the right to edit the
content in order to better present it on the marketplace where required. This
editing may include the shortening or editorial editing of texts, the production
of excerpts from posted images or the reduction of images to thumbnails.
Furthermore, SkinBid has the right to reproduce, make publicly available and
publicly reproduce the content in the best possible quality via different end
devices and different networks (public and private), whereby the right to make
content publicly available also includes, in particular, the transfer of content
to fixed or mobile end devices (e.g. cell phones, etc.) of other users. The
right of public reproduction also includes in particular the right to reproduce
content on the online platform by streaming.


6. FEES AND PAYMENTS FOR TRANSACTIONS

6.1 Where a sales contract is concluded between users on the internet auction
marketplace, SkinBid shall invoice the seller for a brokerage fee the amount of
which is determined by SkinBids price list in force at the time of concluding
the sales agreement. The brokerage fee is due for payment immediately.

6.2 When executing the transaction and the transfer of title, SkinBid as the
Merchant of Record shall contact the buyer with regard to the transaction
process, shall assist the users and handle any disputes between them concerning
the goods, without SkinBid being a contracting partner to the sales contract
concluded by and between the users. SkinBid shall notify Adyen N.V. of the
transaction, shall receive the invoice from Adyen N.V. and shall contact Adyen
N.V. on behalf of the seller. After successful processing of the payment, the
product ordered shall be made available to the buyer via the marketplace. The
buyer’s bank account will be debited with reference to the vendor and to us.
During the transaction SkinBid’s fee will be directly deducted from the purchase
price paid by the buyer to the vendor.

6.3 The legitimacy of the brokerage fee charged is independent of the legitimacy
of the contract concluded between the users and of any legal dispute between the
users which may arise.

6.4 Payments may not be made by third parties. Users may only make payments
using their payment methods owned by the users themselves.

6.5 In case of doubts about the identity of a user, SkinBid shall be entitled to
suspend a transaction, disbursement of the credit balance and transmission of
the Skin until the identity of the relevant user has been determined.

6.6 Should there be indications of fraud or other criminal activities, SkinBid
shall be entitled to prevent, rescind or abort transactions, disbursement of the
credit balance and transmission of the Skins until the suspicion has been
dispelled.

6.7 Any sale and purchase made on the marketplace on SkinBid.com is strictly a
trade and contractual relationship made between the seller and buyer of said
item or Skin. Such trade cannot be revoked once completed on SkinBid.com and
SkinBid ApS is not liable nor can SkinBid ApS facilitate any revocations of an
agreed trade.


7. BLOCKING AND TERMINATION

7.1 SkinBid may warn, block or terminate users in their absolute discretion if
users are in breach of legal requirements and statutory provisions, third-party
rights or these T&Cs. In cases of repeated or severe breaches, SkinBid shall be
entitled to block the user temporarily or permanently. If a user deceives
SkinBid as to their identity, if payments are made by a third party contrary to
these T&Cs of if a user abuses the option of reimbursement of a credit balance,
SkinBid shall be entitled to delete the relevant user account immediately.

7.2 The contract with SkinBid can be terminated by users at any time with a
notice period of fourteen days to the end of the month by notifying SkinBid. The
notice must be in written form.

7.3 Contracts of sales already in cases of blocking or termination shall remain
unaffected by blocking, deletion or termination and shall be processed in
accordance with the statutory provisions.


8. LIMITATION OF LIABILITY

8.1 SkinBid’s non-contractual liability and liability for breaches of duty is
limited to intent and gross negligence. This shall not apply to damage arising
from injury to the life, body or health of the user that is caused by a
negligent breach by SkinBid or an intentional or negligent breach of duty by a
statutory representative or vicarious agent of SkinBid, or to claims based on a
breach of material contractual obligations. Material contractual obligations are
obligations that enable proper performance of the contract in the first place, a
breach of which jeopardizes achievement of the purpose of the contract.

8.2 SkinBid cannot be held liability whatsoever beyond the terms stipulated in
8.1, including any damages of any kind. In particular, SkinBid are not liable
for the usability of any content posted by users.


9. INDEMNIFICATION

9.1 The user shall indemnify us in accordance with the statutory provisions
against all claims made by third parties against us on the basis of an
infringement of their rights, claims arising as a result of the posting of
contents by the user. The indemnification also includes the costs of a necessary
legal defence in the amount determined by law. Upon our request the user shall
promptly provide us with all accurate information required for verification and
aversion of the claims.


10. REVOCATION POLICY

10.1 All revocation rights for users of SkinBid as set out below applies where
users have entered into an agreement with SkinBid.

10.2 Revocation Right

Users have the right to cancel this contract within fourteen days without giving
any reason.

To exercise a users right of withdrawal, the user must inform SkinBid by means
of an unequivocal declaration (e.g. a letter sent by post or an Email) about
their decision to withdraw from this contract. Users can use the attached sample
withdrawal form, which is not mandatory. To comply with the cancellation period,
it is sufficient that you send the notification of the exercise of the right of
withdrawal before the expiry of the cancellation period.

10.3 Consequences of Revocation

If you cancel this contract, we have to refund all payments we have received
from you immediately and at the latest within fourteen days from the day on
which we received the notification of your cancellation of this contract. For
this repayment, we will use the same means of payment that you used for the
original transaction, unless expressly agreed otherwise with you; in no case
will you be charged for this repayment.

If you have requested that the services begin during the withdrawal period, you
must pay us a reasonable amount that corresponds to the proportion of the
services already provided up to the point in time at which you notify us of the
exercise of the right of withdrawal with regard to this contract, compared to
the total scope of the services provided for in the contract

10.4 The revocation issued to SkinBid shall not constitute revocation of a sales
contract concluded by and between users.


11. PERMANENT GIVEAWAYS


11.1 PARTICIPATION

11.1.1 The monthly giveaway is organized for www.SkinBid.com by SkinBid ApS,
Denmark.

11.1.2 By registering on www.SkinBid.com, your participation and accept of the
monthly give-away terms are accepted.

11.1.3 The monthly giveaway is not connected, sponsored or supported by any
platform or media where this is being marketed.

11.1.4 The monthly giveaway is limited to one drop, one item, per calendar
month.


11.2 SUBJECT OF THE CONDITIONS OF PARTICIPATION AND ORGANIZER

11.2.1 Everyone who is of the age of 18+ and registered on www.SkinBid.com
automatically participates on the monthly giveaway if the criteria below in
11.2.2 and 11.2.3 are met:

11.2.2 To participate you must be KYC approved on www.SkinBid.com before the
monthly drop takes place.

11.2.3 To participate you must sell for EUR 50 in the month on www.SkinBid.com
of the respective giveaway by the end of the calendar month.


11.3. MONTHLY GIVEAWAY

11.3.1 The monthly giveaway will be a skin for CS:GO valued between EUR 50 to
EUR 10,000 in any given month.

11.3.2 The winner in any given month will be randomly selected from all eligible
participants on the first working day of the following month. The winner will be
notified directly by email to the email address registered on www.SkinBid.com.

11.3.3 If www.SkinBid.com is not able to contact the winner within 7 days from
the draw, the right and claim to the giveaway expires. In this case,
www.SkinBid.com is entitled to carry out a replacement draw.

11.3.4 The giveaway is not transferable to money by www.SkinBid.com, however the
winner is free to use or sell the skin as desired.

11.3.5 If circumstances arise for which we are not responsible where the skin
becomes unavailable, the respective winner accepts an appropriate substitute
prize.


11.4 GRANTING OF RIGHTS OF USE, LIABILITY AND INDEMNIFICATION

11.4.1 By participating you accept that www.SkinBid.com may use your username in
any communications and on any media for advertising purposes.

11.4.2 The winner indemnifies www.SkinBid.com from claims of third parties of
any kind resulting any related actions by the winner.


11.5 EXCLUSION AND PREMATURE TERMINATION

11.5.1 Any violation of these conditions of participation entitles
www.SkinBid.com to exclude the respective participant from participation in any
future giveaway competitions and draws. This applies in particular if the
participant violates applicable law or the rights of third parties. The same
applies to comments that may be considered to glorify violence, be offensive,
harassing or degrading or otherwise violate social decency.

11.5.2 www.SkinBid.com reserves the right to prematurely terminate the monthly
giveaway in whole or in part at any time, if it is not possible to guarantee the
proper execution of the giveaway for technical or legal reasons.


12. DYNAMIC GIVEAWAY


12.1 SUBJECT OF THE CONDITIONS OF PARTICIPATION AND ORGANIZER

12.1.1 The giveaway is organized for www.SkinBid.com by SkinBid ApS, Denmark.

12.1.2 By registering on www.SkinBid.com and/or retweeting the tweet you accept
these giveaway terms.

12.1.3 This giveaway is not connected, sponsored or supported by the platform or
media where this is being marketed.

12.1.4 This giveaway and all its contents is subject to the laws of the Kingdom
of Denmark.


12.2 PARTICIPATION

12.2.1 Everyone who is of the age of 18+ and registered on www.SkinBid.com
participates in the giveaway if the criteria below in 12.2.2. and 12.2.3 are

12.5.2 www.SkinBid.com reserves the right to prematurely terminate the giveaway
in whole or in part at any time, if it is not possible to guarantee the proper
execution of the giveaway for technical or legal reasons.


13. FINAL PROVISIONS

13.1 SkinBid reserves the right to amend these T&Cs. The contractual
relationship between the user and SkinBid and these T&C’s shall be governed
exclusively by the laws of Denmark unless the user is domiciled within the EU
and specific consumer protection provision in the user’s home country are more
favourable.. The application of Danish private law is excluded.

13.2 The mandatory consumer protection provisions that apply which you have your
habitual residence, remain applicable if they offer you more extensive
protection.

13.3 In case of divergences, Danish law expressed in Danish applies to these
T&Cs and shall take precedence over the English version.
