ABOUT THE "AGROHOLDING" PROJECT OF THE "NTANIK" PROGRAM

«INSTITUTE OF SYSTEM TECHNOLOGIES" CJSC developed the "nTanik"program and the
"Agroholding" project to bring investment and prosperity back to Armenian
villages. It is an agricultural complex that consists of 20 smart cattle barns
(15-25 cows each), a cheese factory, a hydroponic system for green fodder
production, a biogas plant, 10 greenhouse farms (1200 msq each), 20 individual
refrigeration units (150 msq each), 20 intensive gardens (2 Hectares each), 1
megawatt of solar panels.

OUR PROJECT CONCEPT

The project is aimed to improve the welfare of rural families by creating
systemic complexes of sustainable agricultural production. Small individualized
businesses profiting from economies of scale of large factory models.

FARMERS WELFARE

Though for the investors this is one large project where they can invest in,
each portion of the project is further segmented into individual businesses
where farmers will be involved in a profit-sharing scheme for their specific
“sub-company”. Alongside a generous salary, our profit-sharing program allows
for the farmer to have an income far higher than in any other project available
locally.

The project is based on the use of innovative and systemic solutions aimed at
creating sustainable agri-complexes that combine the efficiency of large-scale
industrial farming with the activities of individual family-run farms. Our
farmers will be trained in the most up-to-date best practices in each respective
field in the project.

The project is based on the use of innovative and systemic solutions aimed at

NET ZERO EMISSIONS

Using a number of existing techniques, utilized in an innovative manner our
project aims to be carbon neutral while providing a high level of productivity
and converting emissions into profitable products.

Within each nTanik complex we will have 50 families participating as “Farmer
Partners” with each of them profiting exclusively from their own work but also
profiting from the economies of scale that they achieve by working as part of
one system. This will create tightly knit communities of farmers in our
villages.

The project's two main goals are to create a positive change in the lives of our
rural citizens, while at the same time generating a healthy profit for our
investors and the farmers themselves.

We welcome families living within commuting distance from the location of our
project. We have 3 options for participation. Any family can participate in any
segment of the project. No prior knowledge of the industry is necessary.

RURAL FAMILIES

Once a location for a complex is confirmed, we will be accepting applications
from any family living within commuting distance from the project's planned

INVESTORS

Investors in this project will be guaranteed a fixed return for the first 3
years if they wish to leave the project at that time. We accept investments
starting from the minimum value per share. If you are interested in

ARMENIAN NATIONAL INTERESTS FUND (ANIF)

'ARMENIAN NATIONAL INTERESTS FUND' CJSC is a private equity fund owned by
Government of Republic of Armenia. They will be co-investing with out investors
in this project, up to 49% of the total investment. It is planned that the
'N'TANIQ TVSH' OJSC will establish 'AGRO HOLDING' CJSC in cooperation with ANIF.
So this investment fund will share risks the with investors. The fund will
withdraw from the project within 5-8 years at the request of 'N'TANIQ TVSH' OJSC
for a pre-agreed fee.

GOVERNMENT

Provision of subsidies and favorable loan conditions provided by the government
of the Republic of Armenia are the main reasons that this project is profitable.
Development of programs aimed at improving the well-being of rural families in
Armenia provide both subsidies for loans and grants for specific types of
projects.

SYSTEMS TECHNOLOGY INSTITUTE CJSC

The Institute will assist in attracting investments for the project and in
developing a business plan for launching an innovative agricultural project.
Will teach families how to run an agri-complex and keep the whole process of
agri-production running effectively. The 'INSTITUTE OF SYSTEM TECHNOLOGIES' CJSC
will act as a 'Centralized Management Center'; and along with interested
partners, it will carry out the plan (to develop, build, and operate a stable,
circular (green) farm system of high efficiency innovative modules, which is
based on system technology solutions and inclusive sustainable development
requirements).
