CASE INFORMATION

On August 29, 2022, Lumileds Holding B.V., and nine (9) of its affiliates
(collectively, the “Debtors”) filed petitions in the United States Bankruptcy
Court for the Southern District of New York seeking relief under chapter 11 of
the United States Bankruptcy Code. The Debtors’ cases have been assigned to
Judge Lisa G. Beckerman. The Debtors are seeking to have their cases jointly
administered for procedural purposes, meaning that upon entry of such order, all
pleadings will be maintained on the case docket for Lumileds Holding B.V., Case
No. 22-11155 (the "Main Case Docket"). The Main Case Docket can be accessed
through the website maintained by the United States Bankruptcy Court for the

PREPACKAGED PLAN OF REORGANIZATION

On August 26, 2022, Lumileds Holding B.V., commenced a solicitation of
acceptances of the Plan from holders of claims that are eligible to vote – Class
3 First Lien Loan Claims. Lumileds Holding B.V. expects to meet the requirement
for confirmation of the Plan and to emerge from bankruptcy shortly after filing.

The Debtors will request that the Bankruptcy Court convene a hearing to approve
the adequacy of the Disclosure Statement and confirm the Plan (the “Combined
Hearing”) on October 3, 2022, subject to the availability of the Bankruptcy
