TERMS OF SERVICE

Internet/Wi-Fi Terms of Service

These are the Terms of Service (the “Agreement”) applicable to the use of the
internet / Wi-Fi services (“Hotel Wi-Fi”) provided by Evans Hotels and its
affiliates (The Lodge at Torrey Pines, the Catamaran Resort Hotel and Spa, and
the Bahia Resort Hotel), collectively “The Hotels”. The Agreement is a legally
binding contract between The Hotels (also “we,” “our” or “us”) and anyone who
accesses or uses Hotel Wi-Fi (“you” or “your”).



Please review this Agreement carefully before using Hotel Wi-Fi. If abnormal,
illegal, or unauthorized behavior is detected, we reserve the right to
permanently disconnect the offending device from the wireless network. We may at
any time and for any reason in our sole discretion, and without any notice,
modify or discontinue Hotel Wi-Fi or this Agreement, or terminate or restrict
your access to Hotel Wi-Fi. We may, in our discretion and in addition to any
other remedies available to us, and without notice, remove, block, filter or
restrict any materials sites or information we deem to violate this Agreement.



 1.  Conditions for Use of Hotel Wi-Fi
     
     Hotel Wi-Fi is being offered on the express condition that you accept this
     Agreement without modification. By accessing or using Hotel Wi-Fi, you
     agree to be bound by all of the terms and conditions of the Agreement, as
     may be modified by us from time to time in our sole discretion. IF YOU DO
     NOT AGREE TO ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT WITHOUT
     MODIFICATION, THEN YOU MAY NOT ACCESS OR USE HOTEL WI-FI. Your continued
     access or use of Hotel Wi-Fi following any changes to the Agreement
     constitutes your acceptance of those changes. Persons under the age of 18
     are not permitted to access or use Hotel Wi-Fi without the supervision and
     consent of a legal guardian who is validated to use Hotel Wi-Fi. Your
     continued access or use of Hotel Wi-Fi is an express representation that
     you are either over the age of 18 or have the supervision and consent of a
     legal guardian who is validated to use Hotel Wi-Fi. If you use Hotel Wi-Fi
     to access our websites or other services, the terms of use and other
     agreements governing those websites and/or other services shall also apply.

 2.  Registration for Hotel Wi-Fi
     
     You may be required to register or provide certain information to access
     Hotel Wi-Fi. During such registration, you agree to submit accurate and
     complete information and to update such information as required from time
     to time. If we suspect that your information is untrue, inaccurate,
     out-of-date, or incomplete, we may suspend or terminate your access to
     Hotel Wi-Fi

 3.  Connection Speeds and Family Friendly Filtering
     
     Connection speeds will fluctuate due to varying levels of use at different
     times of the day, your proximity to wireless access points, and signal
     strength.
     
     The Hotels provide “family friendly” internet access on all complimentary
     Wi-Fi plans. Family friendly filtering is designed to block access to
     material accessible through the Internet that may be deemed objectionable
     according to contemporary community standards, peer-to-peer file sharing
     and proxy/anonymizing websites. It cannot be disabled by Hotel Staff. Given
     the nature of how information and sites become accessible through the
     Internet, the Hotels cannot, and do not guarantee that the filter will
     block all objectionable material. Hotel staff is not responsible for
     supervising minors while they are using Hotel Wi-Fi. Parents and other
     guardians of minor children are encouraged to learn about the many benefits
     as well as the potential problems that may arise as a result of Internet
     access.

 4.  Permissible Use
     
     You agree not to use Hotel Wi-Fi in violation of any applicable law or
     regulation or in any manner that impinges on the rights of others.
     Representative examples of illegal uses include but are not limited to, the
     following:
     
     * Spamming and invasion of privacy - Sending of unsolicited bulk and/or
       commercial messages over the Internet using Hotel Wi-Fi or using Hotel
       Wi-Fi for activities that invade another's privacy.
     * Intellectual property right violations - Engaging in any activity that
       infringes or misappropriates the intellectual property rights of others,
       including patents, copyrights, trademarks, service marks, trade secrets,
       or any other proprietary right of any third party.
     * Accessing illegally or without authorization computers, accounts,
       equipment or networks belonging to another party, or attempting to
       penetrate/circumvent security measures of another system. This includes
       any activity that may be used as a precursor to an attempted system
       penetration, including, but not limited to, port scans, stealth scans, or
       other information gathering activity.
     * The transfer of technology, software, or other materials in violation of
       applicable export laws and regulations.
     * Using Hotel Wi-Fi in violation of applicable law and regulation,
       including, but not limited to, advertising, transmitting, or otherwise
       making available ponzi schemes, pyramid schemes, fraudulently charging
       credit cards, pirating software, or making fraudulent offers to sell or
       buy products, items, or services.
     * Uttering threats;
     * Distribution of pornographic materials to minors;
     * and child pornography.
     
     You may not use Hotel Wi-Fi for activities we deem improper, including, but
     not limited to, the following:
     
     * Logging onto Hotel Wi-Fi with false or fraudulent information
     * Taking any action that imposes an unreasonable or disproportionately
       large load on Hotel Wi-Fi.
     * Taking any action that creates liability for us or causes us to lose any
       of the services of our business partners, vendors or suppliers.
     * Using Hotel Wi-Fi in any manner that is fraudulent, unlawful, harmful,
       threatening, abusive, harassing, tortious, defamatory, vulgar, obscene,
       indecent, or invasive of other proprietary rights.
     * Using Hotel Wi-Fi to transmit, post, upload, or otherwise making
       available defamatory, harassing, abusive, or threatening material or
       language that encourages bodily harm, destruction of property or harasses
       another.
     * Creating, transmitting, or distributing viruses, worms, trojan horses,
       time bombs, corrupted files, spam, or any other software or programs
       designed to interrupt, interfere, intercept, expropriate, destroy or
       limit the functionality of Hotel Wi-Fi or any other computer software or
       hardware;
     * Distributing information regarding the creation of and sending Internet
       viruses, worms, Trojan horses, pinging, flooding, mail-bombing, or denial
       of service attacks. Also, activities that disrupt the use of or interfere
       with the ability of others to effectively use the node or any connected
       network, system, service, or equipment.
     * Forging or misrepresenting message headers, whether in whole or in part,
       to mask the originator of the message.
     * Advertising, transmitting, or otherwise making available any software
       product, product, or service that is designed to violate these Terms of
       Use, which includes the facilitation of the means to spam, initiation of
       pinging, flooding, mail-bombing, denial of service attacks, and piracy of
       software.
     * Seeking information on passwords or data belonging to another user.
     * Making unauthorized copies of proprietary software, or offering
       unauthorized copies of proprietary software to others.
     * Intercepting or examining the content of messages, files or
       communications in transit on a data network.
     * Facilitating a Violation of these Terms of Use
     

 5.  Privacy and Security
     
     There are significant security, privacy and confidentiality risks inherent
     in accessing or transmitting information through the internet, whether the
     connection is facilitated through wired or wireless technology. We do not
     guarantee that Hotel Wi-Fi is secure. We do not control and are not
     responsible for any content, data, services, or products that you view,
     access, or download using Hotel Wi-Fi. Security issues include, without
     limitation, interception of transmissions, loss of data, and the
     introduction of viruses and other programs that can corrupt or damage your
     computer. Our Privacy Policy/Policies, which are located at
     https://www.evanshotels.com/privacy, apply to your use of Hotel Wi-Fi. In
     addition, we collect a variety of information about network traffic and
     usage, including usage statistics, application and device statistics,
     location data, and website data. This includes heat maps of spaces,
     counting passers-by and analyzing people movements and visits for capacity
     planning and optimizing network performance. Browser history is collected
     and anonymized to gain a better understanding of who visitors are and what
     they care about. We collect technical data about the network and the
     devices that use it to keep things running smoothly and to detect potential
     threats or other issues.

 6.  Technical Support
     
     You are responsible for the troubleshooting and configuration of your own
     device to connect to Hotel Wi-Fi. Hotel staff are unable to provide
     support.
     
     

 7.  Disclaimer
     
     YOU AGREE THAT THE USE OF HOTEL WI-FI IS AT YOUR SOLE RISK. HOTEL WI-FI IS
     PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL
     WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION,
     ANY WARRANTY OF MERCHANTABILITY, QUIET ENJOYMENT, FITNESS FOR A PARTICULAR
     PURPOSE OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT HOTEL WI-FI WILL MEET
     YOUR REQUIREMENTS, BE AVAILABLE, SECURE, OR RELIABLE OR THAT HOTEL WI-FI
     WILL BE UNINTERRUPTED, TIMELY, OR ERROR FREE. THERE IS NO GUARANTEE OF ANY
     MINIMUM DATA TRANSFER SPEED. WE HAVE NO RESPONSIBILITY FOR ANY THIRD PARTY
     NETWORKS, SITES OR CONTENT YOU MAY ACCESS THROUGHT HOTEL WI-FI. WE ARE NOT
     LIABLE FOR ANY LOSS, DESTRUCTION OR UNAUTORIZED ACESS OR USE OF PRIVATE OR
     PERSONAL INFORMATION WHILE USING HOTEL WI-FI. YOU ARE SOLELY RESPONSIBLE
     FOR ANY DAMAGE TO YOUR COMPUTER, COMPUTER NETWORK, OR DATA (INCLUDING LOSS
     OF DATA OR DELAY OF TRANSMISSION) THAT RESULTS FROM YOUR ACCESS OR USE OF
     HOTEL WI-FI. WE DO NOT WARRANT THAT HOTEL WI-FI IS FREE OF DEFECTS,
     VIRUSES, MALFUNCTIONS, OR HARMFUL COMPONENTS THAT COULD DAMAGE OR ALLOW
     UNAUTHORIZED ACCESS TO YOUR COMPUTER, COMPUTER NETWORK, OR DATA. WE ARE NOT
     RESONSIBLE FOR ANY LOSS OR DAMAGE CAUSED, OR ALLEGED TO HAVE BEEN CAUSED,
     DIRECTLY OR INDIRECTLY, BY ANY INFORMATION ACCESSED AT OR THROUGH HOTEL
     WI-FI. Accordingly, you agree that the owner and/or provider of this
     network is NOT liable for any interception or transmissions, computer worms
     or viruses, loss of data, file corruption, hacking or damage to your
     computer or other devices that result from the transmission or download of
     information or materials through the internet service provided.

 8.  Limitation of Liability
     
     NEITHER WE NOR OUR AFFILIATES, SUBSIDIARIES OR OUR RESPECTIVE OFFICERS,
     DIRECTORS, OWNERS, EMPLOYEES, AGENTS, OR REPRESENTAIVES (OR THEIR
     RESPECTIVE SUCCESSORS AND ASSIGNS) SHALL BE LIABLE FOR ANY DIRECT,
     INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL
     DAMAGES RESULTING OR ARISING FROM THE USE OR THE INABILITY (INCLUDING
     INTERRUPTION, SUSPENSION, TERMINATION, SLOW SPEEDS OR DELAYS) TO USE HOTEL
     WI-FI, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOST PROFITS, LOSS OF
     DATA, OR OTHER INTANGIBLES EVEN IF FORESEEABLE OR IF WE HAVE BEEN ADVISED
     OF THE POSSIBILITY OF SUCH DAMAGES. THEREFORE, THE EXCLUSIONS SET FORTH
     ABOVE MAY NOT APPLY TO YOU. IN ANY EVENT, YOU AGREE THAT OUR TOTAL
     LIABILITY FOR DAMAGES, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED
     THE ACTUAL TOTAL COMPENSATION RECEIVED BY US FROM YOU TO ACCESS HOTEL
     WI-FI.

 9.  Indemnification
     
     You agree to indemnify, hold harmless, and release The Hotels, our
     affiliates, subsidiaries, respective officers, directors, partners,
     employees, agents, representatives (and their respective successors and
     assigns) from and against any and all claims, damages, costs and expenses,
     including but not limited to reasonable attorneys’ fees and costs arising
     from or related to your access, use or misuse of Hotel Wi-Fi.

 10. Miscellaneous
     
     This Agreement shall be construed and enforced in accordance with the laws
     of the State of California, without giving effect to any choice or conflict
     of law provision that would cause the application of the laws of any
     jurisdiction other than the State of California. The parties consent to the
     exercise of personal jurisdiction over them by the courts of the State of
     California. Any legal action arising from or related to this Agreement
     shall be brought and maintained exclusively in the courts of the State of
     California, County of San Diego. For any San Diego County Small Claims
     Court action, you agree to accept service of process by certified or
     registered mail or substitute service at the address provided by you. If
     any provision of this Agreement is found to be invalid or unenforceable,
     such provision shall be severed from the remainder of this Agreement, which
     shall remain in full force and effect. The section headings used in the
     Agreement are for convenience only. The Hotels may at any time and for any
     reason in their sole discretion, and without any notice, modify or
     discontinue Hotel Wi-Fi or this Agreement, or terminate or restrict your
     access to Hotel Wi-Fi. The Hotels may, in our discretion, and in addition
     to any other remedies available to us, and without notice, remove, block,
     filter, or restrict any materials, sites, or information we deem to violate
     this Agreement.
