such Electronic Media satisfies the following definition of Contract Documents. Contract Documents shall include only final documents accompanied by a professional’s stamp and signature, in either hardcopy or
electronic format, as defined by the Project Manual for the Project (hereinafter “Contract Documents”). The Contract Documents shall govern in the event of any inconsistency between them and the Electronic
Media. User understands and agrees that Electronic Media may not be “posted” or up to date with respect to clarifications issued for the Project. User’s reliance on any information obtained or derived from the
Electronic Media that does not constitute Contract Documents is at User’s sole risk.</span></li>

alteration or both is at User’s sole risk and User agrees to indemnify, defend, and hold HDR, its officers, directors, employees, agents and representatives, harmless from and against all claims, injuries, losses,
damages, costs and expenses (including without limitation attorneys’ fees) arising out of such use, or alteration, or both. </span></li>

Instruments of Service. User understands and agrees that Electronic Media incorporating Instruments of Service prepared using electronic modeling software may include the entire building model. User further
understands and agrees that such electronic model is a general representation and may not be complete, accurate or reflective of specific assemblies, and that there may be inconsistencies between the electronic model and
the Contract Documents and, in the event of any inconsistencies, the Contract Documents shall govern. Any reliance by User on anything but the Contract Documents shall be at User’s sole risk. </span></li>

harmless from and against all claims, injuries, losses, damages, costs and expenses (including without limitation attorneys’ fees) arising out of the same.</span></li>

Terms & Conditions
LICENSE FOR USE OF ELECTRONIC MEDIA
By selecting “accept” to the terms and conditions of this Agreement you
acknowledge, accept, and represent the following:
YOU (hereinafter “User”), with expressed approval from the Project Client
(“Client”), are authorized to download and use electronic media, which may
include, but is not limited to, files, models, electronic mail, or other
electronic information transmitted or accessed from this website and pertaining
to the Project (hereinafter referred to as “Electronic Media”).
Therefore, in consideration of the release of the Electronic Media for use in
connection with the Project, User and HDR agree as follows:
1. WAIVER. User understands and agrees that the Electronic Media is provided as
a convenience and shall NOT be considered or relied upon as Contract
Documents, Construction Documents, documents issued for bidding,
contracting, or construction or any type of certified document, unless such
Electronic Media satisfies the following definition of Contract Documents.
Contract Documents shall include only final documents accompanied by a
professional’s stamp and signature, in either hardcopy or electronic format,
as defined by the Project Manual for the Project (hereinafter “Contract
Documents”). The Contract Documents shall govern in the event of any
inconsistency between them and the Electronic Media. User understands and
agrees that Electronic Media may not be “posted” or up to date with respect
to clarifications issued for the Project. User’s reliance on any information
obtained or derived from the Electronic Media that does not constitute
Contract Documents is at User’s sole risk.
2. USE OF ELECTRONIC MEDIA. If User or its employees, consultants, contractors,
or agents use the Electronic Media for any other project(s) or alter the
Electronic Media for the Project in any way, either intentionally or
inadvertently, in whole or in part, such use, or alteration or both is at
User’s sole risk and User agrees to indemnify, defend, and hold HDR, its
officers, directors, employees, agents and representatives, harmless from
and against all claims, injuries, losses, damages, costs and expenses
(including without limitation attorneys’ fees) arising out of such use, or
alteration, or both.
3. ELECTRONIC MODELS. Electronic Media containing, in whole or in part,
Instruments of Service, as defined by the Project Manual, prepared using
Building Information Modeling (“BIM”) will be provided in the electronic
modeling software format used by HDR when it prepared such Instruments of
Service. User understands and agrees that Electronic Media incorporating
Instruments of Service prepared using electronic modeling software may
include the entire building model. User further understands and agrees that
such electronic model is a general representation and may not be complete,
accurate or reflective of specific assemblies, and that there may be
inconsistencies between the electronic model and the Contract Documents and,
in the event of any inconsistencies, the Contract Documents shall govern.
Any reliance by User on anything but the Contract Documents shall be at
User’s sole risk.
4. FILE CONVERSION. User understands and agrees that conversion of Electronic
Media supplied by HDR from the system or format used by HDR to an
alternative or upgraded system or format, whether performed by HDR or
others, cannot be accomplished without the introduction of inexactitudes,
anomalies, omissions, and errors. In the event Electronic Media furnished by
HDR is converted, the User assumes all risk associated with such conversion.
5. CONDITION OF ELECTRONIC MEDIA. User understands and agrees that the
Electronic Media is subject to viruses, erosion, alteration, erasure and
obsolescence and further agrees to indemnify, defend, and hold HDR, its
officers, directors, employees, agents and representatives harmless from and
against all claims, injuries, losses, damages, costs and expenses (including
without limitation attorneys’ fees) arising out of the same.
6. IDENTIFICATION. HDR reserves the right to retain copies of Electronic Media
and to remove all identification (such as logos, seals, signatures,
certifications, etc.) reflecting the involvement of HDR in the preparation
of the Electronic Media.

bear the statutory copyright notice, if any, shown on drawings,
specifications or other Instruments of Service provided as Electronic Media.
Submittal or distribution to meet official regulatory requirements or for
other purposes in connection with the Project will not be construed as a
publication in derogation of User’s or HDR’s copyrights or other reserved
rights.

the non-conflicting terms and conditions of this Electronic Media Release
shall remain in effect.
11. TIME. User understands and agrees that these terms and conditions shall
remain in force for the term of the Project and shall apply to each and
every interaction with, and to all information contained within this
website during and after the Project duration. The requirements for

of this website.
12. MAINTENANCE. User understands and agrees that HDR may, from time-to-time,
