world of private equity experienced the worst crisis in its history. What can
explain why sophisticated fund managers did not see the Credit Crunch coming? Or
if they did, why didn’t they act accordingly to prepare themselves and avoid
losing billions of dollars of their investors’ capital? Private Equity’s Public
Distress gives a unique account of the practices and principles applied by LBO
funds in the years leading up to the financial crisis. From stapled financing,
public-to-privates and vendor due diligence to covenant-lite debt packages,
secondary buyouts and accelerated auctions, eventually private equity hit a
mid-life crisis. In particular, through the Candover story, the author describes
how one of the world’s oldest and largest private equity houses failed to adapt
to the increasingly complex environment, stretching further away from its area
of competence and the home market that it dominated for over 20 years. We
observe the changes endured by the LBO sector from 1980 until the firm’s
eventual downfall in December 2010. We see the sector morphs from a niche
activity of the venture capital world into a global industry capable of
reshaping the rules of mergers and acquisitions. From Candover’s humble
beginnings in a one-room office in the middle of London’s financial district to
a pan-European operator with Asian outposts and several billions of euros under
management, we witness the mutation of a British icon into a global challenger
and the irresistible push forward in order to try and keep pace with a new breed
of competitors: the global mega-fund powerhouse. Candover went from being one of
the most revered European institutions to becoming the biggest buyout victim of
the Credit Crunch. Investment errors, corporate governance issues and an intense
competitive landscape are only half the story. The biggest bubble mania in the
history of the LBO industry turning into the most dramatic financial meltdown
since the Great Depression helped precipitate the firm into trouble and made it
lose control of its own destiny. How did it go so wrong? What are the lessons
for an overextended sector that lost a great deal of credibility? This book
brings you the answers.

Biographies of successful businesses are a dime a dozen. The other kind,
depicting failure, are a rarity. This book is a detailed and comprehensive
analysis of the private equity industry, showing the inner workings of Candover,
one of the pioneers and largest players in PE in Europe until its collapse in
2010.
It is clear that the author is not entirely positive about private equity, but
this does not distract from the facts. There is a lot to learn from the mistakes
made by this small group of fund managers. The key insight is not to take
anything for granted. Just because you were once a success does not mean that
your luck won’t run out one day, especially if you move away from your core
competencies.

This is a book I would highly recommend to a wide range of potential readers.
One does not need to be a PE investor to understand and enjoy it; indeed, anyone
with an interest for business and finance will find Canderle’s book well
researched, well written and highly informative.
Those considering entering the PE industry, and particularly MBA students,
should also read this book, as it will challenge their assumptions and help them
make an informed decision based on facts as opposed to myths and romantic views
about private equity.
That said though, I would argue that those who will enjoy more – and benefit the
most – from reading ‘Private Equity’s Public Distress’ are those (me included)
actually working in Private Equity; Canderle’s book will provide them additional
facts and explanation of the boom and bust of the sector, and some insights on
how to avoid similar mistakes going forward.

I found Canderle's book fascinating, educational and an easy read even though I
had no real in depth knowledge of the private equity market.
Candover's 30 year journey from conservative investors in management and
businesses (which their team knew they could add real value to) to the
overpriced multi million pound double digit EBITDA deals it engaged in towards
the end- more to do with financial re engineering of already mature companies
than business improvement/ adding value is very well explained by the writer.
As I read the book what really hit home was that Candover's departure from
basic, sound investment principles was mirrored by so many other highly regarded
financial institutions (all pushing investment/working capital boundaries to the
limit and beyond) leading to the mess the country is in to this day.

Canderle has written a very strong summary of the highs and lows, strengths and
weaknesses of private equity in London and Europe over the last ten years (an
industry in which I have also worked over this time). He clearly has complete
knowledge of the area from his decade or more around the industry. He also sets
the scene very well in terms of the political/economic macros themes of the past
decades. While Canderle does venture his own opinions on the state of the
industry today and where it needs to go, this is not a book with a personal
agenda, nor is it hyped up at all - this is not Liar's Poker. It is designed to
inform foremost - and this it does very well.

staff. This is a good account of what happened during that time and in the
following 3 years. When Stephen departed you could sense the change. Ego, greed
and office politics took over and led to the desire to raise a new fund when
common sense should have prevailed.
