Sonru and its affiliates (set forth at the end of this Policy) (“Sonru,” “we,” “us,” and “our”) offer Services that are fundamentally a means to connect job candidates (“Candidates”) with recruiters (“Recruiters”) acting on behalf of employers (“Employers”). Our core services are delivered through a cloud-based platform whereby Recruiters and Candidates can engage in video interviewing, scheduling, and assessments among other features. Candidates, Recruiters and Employers may be collectively referred to in this Policy as “Users. Depending on the context of personal information you provide, we may be the data controller ("Controller") or data processor ("Processor") of your personal information under this policy. This policy describes how we will make use of your data when you utilize our services, visit our websites and access our social media pages. It also describes your data protection rights. More information about your rights, and how to exercise them, is set out in the “Your rights” section below. COLLECTION AND PROCESSING OF INFORMATION SONRU AS PROCESSOR For the purposes of the GDPR, Sonru primarily acts as a Processor. This means that we act on behalf of our customers (generally, Employers) and process data on their instructions. Our customers are the Controllers of the personal data that we process. Please refer to their privacy statements for further details about their processing activities. Depending on the jurisdiction in which we operate, the terms “processor” and “controller” may have different designations, but the concepts behind the terminology are consistent. For example, a processor may be referred to under some regulations as a “service provider” or other terminology and a controller may be referred to as a “business” or other terminology. Sonru does not intend to collect or process, and the Services are not intended to store sensitive and or special categories of data such as health data, political opinions, religious beliefs, and financial information (including bank account and credit card information), social security number, date of birth, driver’s license numbers, etc. Sonru may incidentally process information pertaining to a User’s race/gender as captured by video. You can obtain information on any of our balancing tests by contacting us using the details set out later in this notice. WITHDRAWING CONSENT OR OTHERWISE OBJECTING TO DIRECT MARKETING Wherever we rely on your consent, you will always be able to withdraw that consent, although we may have other legal grounds for processing your data for other purposes, such as those set out above. In some cases, we are able to send you direct marketing without your consent, where we rely on our legitimate interests. You have a right to optout of direct marketing, or profiling we carry out for direct marketing, at any time. You can do this by following the instructions in the communication where this is an electronic message, or by contacting us using the details set out below. DISCLOSURE OF INFORMATION Where authorized by law, we may share your personal data with our affiliated group companies for marketing, communication, and facilitation of our Services. Sonru will share your personal data: * If you are a Candidate – with the Employer and Recruiter; * If you are a Recruiter – with the Employer ; * If you are an Employer – with the Recruiter in order to provide our Services. Personal data will also be shared with third party service providers, who will process it on behalf of Sonru for the purposes identified above. In particular, we use third party providers for website hosting, maintenance, audio/visual processing and identity checking. Where we engage third parties on our behalf, we ensure that we have entered into appropriate agreements to protect your data. Sonru may also disclose personal data and aggregate anonymous information to those businesses, divisions, and units that are affiliated with us (set forth at the end of this Policy). Where we disclose your personal data to an area outside of the EEA, it will be dealt with in accordance with our international data transfer section below. If one of our business lines or the entire business, or a substantial portion thereof, is acquired or transferred, whether by merger, consolidation or purchase of a substantial portion of assets, we may disclose and transfer your’ personal data to the acquiring third party. When acting as a processor, data relating to Candidates is established by contract between Sonru and the Employer. Where we process registration data, we do this for as long as you are an active user of our sites and in conformance with our record retention policies thereafter. Where we process personal data for marketing purposes or with your consent, we process the data until you ask us to stop and for a short period after this (to allow us to implement your requests). We also keep a record of the fact that you have asked us not to send you direct marketing or to process your data so that we can respect your request in future. YOUR RIGHTS You may have the right to be informed as to the processing of your personal data, to access your data, obtain a copy of the data, port the data, restrict, rectify or object to processing of the data, or request that the data be deleted or to withdraw consent. A cookie is a small text file that is recorded either temporarily or persistently on a hard drive by a web page server depending on use they enable us to recognize you without requiring you to repeatedly log in when using the Services. Web beacons are graphics designed to collect web log information such as pages viewed or messages opened. By relying on cookies, web beacons, and similar technology, Sonru is able to deliver a more efficient service that is more personalized for each user. Additionally, these technologies may allow us to monitor traffic patterns, Services usage, and session information to make the Services more useful. TRANSFERS OF DATA OVERSEAS Transfers of data from within the EEA to outside the EEA Personal data originating in the EEA will be stored in servers in the EEA and may be accessed and/or processed outside of the EEA. Sonru adheres to the GDPR where it applies to our Services and use of this site. Where your data is processed outside of the EEA, we have endeavoured to put in place appropriate safeguards. The primary means by which your data may be accessed outside of the EEA is with our affiliated company, Modern Hire in the United States. Until the EU-US Privacy Shield was declared invalid on 16th July 2020, Modern Hire was certified under the EU-US Privacy Shield and maintains the Principles specified in the Privacy Shield. Where appropriate, we will enter into Standard Contractual Clauses (SCCs) for the transfer of your data, having carried out a risk assessment and taken additional measures over and above the measures contained in the SCCs where possible. A copy of the SCCs is available upon request. However, where we have determined we are unable to provide equivalent protection of your personal data, we will seek to rely on a derogation authorized by the GDPR, including the derogation of consent/contract/request of data subject. Personal information may be disclosed to recipients described in the Privacy Policy, some of whom may be outside Australia including in the following countries: Countries that are part of the EEA, the United States, Singapore, and others as updated from time to time. At your request, we will provide you with a copy of any personal information which we hold about you, unless an exception under the Privacy Act 1988 applies. Wexford, Ireland and all subsidiary companies. Our registered company number is 442260 and our VAT number is IE 9663611J. Sonru replicates the format of a phone, Skype or face to face interview. We provide a service which lets the interviewer sets the questions and candidates log in to read and record their answers and are not online at the same time as the interviewer. Like a traditional interview, candidates don’t see the questions in advance. They respond to one question at a time and get one chance to answer each question. While the Services provide a convenient and economic tool for remotely interviewing people online, the manner in which the Services are used is entirely determined by the interviewing company and not by Sonru. OUR TERMS OF SERVICE By accessing or using the www.sonru.com website (the "Site") and all other products and services provided via the Site (the "Services"), you acknowledge and agree to the disclaimers, terms, conditions set forth below as well as the terms of the Sonru Privacy Policy (collectively the "Terms"). If you do not agree to the Terms, you should not use the Site. We reserve the right, in our sole discretion, to change, modify, add or remove portions of these Terms at any time. You should check these Terms periodically for changes as by using the Site after we post any changes to these Terms, you are agreeing to accept those changes, whether or not you have reviewed them. YOUR ACCOUNT, YOUR RESPONSIBILITY In order to register or create a Sonru account, whether as an interviewer or as an interviewee, you are required to provide some identifying information (including your legal full name and a valid email address). Once your Sign-up application has been received and verified by Sonru, you will be granted log in details, including a password ("Your Log In"), to access your Sonru account ("Your Account"). While certain parts of the Site are available to non-account holders, you can only activate Your Account once you have positively clicked your acceptance of these Terms. Your Log In is personal to you and may not be shared with others. If Your Account is a corporate account, you can create individual user accounts with separate log ins. However, you will be responsible for the activity of those individual users IT IS ESSENTIAL THAT YOU MAINTAIN THE CONFIDENTIALITY OF YOUR LOG IN AS YOU WILL BE HELD RESPONSIBLE FOR ALL USE OF YOUR ACCOUNT IN THE EVENT OF A BREACH OF THESE TERMS. SONRU AS THE “MERE CONDUIT“ Sonru plays no role in initiating the transmission of interview content, Sonru does not determine the recipient of the interview invitation and Sonru does not select or modify the information contained in any interview transmission. Sonru expresses no view as to the quality or suitability of any employer or interviewee and does not endorse any opinion, recommendation or advice expressed by users of the Services. Sonru expressly disclaims any and all liability in connection with such content. Accordingly, you agree that Sonru is not responsible for any loss, injury or damage to any individual as a result either directly or indirectly of any information published on the Site or made available through the Services. INAPPROPRIATE CONTENT A key feature of the Services is that they enable users to post their own content, either as an interviewer or an interviewee. While our “Conditions of Use” below prohibit the posting of content which is factually inaccurate, unlawful or offensive, Sonru does not take responsibility for any content posted by third parties while using the Services. Accordingly, you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Sonru with respect to any such content. You acknowledge that while you may be exposed to such materials you will hold Sonru harmless in relation thereto. Sonru does not pre-screen content posted by users, but Sonru reserves the right (but not the obligation) in its sole discretion to refuse or remove any content that is available via the Services where it has any grounds to suspect non-compliance with these Terms. Violation of any of these Terms may result in the termination of your account (without prejudice to any other legal rights or remedies available to Sonru). Sonru reserves the right to verify new accounts by contacting the account owner by e-mail, phone or in person. 3. You must use a computer with sufficient internet bandwidth connectivity before recording interview content on the Site and will be required to take a bandwidth test prior to taking an interview. You must also have a web-cam and audio capability which comply with the criteria set out in the Site. 4. You represent and warrant that you have (and will continue to have during your use of the Services) all necessary licenses, rights, consents, and permissions which are required to enable Sonru to use content provided by you for the purposes of the provision of the Services by Sonru, and otherwise to use such content in the manner contemplated by the Site and these Terms. 5. You are responsible for all content posted and activity that occurs under Your Account. This is the case even when content is posted by others who have accessed or created accounts under a corporate account. 6. You agree not to use the Services or cause or permit the Site to be used:- 1. for any illegal or unauthorised purpose. While Sonru does not claim any rights in respect of any original interview content posted by interviewers or interviewees, you agree to provide Sonru with a limited, royalty-free, non-exclusive, transferable, worldwide, perpetual licence to use, distribute and display all content posted by you while using the Services provided that such licence is restricted to the sole purpose of enabling the Sonru Group and its contractors to perform the Services. All original materials incorporated in or accessible through the Site (other than those posted by interviewers or interviewees), including, without limitation, text, photographs, images, graphics, illustrations, logos, button icons, audio clips, video clips, software and other content, and the compilation, collection, arrangement, and assembly thereof (including the look and feel of the Site), are owned, controlled or licensed by Sonru. Such materials may be used only for viewing the Site in the ordinary course or as a resource for availing of the Services or purchasing the products or Services offered through the Site. Any other use of such materials, including any copying, reproduction, modification, sale, distribution, extraction, re-utilisation, transmission, republication, downloading, display, posting, performance or other exploitation thereof by any means or medium without the prior written permission of the copyright owner is strictly prohibited. For the avoidance of doubt, screenscraping or other techniques of by-passing direct individual access to the Site are expressly prohibited. AVAILABILITY, CLOSING YOUR ACCOUNT AND SUSPENSION While Sonru endeavors to ensure that the Service is normally available 24 hours a day, Sonru will not be liable if, for any reason, the service is unavailable at any time or for any period. Access to the Service may be suspended temporarily and without notice in the case of system failure, maintenance, repair or for reasons beyond Sonru’s control Sonru reserves the right at any time to modify or discontinue, temporarily or permanently, your access to the Services with or without notice for any breach of these Terms. The Services are not intended to act as an indefinite video or information repository and the closure of Your Account will result in the forfeiture and relinquishment of all content in Your Account. Accordingly, upon closing your account you are responsible for making your own arrangements in relation to the backing up of your data. To close Your Account, you can send an email request to cancel Your Account at any time by contacting us at support@sonru.com. All of the content in Your Account will be immediately deleted from the Services upon confirmation by Sonru of your Account closure. This information cannot be recovered once Your Account is cancelled. If you wish to request access to your data after Your Account has been closed, Sonru will raise a charge for such service based on its then applicable rates and depending on the quantity and availability of data involved. Termination of Your Account shall not affect any rights, remedies, obligations or liabilities of the parties that have accrued up to the date of termination. Any provision of these Terms that expressly or by implication is intended to come into or continue in force on or after termination Your Account shall remain in full force and effect. INTERVIEWER INDEMNITY Account holders shall defend, hold harmless and indemnify Sonru against all loss, damage, claims, liabilities, fees, costs, and expenses (including legal fees) arising out of any action taken against Sonru by an interviewer, interviewee or a third party based any claim relating to any interview or their use of the Services, including any acts or omissions of the interviewer, the candidate selection process, any employment, equality or other laws governing interviews and the selection or non-selection of employees and/or contractors pursuant to an interview. DISCLAIMERS OF WARRANTIES THESE SERVICES ARE PROVIDED BY SONRU ON AN “AS IS” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SONRU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, COMPATIBILITY, SECURITY, ACCURACY OR INFRINGEMENT.
